The. name of this corporation shall be the "APEX OIL COMPANY." ARTICLE II. The general nature of' the business of the corporation shall be mining, smelting, reducing, refining, manufac turing and working of oil, gas, iron orus, and other minerals. The principal place of transacting the business of the corporation shall be at the City of Duluth, County of St. Louis and State of Minnesota, with such other offices and places of busi ness in any of the United States of America, as the Board of Directors may from time to time designate. ARTICLE III. The period of the duration of this corporation shall be thirty (30) years, from and after the date of the com pletion of its incorporation. ARTICLE IV. The government of this corporation and the management of its affairs shall be vested in a board of not less than five (5) or more than seven (7» directors, as may be provided by the by-laws of the corporation, who shall be stockholders of the corporation, and its executive officers shall be a Pres ident, Vice President, Secretary and Treasurer. Any two offices may be held by the same person with the exception of the office of President and Vice President. The directors shall be elected each year at the annual meeting of stock holders, which meeting shall be held at 10:00 o'clock in the forenoon of the second Tuesday in January of each year, at the office of the corporation at Duluth, Minnesota. The executive officers shall be chosen each year by the directors from' amongst their num ber Immediately after their election at the annual meeting. The persons composing the Board of Directors until the first election, are the incorporators above named. The remaining members of the board shall be elected after the organization of the corporation. The officers of the corporation who shall hold offices un til their successors are elected and qualified are, as follows: A. E. Parker, President. E. E. Ringdahl, Vice President. 1. J. Joyce, Secretary and Treasurer. The Board of Directors shall have full power and authority to fill va cancies in its memberships and to do eveiy act and thing, and transact any business within the power of the cor poration and to delegate such power and authority as it may deem expedi ent to any officer or agent of the cor poration. ARTICLE VI. The amount of the capital stock of the corporation shall be Fifty Thousand ($50,000.00) Dollars, divided into Fifty Thousand (50,000) shares of the par value of One ($1.00) Dollar each such stock shall be issued under the direc tion of the Board of Directors, and shall be paid in from time to time as called for by the Board of Directors. The Board of Directors may issue stock in exchange for property or ser vices and the judgment of the Board of Directors shall in the absence of fraud be conclusive. ARTICLE VII.
