We, the undersigned, for the pur pose of forming a corporation, do here by associate ourselves as a body cor. porate and do adopt the following Articles of Incorporation: I- The name of this corporation shall be Cochrane Candy Company.' II, The general business of this corpora tion shall be to manufacture, and to buy and sell, at wholesale and retail, goods, wares and merchandise of any description, more especially candy, to bacco and articles of a similar charac ter. HI. The principal place of transacting the business of this corporation shall be the City of Duluth, St. Louis County, State of Minnesota. IV. The time for the commencement of this corporation shall be November 1st, 1919, and the period of its duration shall be thirty years. V. The names and residences of the per sons forming this corporation are Alta Cochrane, Regina Erspamer and Ruth Barncard of Duluth, Minnesota. VI. The management of this corporation shall be vested in a board of directors, composed of not less than three nor more than five members. The names and addresses of the first board of di rectors are Alta Cochrane, Regina Er spamer and Ruth Barncard. all of Du luth. Minnesota. The first officers of this corporation shall be Alta Cochrane. President and Treasurer Ruth Barn card, Vice-President and Regina Er spamer, Secretary. All of the above named officers and directors shall hold their respective offices aforesaid, until the first annual meeting of the cor poration to be held on the 8th day of January, 1920, at which time and an nually thereafter a board of directors shall be elected from and by the stock holders of the corporation. VIL The annual meeting of the corpora tion shall be held at its principal place of business on the second Thursday of January in each year. Immediately after the election of directors, or as soon thereafter as practicable, the di rectors shall meet and elect from their number or from the stockholders a president, vice-president, secretary and treasurer. Any two offices, except those of president and vice-president may be held by one person. The direc tors and officers of this corporation shall hold their respective offices until their successors have been duly elected and entered upon the discharge of their duties. The first meeting of the stockholders and board of directors shall be held at Duluth, Minrflesota* on the 1st day of November, 1919, at 11 A. M. and 11:30 A. M. respectively. VIII. The amount of the capital stock of this corporation shall be Fifty Thou sand Dollars ($50,000) which shall be paid in in money or property, or both, in such manner, at such times and in such amounts as the board of directors shall order. The capital stock shall be divided into fifty thousand shares of the par value of One Dolar ($1.00) each. The highest amount of indebt edness or liability to which this cor poration shall at any time be subject shall be the sum of One Hundred I Thousand Dollars ($100,000).
