be the precinct club.

committee to investigate charges of suc-h

Sec. 11. A majority shall bo a quorum for
all purposes, and a majority without n meet

ceeding. Sec. 12. Appointments to public office,

of a department, or higher authority, shnll

Sec. 13. A proxy may bo given by a mem
ber of a district commltteo to n member or
tho precinct club from which the mombcr
was elected, or to another member of tho
district committee from tho snmo club, or to
the secretary of the district commlttco, but
proxies given to the secretary shall be used
only (1) In counting n quorum and (2) In

Section 1. Tho Territorial Central Com
mltteo shall consist of thirty members chos

district to bo entitled to ns many members
on Biicli Committee as such district has rep
resentatives In tho Houso of Representa
tives. Sec. 2. Thoy shall hold offlco until the
next Territorial Convention succeeding their

tco shall fill all vacancies In Ihe Commlt
tco upon tho nomination of tho remaining
members or tho district In which tho vacan
cy occurs, but tho porson elected to fill such
vacancy shall bo a resident ot the district

such vacancy occurs, iho Secrctnry shall nt
once notify tho icmalnlug members and
whenever tho majority or such remaining

sor and shall so certify to tho 8ecretnry, the
successor bo agreed upon shall thereupon
become a member of said Commlttco to fill
Sec. 4. Tho Territorial Central Commit
tee shall meet from tlmo to time ns It Bhall
iletermlno, elect such officers nnd promul
gate such rules and regulations ns It sees
fit; shall call all conventions nnd prhmrles
nnd conduct tho general cmnpalcn within
tho Territory and hnvo general supei vision
of tho nffnlrs of the pnrtv.
Sec. 5. Tho officers of tho Torrltorlnl Cen
tral Commltteo shnll ho n Chairman, Vice
Clmtrman, fiecrelnry, Asslslnnt Secretary
and Treasurer, who shall hold their offices
until n now Committee Ik elected nhd until
their successors nro elected, unless sooner
removed for cnuso bv nn affirmative voto of
two-thirds of tho membeisnip of tho Com
mlllco. Sec. 0. Tho Chairman bball prctddo at
all meetings of the Committee and shall, ex
otflcio, bo a member of all Its standing Com
mittees, Ho shall havo tho right to bo
present and to take part in any meeting of
any district committee or precinct club or
the executive committee thereol, but with
out tho right to vote. .Ho shall appoint all
standing and special committees unless tho
Commlttco Bhall otherwise direct.
Sec. 7. The Vice Chairman shall. In tho
absence, illness or oCTier disqualification of
tho Chairman, perform his duties and bo
possessed of all his rights and privileges,
lie shall havo t&o right lo attend nnd par
ticipate In any meeting of any committee,
but ho shall liaveho voto therein.
Sec, 8. Tho Secretary Bhall notify tho
members b the" Commlttco of tho tlmo and
place of all meetings of'flio Committee, keep
a true record of tho proceedings thereof and
Bhall net as Secretary of all standing and
speclnl committees nnd keep full and accur
ate reports of the proceedings thereof. Ho
shall bo subject to the direction ot tho Com
mutco, but need not bo a member thereof.
He Bhall receive such compensation for his
services ns shall bo fixed by (ho Commlttco
from tlmo to time.
Sec. 9. The Assistant Secretary shall aid
tho Secretary In tho discharge of his duties
and. In his absence, Illness or other disquali
fication, shall act for him. Ho ncccT not bo
a member of the committee nnd shall recelvo
as compensation for his services such a
sum ns tho Committee shall determine.
Sec. 10. The Treasurer shall receive nnd
hold in trust all funds of the Committee,
and, when In funds, shall honor nil drafts
on him hy tho Committee, but no money
shall ho paid out by tho Treasurer savo
upon voto of the Territorial Central Com
mltteo or tho Executive Commltteo thereof
and upon the certificate of such voto Btgncd
by tho Chairman nnd countersigned by tho
Secretary of the Committee.
Sec. 11. Proxies may bo used at any meet
ing ot the Territorial Central Committee, but
no proxies shall bo used except by n mem
ber of the Territorial Central Committee, n
member of the last preceding Territorial
Convention, or a member of a district com
mittee. Si'c. 12. No person shall hold more than
two proxies, nor shall nny pel son hold any
proxy unless hn resides In the same district
with tho momber giving the proxy.
Sec. 13. Tho Territorial Central Commlt
tco shall meet on mo first Saturday of each
and every month nt Republican Territorial
Headquarters, Honolulu, nt 7:30 p. m.. and
at siicn other times as tho Commltteo may
by resolution dlrcct; provided, that tho
Commlttco shnTi havo power to adjourn over
Trom ono month until the first Saturday of
tho second month tnereafter by a majority
voto of thoso present. Called meetings shall
be held upon two weeks' notice by tho Sec
retary to tho various members, when direct
ed so to do by the Chairman or tho Execu
tive Committee of the Territorial Central
Committee, or hy the written icquest of
flvo members of the Commltteo.
See. 14. One-third ot the membership
shall bo a quorum for nil regular meetings.
ARTICLE IV. EXECUTIVE COMMITTEE.
Section 1. The Chairman of tho Territo
rial Central Commlttco shall nppolnt, upon
the nomination of the members from their
rcspectlvo distilcts, an Executlvo Commlt
teo to consist of nine members, ns follows:
Tho Chairman of tho Territorial Central
Committee; fiom the First Representative
District, ono; from tho Second Representa
tive District, one; from the Third Repre
sentative District, one; from tho Fourth
Representative District, two; from the Fifth
Representative District, two; from ho
Sixth Representative District, one.
Sec. 2. Jl'ho Executlvo Committee of tho
Torrltorlnl Central Commltteo shall havo
full chnrgo of the affairs or the parfy In tho
Intervnl between tho meetings or tho Terri
torial Central Committee. Tho Chairman
and Secretary nnd Treasurer or tho Terri
torial Central Committee shnll ho ox-offlclo
Chairman. Secretary and Treasurer respect
ively of the Executive Committee, but tho
Secrotrry end tho Treasurer shall have no
vote thcieln ns such officers. Tho olher of
fleers or tho Territorial Central Committee
shall bo entitled to attend nil meetings of
the Executive Committee and participate
therein, hit without a voto.
Sec. J. Tho EiiOcutlvo'Commltteo shall
jncet at suili times as It may decide, and
upon call by the Chairman, or upon tho
written icquest or two members, given ono
day In ndvnnco of the date of tho meeting.
Sec. 4. Any member of tho Executlvo
Commlttco absent from Honolulu shall glvo
his proxy In writing to a member of tho
Territorial Central Committee, provided ho
he not n member of tho Executlvo Commit
tee, nnd lu the event of his failure so to do,
tho Chairman shall appoint a Member of tho
Tciiitorlal Central Commltteo to net until
tho retrrrfi of such mombor leaving Hono
lulu, tho nppolntee to bo from tho samo dls
tilct ns such ab3cntco and to ho nominated
by urn member or members representing
such district; provided, hat no member shall
hold moro than one proxy for the Executlvo
Committee, nor Bhall nny member of the
Executlvo Committee hold Iho proxy of
another member thereof or be appointed to
net for him during his nhsence.
Sec. 5. Any member of the Executlvo
Committee absenting htmscir from tho Ter
ritory of Hawaii for six months shall forfeit
his seat on such Committee, nnd his place
shnll bo filled hy appointment by tho Chair
man of tho Territorial Central Commlttco
upon tho nomination of tho remaining mem
bers of tho Torrltorlnl Central Commltteo
representing tho district where such vacan
cy mny occur. Vucancles arising from olh
er causes shall bo filed In lll.e manner. The
Secretary shall notify the members who are
to namlnato tTio successor and upon a ma
jority of such members filing their nomina
tion with tho Secretary, tho nomination shall
bo transmitted to tho Chairman, who shall
appoint such nominee to fill such vacancy.
Sec. fl. Every applicant or candldato for
Territorial appointment shall securo tho en
dorsement of a majority of tho executlvo
commlttco of the- district committee of tho
district In which he resides nnd tho npprov
al of tho Executlvo Commltteo of tho Terri
torial Central Committee.
Sec. 7. Tho rfiembers of tho Territorial
Central Commltteo or each dlstilit shall con
stitute n sub commlttco or tho Territorial
Central Committee for that district. Tho
members or tho Executlvo Commltteo shall
nit ns tho Chnlrmen or such Btih-commltteeH
for their rcspectlvo, districts, and they shall
supervise the affairs of their re&pectlvo dis
tricts nnd net in harmony with, tho Execu
tlvo Commltteo thereof.
