The Interhoiousb-Metropoiltan Company baa been organized under the laws of the State of New York, and is to authorize the follower
lßsnts of securities:
$55,000,000 Five Per Cent. Cumulative Preferred Stock.
5100.000.000 Common Stock.
570.000.000 Four and a Half Per Cent. Collateral Trust Gold Bonds.
The Preferred Stock is to be entitled to preferential dividends from April 1, 1900, at the rate of five per cent per annum,
payable quarterly, on the first days of January. April. July and October, and is to be preferred also ns to capital. The certificate of Incorpo
ration of the Company provide* that the preferred stock shall have no voting power except as In Raid certificate provided and in case of
default in payment of dividends thereon and so long as such default shall continue, but that the preferred stock cannot be Increased without
tie consent of the holders of two-thirds In amount of the preferred stock at the time outstanding, and that no stock having prior right* can
be created. *

The Collateral Trust Honda are to be secured, under a trust agreement with Windsor Trust Company as Trust* by the
pledge and deposit of all shares of the capital stock of the Interboro ugh Rapid Transit Company (or voting trust certificates therefor) which
may be acquired by the Company and are to be Issued only against such deposit and pledge at the rate of $1,000 in bonds for each five shares

April 1. 100* payable seal-annually on the first days of April and October, both principal and interest to be payable In the City of New York
In gold coin of the United States, of or equal to the present standard of weight and fineness, without deduction for any tax which the Company
may be required to pay thereon or retain therefrom under any present or future law of the United States, or any state, county or municipality
tberem. They are to be coupon bonds for $1,000 each, with the privilege of registration as to principal, and also registered bonds; the coupon
bonds and registered bonds may be made interchangeable under regulations to be prescribed by the trust a«Teement
The undersigned Committee has been formed to effect, on behalf of holders of stock of the above-named companies depositing their
stock as hereinafter provided, the sale of their stock for securities of the Interborough-Metropolitan Company; and has entered into an agree
ment dated January 20. 1908. with August Belmont & Co., a counterpart of which is lodged with Morton Trust Company the depositary here
inafter named. By the agreement (which contemplates the issue by the Interborough-Metropolitan Company of its entire capital stock except
amounts at the rates stated below In respect of stock of the above-mentioned companies not acquired by it) August Belmont & Co. will receive
55.700,000 commo'. stock, the residue of the issued common stock cf the Company not deliverable to depositors thereunder and' have under
taken to pay into the treasury of the Company $2.2u0.000 in cash and also to pay all expenses in connection with the organization of the
Company and the contemplated acquisition by it of shares of the stock of the above-named companies. including all incorporation fees
transfer taxes. Trust Company charges, and compensation to the Committee and to counsel. August Belmont ft Co. are also to subscribe for
frJ.OOO.tHXi of the preferred 6tock of the Company and pay therefor par in cash.
Holders of stock of the above-named companies may. subject to the conditions hereof, and of said agreement, sell their stock for securities
Of the Interborough-Metropolitan Company upon the following terms:
For each share of stock of Interboroußh Rapid Transit Company (Voting Trust Certificates),
Collateral Trust Bonds $200
Common Stock (Trust Certificates) $99
For each share of stock of Metropolitan Street Railway Company,
Preferred Stock $100
Common Stock (Trust Certificates) 555
For each share of stock of Metropolitan Securities Company (with $75 per share paid).
Common Stock (Trust Certificates) .' $93. 50
Scrip will be issued for fractional amounts of bonds and preferred stock and common stock (trust certificates) but such scrip will not
carry interest or dividends.
Holders of stock of said companies, who desire to sell their stock on these terms, must, on or before March 1, 1906, or such later
date as the Committee may in its discretion from time to time fix, deposit their certificates of stock with proper Instruments 'of transfer In
blank duly executed, with Morton Trust Company, 38 Nassau Street, New York, under said agreement, to which,
by such deposit, their rights become subject and by which they become bound. Certificates for stock of Metropolitan Se
curities Company must show payment of the third instalment of $25 per share thereon. j
For all stock deposited, Morton Trust Company will deliver proper deposit receipts, entitling the holder to the delivery of securities as
above stated, if the sale shall be carried into effect, or otherwise to the return of stock of the character and to the amount represented by
such receipt.
If the deposited certificates are transferred of record on or prior to April Id, 1906, any dividend payable on or prior to said April
16, 1506, in respect of the certificates so transferred or for payment of ichich the transfer books may be closed on or prior to that date will be
payable to the holders of the deposit receipts representing the deposited certificates in respect of which such dividend may be collected.

Chicago. Feb. 21.— Activity, which was a feature
of the wheat trade all day. continued to the close,
the May price varying between 81'Tsc and 82c, closing
at 82^c to 82% c, or He over the close yesterday.
July ruled %c and lc under May. Reports that a
number of mills at Minneapolis will close down en
couraged bears, and the German-French political
news, with some bad crop reports from Illinois and
Missouri counties, helped buyers. Corn futures had
a break with the lower cash market, but closed
with only email loss for the day. May corn closed
at 42%0 to ■O4C. Oats showed strength at 29?6c for
May. Provisions closed strong at about best prices.
The wheat market opened with an Initial advance
of \±c over yesterday's closing figures, and there
was good action during the greater part of the ses
sion. Late>r there was a break of lc, when there
followed excellent buying, a quick rebound of )fcc
ensuing. The market was left a little bettor at the
close than yesterday on the final rally of 4c. Local
receipts were IS cars. Estimate of to-morrow's re
ceipts, six cars. May closed at K',£c to 82}« c: the
highest was 82Tic. and the lowest S.V. July sold
from 82* c down to El He, closing at 82Hc to £>•'>-.
The corn market was too he.vy at the start to
receive any benefit from the strength In wheat.
Large holders threw their holding* Into the pit all
the forenoon. Increasing In volume as the price
repeded. The sample market was still weak. Local
receipts, 344 cars, and shipments hence, 165,000 bush
els. Estimate of to-morrow's local receipts. 416
cars. The highest for May was CVie. the lowest
41i»c to 42% c; ill* close was C%c to 42?ic. July (told
from 43 6 iC down to 43>ic closing at 42\c to i^'-^c.
