j ing debt and taking the road out of the hands of
the receivers It Is Impossible t guess
The best course to pursue for all parties ex
cept tho bankers who would get a handsome
commission for financing a reorganization
would seem to be to let things remain M they
L ire The receiver can ruu the road as well un
der the name ot receivers as they could under
any other designation and they have privilege
a receivers In tho way of borrowing money of

h deprived Tho Second Consolidated Mortgage

they could get no more If they organized them

I the history of tho enterprise has been marked
from Its very beginning The original charter
of the New York and Erie Railroad Company
granted bJ the Legislature of this State In 1832
fixed Its capital at 10000000 with no ro
1 vision for a funded debt The road was to b
gin at this city and to extend through the
southern tier of counties t the shore of Lake
Erie at some eligible point between the Cat
tarangus Creek and the Pennsylvania line
Combinations with other railroad companies In
I New Jersey or Pennsylvania and even the con
struction of of the road the territory

this was the reatcn why for so many yean the

tho requisite subscription were not made
with alacrity appear from the fact that the
construction of tho road was not begun until
1830 and that then the necessary money to the
amount of 3000000 was lent t the company
by the State of New York the State

cured by a first lien upon the property Even
this assistance failed to insure success and in
1843 the company had to make a assignment
for the benefit of Its creditors
On this occasion as on many later ones application
plication was made to the creditors of the

pany for help The people of the State were
again appealed t and their Legislature gener
r ously remitted to tho company the 1000000
debt due from I upon the easy condition that
an equal amount should b furnished by Indi
viduals and applied to the completion of the
t road With the money obtained In this and
other ways the rood In 18S1 was finished after
a fashion from PIcrmont t Dunkirk on Lake
Erie that being elected as tho most eligible
point t on the lake a the charter of the com
pviy required Fate however was still adverse
t the undertaking and after Increasing its
capital to 11000000 and Its funded debt to
138000000 the company In 1H30 again b
csme bankrupt and Its property was surrender
eJ this tUne not to an assignee hut to a receiver
Tho receivership lasted only two years and
J In ISill the company was reorganized with the
conversion of SH800000 of iti debt Into what
I now preferred stock thus reducing the debt
to 20000000 A shortlived period of pros
perlty followed growing out of the speculative
eieltcmcnt of the war and for a year or two
dividends at the rate of I per cent per annum
were paid upon the common stock and 7 per
