authorized'an increase of the capital stock

offered to the stockholders of record on
April 5, and the terms of subscription are
such that each : subscribing stockholder
■will enjoy a "right" equivalent to about
$31 .bonus, on each share of old stock. .
The new stock Is to be issued at par
(Great Northern shares were quoted 205
to-day 1 but it will cost the subscribing
stockholders $80 a share. The reason for
this • liberal "treatment of the old
shareholders is explained in President
Hills circular as follows: - ■
Since'the company took possession of the
property of the St. Paul. Minneapolis &
.Manitoba- Railway company under the lea««j
of Feb. 1, 1900, it has advanced, out of Us
.revenues for permanent additions to the same
more than $5,000,000, that have never been
repaid to it. Under provisions of the lease,
framed to cover such cases, the. St. Paul,
Minneapolis & Manitoba Railway company,
for the purpose of acquiring title to such
additions, to the extent of $5,000,000, agrees
to issue Its bonds to that amount. The
'money so advanced by this company be
longed to its "stockholders and might have
been paid to them in dividends upon their
holdings of its stock but for its use in mak
ing these advances' mentioned. v :V^-":..
Stockholders will be entitled to sub-
Scribe to $25 of new stock for each share
of their holdings of the stock now out
standing. The proceeds will be used to
acquire new lines that will add more than j
500 miles to the railway's controlled by
the company and to acquire control of
the Great Northern Steamship company's
new ocean steamships, of which two, de
signed for the Pacific ocean trade, are now
under construction at New London.

Junien J. Hill Denies That He Has
Absorbed the Burlington.
James J. Hill, who Is at present in
New York, has found time to deny that
he has " designs on the Burlington. "It
isn't true," says Mr. Hill, "that the Great
Northern, with the Northern Pacific,
either has purchased a controlling inter
est in the Chicago, Burlington & Qulncy
railroad, or that we have negotiated to*
lease that road. We have secured no
interest in Burlington stock through Mor
gan or Harriman. We are attending to
our own business in our own way, and
rind that the successful management of
one railroad can keep us busy."
While Mr. Hill's statement is explicit,
it, is rather hard on his press agent,
who has been working over time lately
in an effort to have Mr. Hill consolidate
every railroad in the United States.

UNSOLD X. P. LANDS
Holder* of Preferred Have a Propo
sition for Directors.
Owners of preferred stock have made
a proposition to the directors of the
Northern Pacific relative to the disposi
tion of some 21,000,000 acres of land grant
land west of the Missouri river. The
proposition has been before the holders
of preferred for some time, who are will
ing to give up their stock in exchange
for this land at par, taking up all of the
unsold lands of the Northern Pacific in
that territory.
• Dividends on stock, amounting to $40,
--000,000 under the proposition, would then
cease, and this of itself is one of the
strongest inducements presented to the
directors for the exchange. On the other
hand, the preferred stock cost the stock
holders, in round numbers, about $80 a
share, so that if they turn it in on the
purchase of land at par— a share—
they will realize at once a profit of $8,000,
--000. In other words, they will receive in
exchange for stock that cost them $32.
--000.000 land valued at $40,000,000.

George J. Gould has been in conference
with officers of western roads with a view
of combining all of the Gould roads in
the west and southwest with a capitaliza
tion of $250,000,000 or $300,000,000 and with
a total of about 13,000 mileage.
: The chief roads concerned . in the pro
posed deal are: Missouri Pacific. St.
Louis, Iron. Mountain & Southern Rail
way company; St. Louis Southwestern,
Texas & Pacific, International & Great
Northern. Wabash Railway company.
. Practically all the stock of the St.
Louis, Iron Mountain & Southern Rail
way company is already owned by the
Missouri • Pacific.

New York, March 19.—President A. B.
;Stickney of the Chicago Great Western roal
stated to-day that the company had pur
chased from President J. J. Hill of the Great j
Northern all the outstanding stock and bonds
of the Mason City & Fort Dodge railroad. ,
The .terms of purchase, are not stated. The j
road will be held as a proprietary line of |
the Chicago Great Western and not incorpor
ated into the system. The purchase includes
the coal fields near Fort Dodge, owned by
the Webster County Coal company.
Bridge the Colombia.
Tacoma, Wash., March 19. —The big steam
ferry now operated by the -Northern Pacific
railway between Kalama. Wash., and Globe,
Oregon, will soon be a thing of the past.
President Mellen has an engineering force
planning to build an immense bridge across
the Columbia during the next few years.
. Brunswick a Leading Port.
New York, March 19.—The Brunswick Dock
company announces that comprehensive plans
have been completed-for the development of
that property. According to these plans,
Brunswick is to be made a leading port for
the shipment of coal and breadstuffs, as it
already is for its lumber output. ' -^y: ■

Vancouver, B. C.. March 19.'— The Canadian
Pacific railway has made a radical reduction j
in passenger charges. Commencing on April '
1, passenger rates on the Pacific division will
be reduced per cent, and local round trip
tickets-will carry a further "reduction.

Up to the present* $1,441. of state taxes
has been' paid by the railroads, and there are
still several small roads to hear from. The
total collected during 1899 amounted to $1,442,
--860.13, being an increase of $1,463.06 over the
