pended the anro of one hundred dollars in
labor and improvements upon the following
described mining claim during the year A.

dred dollars in labor and improvements
upon the aid following described mining

the farther sum of one hundred dollars in
labor and improvemeata upon the Mid fol
lowing described mining claim during the
year A. D , 1891, in order to hold said
premises under and by virture of the pro
visions of section 2324, Revised Statutes of
the United States being the amount ro

worth Mining District, County of Yuma
and Territory of Arizona and known as

cember A. D., 1888, the notice of location
-whereof was duly recorded in the office of
the County Recorder of the County of
Yuma, Territory of Arizona, on tho 9th
day of January, A. D., 18S9, in book E of
Rejorda of Mines, at pagc3 42S and 429,
and reference is hereby made to said record
for a more particular description of said

Frank H. Woodwortb, desiring to Incorporate our
selves under the provisions of tbo laws of tbo
Territory of Arizona, and especially an Act of the
Legislative Assembly thereof, entitled "An Act
Concerning Corporation?," approved Starch 8th,
13S7, for tho purpose of engaging In tho business
and enterprise hereinafter mentioned, do make,
subscribe and acknowledge in triplicate, these
Articles of Incorporation, as follows, namely:
Tbo nameof this corporation, and by which it
shall hereinafter be known, is the South Gila Im
provement Company, and tho principal place for
trai cacting business is tho town of Chrystoval,
County of Yuma, Territory of Arizona.
The business and enterprise in vhich this cor
poration proposes to engage, shall be to acquire,
own, bold, xnanago and control by purchase, deed,
gift, grant, conveyance, lease or location, real
estate and rights and interests therein of every
kind and nature, and also to acquire, own. hold,
manage and control persons! property, contracts,
choses in action, and property rights and interests
of every kind and nature, and to sell the same or
any part thereof for itself, and on its own account,
or for others, for a commission, to borrow and loan
money and to carry on the business of banking in
all Its branches, to give and take mortgages and
other security for money borrowed or loaned, to
buy and sell goods, wares and merchandise, and to
conduct and carry on a general mercantile business
In all its branches, to acquire water and water
rights and privileges by location, purchase or
grant, and to sell and le&so the tame, for irrigating
manufacturing, power, or domestic purposes, to
construct and maintain dams, canals, ditches,
pipes and reservoirs for diverting, receiving, con
ducting and distributing water, to construct build
ings and warehouses, and to buy cell and lease the
same, to construct roads and other public im
provments, and to maintain the same, to purchase,
hold and sell stock in other corporations, to build,
construct, own and operate telephone and tele,
graph lines, or to lease the same, to purchase, ac
quire, own and operate raUroads and tramways to
be run or opsraUd by steam, electricity or oth r
approved motive power, and to lease the same.
Tho amount of the capital stock of this Corpor
ation shall be two million Sve hundred thou and
dollar (32,530,000), divided into two hundred and
fifty thousand (iS53,000) share of the par value of
ten dollars ($10) per share, and the same when paid
shall be non-assessable, and the said capital stock
shall be paid in at the time and under the conditions
ordered and authorized by the Board of Directors of
The time of the commencement of this Corpor
ation shall be the day of the filing of these artlclcg
in the office of the Recorder of the County of Yuma,
Territory of Arizona, and shall terminate twenty
five (25) years thereafter.
The highest amount of indebtedness or liability,
direct or contingent, to which this corporation is
at any time to bo subject, is the sum of one million

The affairs of this Corporation shall be conducted
by a Board of Directors, composed of five (5) per
sons who shall be elected annuilly by the stockhold
er?, and shall hold office for one year and until
their successors are elected and qualified. The
time and manner of said election shall be provided
for in the by-laws cf said corporation. Said direc
tors shall be subscribers to the capital stock of said
corporation, and no person shall bo eligible to said
office unless he be a stockholder in the corporation,
and any person ceasing to be a subscriber shall
cease to be a dhector, and hereafter if any direc
tor shall cease to be a stockholder he shall cease
to be a director.
The Board of Directors of this Corporation shall
have power to establish by-laws, adopt a Corporate
Seal and make all rules and regulations necessary
for the management of the affairs of this Corpora
tion, and the officers thereof.
The following named persons who aro sub
scribers to tho capital stock of this Corporation,
shall c-nstUute its Board of Directors until the
first day of March 1833, and until their successors
are duly elected and qualified, to wit: Horace G.
Damon, Henry D. Underwood. Frank H. Wood
worth, George W. Cameron and George H. Lewis.
The stockholders and their private property
shall be exempt from the Corporate debts of this
