All the powers of this corporation shall he vested in and exercised by a board of three directors, to be elected each year by the stockholders at the annual meeting; :aid directors shall be owners of at least one share of stock, and the first board of director: shall consist of Arnaud Bloch, who ;hall be president; Leo Bloch, who shall be vice president, and Marcel Himmler, who hall be secretary-treasurer, all residents of the city of Donaldsonville, parish of As cension, state of Louisiana, and all of whom :hall hold otfice until the first Monday of February, 1917, at which time a new board of directors shall be elected to serve for one year thereafter or until their success ors are elected and qualilied. The regular anniial meeting for the election of directors hall be held on the first Monday of Feb ruary of each year, or in the event of the failllre to hold the election on that date, the reshiblint of the corporation shall call a spccial meeting of the stockholders for that purpose, after complying with the pro vision. iereiiialter contained.
