Method of Voting. At stockholders' meetings each share of stock shall be entitled to one vote. Stock may be voted by its owner or hy proxy. provided proxy is properly executed. All votes shall be taken by shares unless unanimous c0n1;Ut is given to vote otherwise. Article IX. Bonds-The -president and treasurer before entering upon the discharge of their tespective duties shall give bonds in such sums .and forni as the directors shall re quire. Article X. Annual Reports.-The directors through the $resident of the company shall sibmit an annual state ment of the. affairs of the company to the stockholHers at their regular meeting. Article XI. Notice of Meetings. The secretary shall give 'written no tice to each stockholder at least two weeks before a stockholders' meeting. enclosing therewith a blank proxy .orm. Article XI. Amendments.-No amendment or change to this consti tution shall be made. except by, a two-thirds vote of.the stock present and voting. The election of directors was then entered upon and resulted as stated above. To Have Choice of Seed. Prof. W. K. Sligh offered the fol lowing resolution. which was adopt ed: Resolved. That every stockholder bind himself to givi this company the orefusal of all the seed he markets. The following resolutions were also offered by Prof. W. K. Sligh and adopted: Resolved. That the directors are hereby instructed to take the proper steps to procure a charter. 2. - That the directors are hereby authorized to continue the canvass for subscribers to the capital stock and to raise the sum to $3o.ooo, if possible, but not beyond. 3d. That the directors make an earnest effort to get every farmer to take stock and in the event that more than- S3o.ooo shall be.. subscribed the preference shall be given to the small subscriber in .awarding the shares'. 4th. That the directors are hereby empowered and instructed to proceed to secure a site and to erect such mill as the capital stock will warrant. Sth. That the directors are hereby authorized to fix the terms upon which the capital stock shall be paid in. To Meet Tomorrow. The directors held a conference im mediately after the adjournment of the stockholders' meeting and decided to meet tomorrow for the election of of6cers and the t'ransaction of other business.
