HART all of lawful age, and re sidents of the Parish of St. John the Baptist, State of Louisiana, who declared to me, Notary, in the presence of the undersigned witnesses, that, availing taem selves of the provisions of the laws of this State relative to Corporations, they covenant and agree, and bind themselves, as well as such other persons as may nereafter become associated with them, to form and constitute a corporation and body politic in law, for the purposes, objects stipulations, article and condi tions, to-wit: ARTICLE I The name and title of this cor poration shall be the MESCHA CEBE PUBLISHING COM PANY, LIMITED, and its do micile is hereby established in che Town of Edgard, _'arjsh o St. John the Baptist, and under its said corporate name, said cur poratiQJn shall have pok er and authority to contract, sue and be sued; to make and use a corporate seal, and the same to break or alter at pleasure; to hold, receive ihave, purchase, improve, alier'ate convey, sell, operate, pledge, mnortgage, and hypothecate, under its said corporate name, property real, personal and mix ed; to name and appoint such officers, directors, agents, man agers and employees as the in terest or convenience of said Corporation may require; to make and establish by-laws, rules and regulations for the proper man agement of its affairs as may be due, necessary and proper, ano the same to change or alter at pleasure; and to do all and every act and thing permitted by law, 6r as shall or may be necessary and proper to carry out the I oh.ts and purposes of said cor poi~ation The said Corporation, unles, sooner dissolved in accordance with its charter, shall exist and continue for a period of ninety nine years from and after date hereof. The President or in his absence the Secretary-Treasurer, shall be the proper person upon whom citation or other legal process shall be served. ARTICLE I The objects and purposes for which this corporation is organiz ed' aid tle nature of the busi ness~ o b4 carried on by it, are declared to be the following, to wit: To own," manage, operate and publish a newspaper in the Parish f St. John the Baptist; to lease let or hire said business or plant; to do job printing of every des cription, and generally to do. all things pertinent'to the conduct of a newspaper. ARTICLE III The-capital stock of this corpo ration shall be Three thousand ($ $000.00) dollars, diviaed into aud repqesented by thirty shares of the. per value of.One Hundred I 10( ) )do allaeac, which said stock °huli* for in cash or m in Any stockholder may sell or transfer his StocK in this corpora tion, provided thirty days prior notice of such intention to sell or transfer the same shall be given to the Company, and the other stockholders thereof shall have the first privilege of purchasing same; after which thirty days' notice, the said stock may he sold in open market. The stock of said corporation may be trans ferred under the above proviion provided such transfer thereof be made on the books of the Com pany, at its office, and at the surrender of the certificate here for. This Corporation shall com mence doing business as soon as Three thousand ( $3000.00) dol lars of the capital stock shall have been subscribed for. ARTICLE IV The corporate powers of this company shall be vested in and exercised by a Board of Three Directors consisting of the Presi dent, Vice-President and Secre tary-Treasurer. Two of said Board shall constitute a quorum for the transaction of business. The following shall constitute the first Board of Directors: PAUL BERTHELOT, President, WIL LI A M J. HART, Vice- President, EUGENE DUMEZ, Secretary 'I reasurer. No person shall be eligible as a Director who is not a stockholder of this corporation. This Board shall continue in office until the Firs) day of May, 1915, on which date and annually thereafter on the first day of May, the Board of Directors shall be elected each year. Notice of such election shall oe given by registered letter directed by the Secretary-Treas urer' to each of the Stockholders of the Corporation. Any failire, rrom any cause whatsoever, to elect Directo:s on the day named for that purpose, shall not die solve the corporation, but the Directors then in office, shall holo over until their succesprs are chosen. At every election ano ineeting, each stockholder shall oe entitled to vote for each share of stoc registered in his name upon the books of the corpora tion, and may vote by proxy. The election of the Board of Directors shall be by ballot. ARTICLE V The Board of Directors shall have full power to fill vacancies caused by death, resiznations or otherwise, from among the stock holders of said corporation.
