JULIUS HERMAN MINUTES OF TOWN COUNCIL Pursuant to the adjournment taken Sept. i2th, 1912, the mayor and the common council of the town of Flagstaff met in the town hall, Tuesday September 24th, 1912 at 8 o'clock p.m. Present Mayor Treat, Councilmen McGon igle, Switzer, Suit and Wilson. Clerk Fleming. Absent Council men Black and Yaeger. This meeting was called for the purpose of securing the services of the Hon. E. M. Doe to assist in the condemnation proceedings in stituted by the town of Flagstaff against the Atchison Topeka & Santa Fe Railroad, said proceed ings to come before the United States District Court at this ses sion. Also to have the town marshal! enforce the ordinance relative to the roaming of stock within the town limits. The fol lowing resolution was presented and read. A resolution by the mayor and common council of the town of Flagstaff, relative to the employ ment of the Hon. E. M. Doe to assist the Hon. E. S. Clark in the condemnation proceedings instit uted bv the town of Flagstaff against the Atchison Topeka & Santa Fe Railroad, in behalf of its water system. Resolved, that the said Hon. E. M. Doe be paid a fee of five hundred dollars ($500,00) and all necessary expences incurred by him in assisting in said condem nation proceedings, said proceed ings to come before the United States District Court, Phoenix, Arizona, Sept. 30th 1912 and to be set for a later date. Be it fur ther; Resolved that in the event of the said condemnation proceedings being appealed or transferred to a higher court, and the services of the said Hon. E. M. Doe being required therein, his compensation therefore shall be a matter of future agreement. Moved by Councilman Suit and seconded by Councilman Mc Gonigle that the above resolution be adopted and calling for a vote on same. The vote as follows: Messrs. Treat, Tult, McGonigle, Switzer and Wilson, Ayes. The above resolution was car ried bv a unamious vote of the council. The clerk was instructed to issue warrant in payment of fee. The Exmoor War. Upon motion which duly carried the clerk was instructed to issue a warrant in the sum of fifty dollars ($50.00) out of the water fund, payable to Hon. E. S. New Wagon Scares Them James Vandenus Zebo Hance, the gentleman who has a handful of burros attached to an express wagon, was in the center of con siderable excitement Wednesday morning, all of which was caused by attaching them to a new ex press wagon with lemon colored running gear. When the Jack asslets turned around and dis covered what they were up against, they started for the county hospital with the layout. By the united efforts of J. Frank Brooks Dr. E.' Solomon Miller, Tom Munchansen Smith, a telegraph pole tand Jim Hance, they were talked into being reasonable and compelled to stay put down town. By care fully facing them away from the oat bin, they will now stay put. T. L. Parks, Murrayville, Ga., Route 1, is in his 73rd year, and was recently cured of a bad kidney and bladder trouble. Hawkins, Maine; postofficc Williams, Ariz. aug. 2-tf ENJOY THEMSELVES Charles White, a negro convict, presumably serving a life term in the Arizona state prison for mur der, but in reality drunk on the street in Globe, was arrested Monday afternoon b y Sheriff Frank Haynes and is now in the county jail, sobering up. Three other convicts from the same honor camp in the Pinal mountains near Globe, are also in the county jail sobering up. The three others were brought in from the honor camp Monday afternoon by Deputy Sheriffs Raw lings and Voris, who went to the camp after them in an automobile. When the officers arrived at the camp they found two of the convicts, Who give their names as Frank Williams, Jr., and Old Folks, tied up and ready to be loaded into the car. They had been drinking and were overpow ered and bound by some of the other convicts. One of them had his finger badly chewed by the other during the brawl. Camp Superintendent Marvin, who came to Globe to enlist the assistance of the sheriff's officers, stated that one of the gang had brought whisky to the camp from Globe Sunday night. The cook, who sas his name is Johnny Wil liams, is alleged to have brought the whisky to camp. When White, the life termer, was searched at the jail, about a dozen strchnine tablets were taken from him enough to kill a man with. White said he bought the poison for another man. Mack, President of THE BARBER ASPHALT PAVING COMPANY, a corporation created and organ ized under the laws of the State of West Virginia, has certified to me under his signature and the curporate seal of said corporation, that, at a meeting of the stock holders of said corporation, regu larly held in accordance with the) requirements of the law of said state, at the office thereof, in Philadelphia, Pennsylvania, (Land Title Building) on the 2Gth d a y o f December. 1908, at which meeting all of the stock of such corporation being lepre sented by the holders thereof in person or by proxy and voting for the following resolution, the same was duly and regularly adopted and passed, to-wit: "Resolved, That the authorized capital of The Barber Asphalt Paving Company be increased from 65,000 shares of the par value of one hundred dollars each to seventy thousand (70,00u) shares of the par value of one hundred dollars each, so that the authorized capi tal stock of said corporation shall be Seven million ($7,1)00.000.00) dollars." Dawson, Secretary of State of the State of West Vir ginia, do hereby certify that a Resolution and New Agreement duly acknowledged and accom panied by the proper certificate and affidavits, have this day been delivered to me, which Resolution and New Agreement are in the words and figures following: Whereas it is deemed desirable by the stockholders of The Barber Asphalt Paving Company, a cor poration created and organized under the laws of the State of West Virginia, 'that the obj'ects and purposes for which it was incorporated be enlarged and modi fied; therefore be it Resolved, by the stockholders of said Corporation, in stockholders' meeting assembled,, that the ob jects and purposes for which said corporation was incorporated be enlarged and modified in accord ance with and by virtue of the authority of section 10 of chapter 54 of the code of West Virginia, so that said objects and purposes hereafter shall be those set forth in the following new agreement, which new agreement is hereby adopted, towit: 1: The undersigned agree to be. and continue a corporation by the present name of The Barber As phalt Paving Company. 2: The principal place of busi ness of said corporation shall be located, as heretofore, at No. 806 F street, in the city of Washing ton, District of Columbia; said corporation will have no chief works. 3: The objects and purposes of this corporation shall hereafter be as follows: To carry on the trade or business of mining, manu facturing, producing, adapting and preparing, and buying and selling and otherwise dealing in asphalt, cement, stone, wood, bricks, blocks, tiles and paving materials of all kinds and any articles or products in the manu facture or composition of which asphalt or cement is used, and any articles or products which may be conveniently used in connection therewith or as a substitute there for, including the acquisition by purchase, mining, manufacturing or otherwise, of all materials, sup plies and other articles necessary or convenient for use in mining, manufacturing, producing, adapt ing and preparing asphalt and cement and such other articles or products; also to quarry, dig. mine, manipulate, refine, deal in and sell any and all kinds of min erals, stone, and other products of the earth, including petroleum; also to pave, construct, repair, improve and maintain streets, highways, roads and any nd all public and private works; also to engage in any business connected with the health, comfort or welfare of its employees; to supply by manufacturing or otherwise ma terials for its or their use; to utilize and dispose of the by products of its business, and gen erally to carry on any other manu facturing, trading or transportation business, by land or water, which can be conveniently carried on in connection with the matters afore-, said; also to purchase, acquire, hold, use and dispose of patent rights, letters patent, processes, devices, inventions, brands, labels, trade-marks and other rights, and also to do and transact all acts, business and things incidental to or relating to or convenient in carrying on its business as afore said; to subscribe for, purchase, or otherwise acquire and to hold stock, bonds, or other securities or obligations of any corporation, domestic or foreign, and to exer cise all the rights and powers inci dental to such relation. 4: The amount of the total authorized capital stock of said corporation will be three millions nine hundred thousand dollars ($3,900,000), divided into thirty- nine thousand (39,000) shares, of the par value of one hundred dol lars ($100) each; of which author ized capital stock the amount of three millions nine hundred thousand dollars ($3,900,000) has been subscribed and the amount of three millions nine hundred thousand dollars ($3,00,000) has been paid. 5: The names and postoffice addresses of all the stockholders, and the number of shares sub scribed for by each, are as fol lows, towit: POST OFFICE NCMBElt Or NAVE ADDUESS SIIAHE8 0F STOCK General Asphalt No II Broadway Company New Yorlt City 3C,M1 John M Mack, do I Aery D Andrews, do 1 Arthur W Jsewall. do I Cljde Brown, Philadelphia.
