Common Council of tho City of Globo:
SECTION I.
All contracts for work or Bupplies
or material for tho City of Globo
amounting to morn than Ono Hundrod
Dollars shall bo let. to tho lowost re
sponsible biddor undor such regulations
as tho Council may prescribe
All invitations for bids and notices
of letting contracts and othor notice
of a public charaotor issued by tho au
thority of tho Mayor and Common Coun
cil must bo published in some nowspapor
published iu tho City of Globo, in four
consecutive regular issues of a weekly
nowspapor, or in ton consecutive regular
issues of a daily newspaper.
SECTION II.
All applications for any spocial privi
lege or franchise must bo mado to the
Common Council at u rogular mooting
thereof, and if tlio same, in tho estima
tion of tho Council, exceeds in value
tho sum of Ono Hundred Dollars, notice
of such application for such privilogo
or franchise and invitations for bids on
the same, shall bo published as afore
said, and such privilege or ranchiso
shall bo lot to tho best biddor, after
publication of notice as uforesaid; pro
vided that if tho franchiso or privi
lege bo granted, tho party receiving the
samo shall pay tho costs of publication;
and provided furthor, that this shall not
apply to franchises for public utilities.
SECTION III.
All accounts or demands against the
City of Globe shall bo submitted to tho
common Council, and if found correct
must bo allowed uud an order made that
tho domand bo paid, upon which the
Mayor must draw a warrant upon the
Troasuror in favor of thp jownor speci
fying for what purposo it is issued and
out of what fund it is to bo paid, and
tho Treasurer must pay tho samo out of
tho proper fund.
SECTION IV.
All accounts and demands against the
City of Globo must bo presonted to tho
Council, duly itemized nnd accompanied
by an nfiidavit of tho party or his
agent, stating tho Bamo to bo a true
and corroct account against tho City
of Globo for tho full amouut for which
tho samo is presented and that tho samo
accrued as set forth and with all neces
sary and proper vouchers, nor must any
action bo bogun or maintained against
tho City of Globe for or on account of
any domand or claim against tho same,
unless Bitch demand, or claim- has first
been .presented to tho Council for ac
tiou thoreon.
SECTION V.
This ordinanco shall go into effect
and be in forco from and after its pas
sage.

That wo, tho undersigned, do hereby
associato ourselves togothcr for tho pur
pose of forming a corporation under tho
laws of tho Territory of Arizona, and to
that end, do hereby adopt the following
Articles of Incorporation:

The name of tho corporation shall bo
THE GLOBE-ARIZONA COPPER
COMPANY, and the names of tho incor
porators are J. B. Newman, S. L. Gib
son, F. L. Toombs, J. A. Bordeaux and
E. M. Toombs, all residents of the Ter
ritory of Arizona.

Tho principal placo of transacting the
business of this corporation and its
principal office shall be at Globe, Gila
County, Territory of Arizota, and at
such other places as the Board of Di
rectors may from time to timo desig
nate. HI.
Tho general nature of tho business to
bo transacted by this corporation is as
follows, to wit: To purchaso, lease,
bond or otherwise acquire, own, ex
change, sell or otherwise dispose of,
pledge, mortgage, hypothecate and deal
in mines and mining claims, mineral de
posits, mineral lands, water and water
rights, easemonts, servitudes, right of
way, shares and interests in the capital
or othor stock and properties of this
nnd othor corporations, and to work,
mine, explore, dovclop and operate
same; nnd to erect mills, smelters and
other plants necessary for the reduc
tion of ores; to own, handle and control
real estato and mercantilo business; to
borrow money and oxecute notes, bonds,
mortgages or deeds of trust to securo
tho same, and to exercise in respect to
all such bonds, mortgages, notes, shares
of capital or other stock and other se
curities and obligations, any and all
rights, powers and privileges as an in
dividual owner thereof, including the
richt to voto any shares of stock so.
held by it to tho same extent that a
natural person might or could do; and,
in gonoral, to do all things necessary to
tho proper conduct of the business oi
this corporation in this Territory and
olsowhero, not inconsistent with the
laws of the United States and tho laws
of the Territory of. Arizona.
The amount of jiapital stock of this
corporation shall lie One Million Five
Hundred Thousand ($1,500,000.00) Dol
lars divided int' ono million five hunt
dred thousand (1,500,000) shares of tho
par vnluo of On? ($1.00) Dollar each,
which shall bo fuliy paid and non-asses-;
sable. Such capital"- stock, or any pari
thereof, may bo solofor cash, or may,
bo issued in payment for property, ser
vices, rights or interests purchased or
othorwise acquired, and shall be issuod
in payment thereof upon such torms
and conditions us the Board of Directors1
may determine.
V.
Tho time of tho commencement of
this corporation shall bo tho date of,
the filing of these Articles of Incorpora
tion for record in tho offico of tho Coun
ty Recorder of Gila County, Territory
6f Arizona, and a certified copy filed
with tho Territorial Auditor, and tho
termination thoreof shall bo twonty-flvo
years thereafter, and its charter rights"
may bo renewed from time to time, not
pxcooding twonty-flvo yoars at a timo,
perpetually.
VI.
Tho affairs and mnnngoment of this
corporation shall bo conducted by a
Board of Fivo Directors, selected by its
stockholders, who shall Tio olectod annu
ally by tho stockholders of tho corpora,
tion at a timo designated by the By
laws. Until tho first annual meeting of
tho stockholders, tho nbovo named in
corporators shall constitute the Board
of Directors, who shall have full power
to adopt By-laws, appoint committeos,
and elect officers for tho conduct of the
affairs of this company.
VII.
Tho highest amount of liability or in
debtedness to which this Company may
at any timo bo subjoctod shall bo One
Million ($1,000,000.00) Dollurs, and the
private proporty of its stockholders
shall bo exempt from corporate debts
of any kind whatsoever.

stockholders to bo held on tho first
Monday in January in each year, be
elected and qualify for the term of
tho offico commencing on the first Mon
day in January in each year.
ARTICLE IX. Othor offices may be
created or abolished by tho Board of
Directire, or by by-laws of ithis corpora
tion, and tho said offices shall bo filled
by election or appointment from time
to time as the directors see fit, or the
by-laws shall provide.
ARTICLE X. A corporate seal and
