filing of these Articles of Incorporation

the termination shall bo twenty-five
(25) years thereafter.

Tho above nnmed incorporators shall
constitute tho Board of Directors for
the ensuing year, which said Board shall
as soon as practicable after tho filing
of these Articles, organize and adopt
by-laws and rules and regulations suit
able for tho management of this cor
foration and its affairs.
VI.
Tho highest amount of indebtedness
or liability to which this corporation
is at any timo to bo subject shall bo
tho sum of Thirty Thousand Dollars
($30,000.00) and tho private proporty of
each stockholder of this corporation
shall bo exempt from all corporation

hold and operate franchises from tho
Territory of Arizona, or any State or

proporty incident to such franchises,

To acquire, maintain, nnd operate all
and ovory property, thing, equipment
and appliances which tho Board of Di
rectors may consider necessary or expe
dient for tho economical conduct of the
general business incident to mining
heretofore' described and enumerated.
To soil, alienate, lease, domise, and dis
pose of any and all property, real and
personal, bolonging to this company.
To borrow money nnd contract to repay
tho samo at such timo or times as the
Board of Directors may deem neces
sary or expedient; and to hypothecate,
mortgage, or pledge tho property of this
company or any part thereof, to secure
tho payment of tho same. To sell, con
vey, bond, lease, mortgage, or otherwise
disposo of any or nil of tho property oT
this company of any character whatso
ever, provided, howovor, that the high
est or total amount of indebtedness or
liability to which this corporation shall
at any timo subject itsolf shall not ex
ceed tho sum of Fivo Hundred Thou
sand ($500,000) Dollars.

The principal place of business of this
corporation shall be in tho City of
Globo, County of Gila, Territory of
Arizona; and such other or branch of
fices or places of business ns may be
deemed advisable shall bo designated
and adopted from timo to timo as its
Board of Directors determine.
ARTICLE IV.
Tho amount of the capital stock of
this corporation shall bo One Million
($1,000,000) Dollars, divided into ono
million (1,000,000) shares pf tho par
value of Ono ($1.00) Dollar each; and
tho timo when nnd the conditions under
which tho said capital stock shall be
paid in, in cash, property, or other val
uable consideration, shall bo deter
mined and regulated by tho Board of
Directors.

Tho capital stock of this corporation

subscription therefor is made.

bo conducted by a Board of Directors
consisting of fivo (5) porsons, who shnll
bo shareholders of this company; and
a majority of Baid Board shall consti
tute a quorum for tho transaction of its
corporato business. Tho numbor of Di
rectors who shall manago tho business
concerns of tho company for tho first
throo (3) months shall bo fivo (5),
whoso names and residences aro as fol
lows, viz.: James M. Bico, Charles E.
Bock, Forest L. Zimmerman, James

City of Globe, County of Gila, Terri
tory of Arizona; and thoy shall hold
oflico until their successors aro duly
elected and qualified. Thereafter, the
first annual meeting of tho Stockholders
shall bo held in tho oflico of tho com
pany in tho City of Globo, Arizona, on
tho first Monday of February, A. D.
1908; and tho Secretary of tho company
shall givo proper notico of tho said
annual mooting to each stockholder rec
orded in the books of tho company at
