Tho goneral nature of tho business in
which this corporation shall engage is
as follows, to wit: To purchase, or
othorwiso acquire, water and water
rights; to acquire, construct, maintain
and operate a jiystom of water works
in tho city of Globo, Arizona, and in the
vicinity thereof; to use, sell, lease and
delivor wator for power, irrigation and
domestic purposes to cities, counties,
towns, villages, privnte corporations
and individuals; to purchaso, or other
wise acquire, lands and promises for
tho development, storago and convoying
of wator; and to construct and main
tain dams, rcsorvoirs, cannls, water
ways, flumes, pipo-lincs nnd othor nec
essary means and ways in carrying and
convoying water to consumers nnd
users thoroof: Also, to construct, own,
maintain nnd operate a plant for tho
manufacture, distribution nnd salo of
jjas, for illumination, for fuel and for
any othor purposo; to acquire, hold,
manago and oporato buildings, tanks,
machinery, pipe nnd pipo-lincs, nnd any
and all othor appliances, for manufac
turing, producing nnd distributing gas,
and any and all othor illuminnnt pro
ducts, for light, heat, power, nnd any
and all other beneficial uses and pur
poses to which thoy may bo applied;
end to manufacture, produce, generate
or othorwiso obtnlu electric light, heat
and power: Also, to condemn, purchase
or otherwise ncquiro rights of way, case
ments nnd franchises for purposes of
marketing, selling, storing, furnishing,
conducting, nnd transporting light,
power, wator nnd gas as aforesaid, to
tho inhabitants of tho city of Globe,
Arizona, and elsewhere in Gila County,
Arizona; and to rent, sell, furnish and
deal in oloctric light, hent, water, gas
end power, nnd to ront, soil and supply
such portion thereof, as may not bo
used by this corporation, to cities,
counties, towns, villages, privato cor
porations and individuals: Also, to
erect, construct, and oporato such build
ings, structures, mnchinory, apparatuses,
and devices, as may bo deemed neccs
rary or convenient for the purposes of
this corporation: Also, to transmit elec
tric light, power and heat, by means of
polos and wires, conduits, and sub
ways, or otherwise, over, through and
under, any lnnds, streets, or alleys, or
both, in tho said city of Globe, Ari
zona, and elsewhere: Also, to acquire
by deed, gift, grant, or otherwise, lands,
tenoments, hereditaments, leasehold es
tates, bonds, notes, evidences of in
debtedness, stock of this and other in
corporated companies, franchises, privi
leges, and licenses, property and every
estate, right, interest, and appurten
ances, in, to or concerning real and. per
sonal property of ovcry name and na
ture, legal -and cquitablo, and to have
and to hold, uso and enjoy, manage,'
control, grant, assign, transfer and con
voy, encumber by mortgage or deed of
trust, and othorwiso dispose of tho
same or any part thereof, or interest
therein: Also, to-engago in tho busi
ness of supplying light, heat and power
by electrical appliances, water, gas, or
othorwiso; and to do and perform all
other acts or things necessary or inci
dental (o tho purposes hereinabove set
forth; and, Also, to cngago in any nnd
all kinds of-business in which natural
porsons may lawfully engage.
ARTICLE V.
Tho amount of capital stock of this
corporation shall bo Fivo Hundred
Thousand ($500,000.00) Dollars, divided
into Fivo Thousand Shares of tho par
valuo of Ono Hundred ($100.00) Dol
lars each, and when issued shall bo fully
paid in cash, or property of on equiva
lent cash value, and shall thereafter bo
non-assessable. .,
ARTICLE VI.'
Tho corporate existence of this cor-'
poration shall commence on tho day of
tho filing of theso Articles of Incorpora
tion in the ofllco of tho County Recor
der of Gila County, Arizona, and a cer
tified copy thereof with tho Auditor
of this Territory, and Bhall contlnuo for
a period of Twcnty-fivo years thereaf
ter, but its Charter rights may bo re
newed, beforo this charter expires, from
timo to timo, for periods not exceeding
twcnty-fivo years at a timo.
ARTICLE VII.
Tho business of this corporation shall
bo conducted by a Bonrd of Directors,
consisting of not less than Seven, nor
moro than Twenty-one, who shall bo
stockholders in this corporation, to bo
elected annually at tho anrfual meetings
of tho stockholders, nnd tho number do
cided upon and elected at any annual
election shall constituto tho niimbor of
directors for thnt year. A mooting of
tho stockholders for tho election of a
Board of Directors of this corporation
shall bo held immediately after tho
signing of theso Articles,, and at said
meeting said Directors so elected shall
oloct tho officers of this corporation to
sorvo until tho second Tuesday in May,
1908. Tho first annual meeting of tho
stockholders of this corporation shall
bo on tho second Tuesday in May, 1908,
and annually on tho second Tuesday in
May of each and ovory year thereafter;
said meotings shall bo hold in tho city
of Globo, Gila county, Arizona. Tho
officers of this corporation shall bo a
President, . Vico-President, Secretary
nnd Trcasuror, who shall bo stockhold
ers of this corporation, and shall bo
elected by and from tho Board of Di
rectors, at thoir annual meetings, and
shall hold thoir office for tho term of
ono year and until their successors nro
duly elected nnd qualified. Tho Board
of Directors may appoint such othor
cfllcors and agents as tho business of
tho corporation may require. Tho of
Ceo of tho Secretary and Treasurer may
bo Held by tho sumo person.
ARTICLE VIII.
Tho highest nmount of indebtedness
or liability, direct or contingent, to
which this corporation shall at any timo
be subject, shall in no enso exceod two
thirds of tho amount of its capital
stock.
ARTICLE IX.
Tho privato property of tho stock
holders of this corporation Bhall bo ex
empt from all liability for corporate
debts of any kind.

ARTICLE II.
Tho objects for wlrich this corporation
is formed are, to acquire by purchase,
location, leases, options, bonds nnd other
instruments of writing, mines and min
eral lands and all products pertaining
thereto. To operate, mine and extract ore.
therefrom. To erect and maintain all
necessary machinery and equipmentfor
the economical dcvclopemcnt of tho
tame. To acquiro by purchase or other
lawful means, roads, tracks, tramways,
railroads, telegraph and telephone lines;
ditches or flumes for economical trans
portation or transmission, and to erect
nnd construct the same.
To erect, maintain and operate reduc
tion works for concentration, smelting
and refining of ores, and the preparation
of all company products for sale and
profit. To erect and maintain buildings,
stores, and boarding-houses, and to do
a general merchandising business. To.
acquire by purchase or other lawful
means, real ostato, land, and personal
property, and to acquiro and locate
town-sites. To uso and enjoy, hold, and
operate franchises from the County of
Gila, tho Territory of Arizona, or any
other State or Territory of the United
States, or from any municipal or private
corporation. To acquire stock, bonds,
roads, mills, factories and real or per
Eonal property incident to such fran
chises, corporations, or townsitcs.
To acquire, maintain and operato all
and every property which the Board of
Directors may consider necessary for
tho economical conduct of tho general
business of mining heretofore enumer
ated and described.
To sell, alienate, lease, demise, and
disposo of any and all property real
and personal belonging to this com
pany. To borrow money and to con
tract to repay the samo at such time
or times as tho Board of Directors may
deem necessary or expedient; and to
hypothecate, mortgago or pledgo tho
property of tho company in whole" or
in part to securo the payment of the
same; provided, however that, tho
highest or total amount of indebtedness
to which this corporation shall, at any
time, subject itself shall not exceed the
sum of Five Hundred Thousand Dollars.
ARTICLE ni.
Tho amount of the capital stock of
this corporation shall bo Ono Million
Dollars, divided into ono million shares
of tho par value of ono dollar each; and
tho timo when and tho conditions under
which the said capital stock shall bo
issued and paid in, in cash, property, or
other yaluablo consideration, shall bo
