ARTICLE III.
The objects and purposes for
which this corporation Is formed, and l
the nature of the business to be car- :
ried on by it, are hereby declared to
be:
To purchase, tease, acquire,
exchange and hold property,
both real and personal, and the
same to sell, exchange and d;s
pose of; to row cotton, corn,
oats, rice, hy and other &gri
cultural pro cts; to conduct a
retail mercantile business; to buy,
sell and rear cattle, horses,
mules and hogs; to acquire, hold,
operate, sell and excange tim
ber lands and agricultural lands;
and to do and perform all other
such matters as may be related,
incident to, growing out o( or be
come neceassry or advisable for
the conduct or operation of the
purpose and business and occupa
tions hereinabove set forth.
ARTICLE IV.
The capital stock of this corpora
tion is hereby Afixed at the sum of
Seventy Five Thousand Dollars ($75,
000.00), divided into and represented
by seven hundred and fifty (750)
shares of the. par value of One
Hundred Dollars ($100.00) each.
An accurate, detailed, and itemised
description of the property as to
amount, location, extent, etc., taken
in payment for capital stock together
with a statement of Its value as ap
praised by the directors, is annexed
to this charter to be read in con
nection therewith.
The capital stock of this corpor
ation may be increased to the amount
of Two Hundred and Fifty Thousand
' Dollars ($250,000.00). -
No stock of this corporation shaull
be preferred stoek.
ARTICLE V.
All the corporate powers of this
corporation shall be vested in a
Board of Directors to be composed
of three (3) stockholders, to be elect
ed annually on the third Monday of
January of each year, at eleven o'
clock 4. M.
The Board of Directori shall elect
from among themselves a President,
a Vice-President and a Secretary
Treasurer.
The following persons have been
chosen to serve on the Board of Di
rectors of this corporation, as the
first Directors, until the third Mon
day of January, A. D., 1922, or
until their successors are elected and
qualified:
Eben R. Wortham, Greenville, Miss.
Sidney T. Shaw, Newellton, La.
Thos. M. Wade, Jr., St. Joseph, La.
with the said Eben R Wortbam as
President, Sidney T. Shaw as Vice
President and Thos. M. Wade, Jr.,
as Secretary-Treasurer.

This charter may be amended,
altered or modified, or the capi
tal stock increased or decresedl,

laws of Louisiana, now or hereafter
enacted.
ARTICLE VII.
Upon the termination of the charter
or upon the dissolution of the cor
paration, its affairs shall be liqui
dated in the manner provided by
any law of Lousiana, now or here
after enacted.
ARTICLE VIII.
No stockholder shall ever be hel
liable or responsible for the contracts
or faults of this corporation in any
further sum than the unpaid balance
due to this corporation on the shares
owned by him, nor shall any mere
informalities in organizaton have the
effect of rendering this charter null,
or of exposing the stockholders to
any liability beyond such unpaid
balance.
ARTICLE IX.
The subscribers have set opposite
their names respectively the number
of shares subscribed for by each of
them, so that this act of incorpora
tion may serve as the original sub
scription list.
