Sir Wlllelm knew that this was a
mere pretext and that hlie tinst tight

Meanwhile Sir Herman had been pre
paring for the approaching fight and

side, while their enemies are on the
defensive. At any rate Frederick not
only besieged the castle, but led one
attack after another against it, making
a breach here and a hole there, killing
off men who could not be replaced,
while the stock of provisions within
the walls was was constantly growing less.
And so it came about that Sir Wilhelm
saw that the end of the struggle must
soon come with the capture of his cas
tle. He sent a messenger to know
what sum his enemy would ask to re
tire and leave him in peace. Frederick
replied that the only price he asked
was the hand of the Lady Wilhelmina.
This was a sad blow to the besieged.
Wllhelmina would rather die than give
herself to the man she hated, but she
could not bear to bring destruction on
her father and his retainers.
Now, among the travelers who had
been robbed was a young man who
had been fighting In the service of the
king of France against the English.
Hearing the sound of war, he sent
word from the cell in which he was
confined and held for ransom, request
lag that he be released and be permit
ted to take part In the defense. When
all hope was gone Sir Wilhelm sent
for him. The young man proposed to
lead a sortle against the enemy and

Just before dawn one morning he
fell upon them so furiously and kept

treat. Catching sight of Frederick
endeavoring to rally .his men, the
stranger drove his horse straight at
him and felled him with a battleax.
The suitor never arose from his fall,

The stranger had been badly wound
ed, but did not know It till the end of
the struggle, when he fainted from

castle, and a young girl was bending

his wounds herself and giving him
every attention as the savior of the

When the stranner recovered the

that brute lost."

Be It known, that on this third day of
December, In the year one thousand nine
hundred and twelve, before me, William
Renaudin, a notary public In and for the
parish of Orleans, state of Louislans, duly
commissioned and qualified and In the pres
ence of the witnesses herelnatter named
and undersigned, personally came and ap
peared the persons whose names are here
unto subscrlbed, all above the full age of
majority and residents of this city; who
severally declared that avalling themselves
of the provisions of an act of the legisla
ture of this state, known as act No. 36 of

the organisation of corporations, they have

The name and title of the corporation
hereby formed is declared to be "The Con
solldated Realty & Manufactrlng Com
pany, Limited." Its domicile shall be in
the city of New Orleans. state of Lounilana,
and It shall and enjoy succession by Its
corporate name for a period of ninety-nine
years from and after the date hereof. All
citatilons or other legal process shall he
served upon the president and in the event
of his absence or inability to act from any
cause the same shall be served upon the
vice-president.
ARTICLE II.
The objects and purposes for which this
corlporation is organized and the nature of
the business to be carried on by it are here
by declared to be the purchase and sale,
either for cash or on terms, of improved
and unimproved real estate in the city of
New Orleans or elsewhere and the erectlos
of buildings for dwellings, store or other
purposes: the erection by general contract
or otnerwlse of any and all kinds of build
ings: to sell real and personal property for
its own account or on commission and to
borrow or lend money on real estate or
other collateral: to manufacture, purchase I
and sell building materials of all kinds: to
erect buildings, warehouses, etc., and Install I

ARTICLE "FIVE."
The board shall regulate the manner of
conducting the business and all moneys re
ceived by the company or by any members
thereof, for the benefit of the company, shall
be deposited In bank to the credit of the
company and shall be drawn by checks
signed by the secretary and treasurer, and
countersigned by the president. The board
of directors shall have the right to make dif
ferent arrangements and regulations In case
of sickness, absence or disability of one of
the oscers to sign checks. Monthly state
ments shall be made of the fstairs of the
company, and the omcers shall have their
salaries fixed by the board of directors and
the period of time when same shall be pay

OF LOUISIANA, PARISI OF ORLEANS.
Be It known, that on this twenty-sixth
day of November, nineteen hundred and
twelve, before me, John Wagner, a notary
public in and for Orleans parish, Loulslana,
and in the presence of the two undersignred
witnesses, personally came and appeared:
the several persons whose names are here
unto subscribed, who declared that availling
themselves of the laws of Louisiana, rela
tive to the organization of corporations,
have contracted and agreed, and by these
presents contract and agree and bind them
selves as well as those who may hereafter
become associated with them, to form a
corporation for the objects and purposes
and under the following stipulations, to
wit:
ARTICLE I.
The name and title of this corporation
shall be "Woodley Stock Farm Company,
Limited," and its domicile shall be In the
city of New Orleans, Louisiana, and under
said name shall enjoy corporate succession
for a period of ninety-nine years, and under
said name shall have power to contract, sue
and be sued; to make and use a corporate
seal, the same to break or alter at pleasure;
to hold, receive, purchase, acquire, alienate.
mortgage and lease property, both real and
personal; to borrow money and to issue
notes, bonds and other obligations. All ci
tation and other legal process shall be
served on the president, and in his absence
or disability on the secretary-treasurer.
ARTICLE II.
The objects ane purposes of this corpor
ation Ins declared to be to raise, bread, buy
and sell live stock and poultry of all kinL-s,
and to generally conduct a live stock farm,
and to do all things connected therewith or
incidental to said business; also to culti
vate, raise, buy and sell all feed stuffs and
grain and all agricultural products.
ARTICLE III.
The capital stock of this corporation is
hereby fixed at five thousand dollars, dl
vided Into fifty shares of the par value of
one hundred dollars each, said stock shall
be paid for in cash, labor performed or prop
erty actually received by the corporation.

corporation is authorized to commence bus
iness and be a going concern as soon as
three thousand dollars of the stock is sub
scribed. No shares of stock shall be trans
ferred except on the books of the company
sand until the certlficate evidencing the
shares of stock to be transferred shall have

cancelled, and the corporation shall have
the right to refuse to make said transfer
upon its books as long as the owner of said
stock Is Indebted to said corporation. Any
stockholder who may desire to dispose of
his share or shares of stock shall give the
refusal of same for ten days to the corpor
ation at a price not exceeding the book
value thereof and should the corporation
not avail itself of the right to purchase the
same, the refusal shall be given t, the vari
ous stockholders beginning with the then
holder of the largest number of shares.
ARTICLE IV.
All the corporate powers of this corpor
ation, including the power to buy, sell, con
vey, mortgage or in anywise acquire or
alienate the property, both real and per
sonal, shall be vested in a board of direc
tors, composed of three stockholders, who
shall be elected annually on the second
Tuesday of January of each year, commenc
ing January, 1913, by the majority of the
stockholders voting at such election, which
shal' be held after ten days written notlie,
delivered either In person or by mall to the
last known address left by the stockholder
with the secretary-treasurer of the co'n
pany, and at such meeting each stockholder
Is entitled to one vote for each share of
stock held by him or her; the directors
thus elected shall remain In ofce until
their successors are elected and qualified.

to make by-laws, the same to alter, amend
or repeal; to employ and discharge such
clerks and employees as may be necessary.
ARTICLE V.
This charter may be changed, altered or
amended, or said corporation may be di~
solved, by a vote of two-thirds of the cal

eral meeting of the stockholders called for
that purpose, after a thirty days written
notice sent to the stockholders as above
specified.

Whenever this corporation is dissolved.
