Article IV.-The capital stock of this cor poration is hereby tixed at three thousand dollars, divided into thirty shares of one hun dred dollars each, to be paid for in cash, or its equivalent in labor and property. All transfer of stock shall be made sn the books of the corpora tion hv surrender of the original certificate properly endorsed for cancellation by the stockholder in whose favor it is issued, or by his duly authorized agent. Article V.-All corporate powers of this cor Doration shall be vested in and exercised by a board of directors, composed of three stock holders, two of whom shall constitute a quo nrum for the transaction of business. Until the first Monday of March, 1916. the following named persons shall constitute the board of directors of this corporation, to wit: Arthur C. De Monsabert, Joseph M. Elliot and Stephen Thiberville. Thereafter the board of directors shall be composed of stockholders who shall be elected annually, beginning on the first Monday of March, 1916. All elections of directors shall be by ballot, and each stockholder shall be entitled to one vote for each share of stock standing in his name on the books of the corporation, the vote to be cast in person or by proxy; and it shall require a majority of stock present or represented to elect. A fail tire to elect a board of directors on the first Monday of March, 1916, or annually there after, shall not work a forfeiture of this char ter, but the old board of directors shall re main in office until their successors are elect ed and qualified. Article VI.-The board of directors shall hold regular meetings at the domicile of the corporation at stated periods at such times as shall be fixed in the by-laws of this corpora tion. Any vacancy occurring in the board of directors, either from death, resignation or in ability to serve, shall be filled by the board of directors at its next regular meeting after such vacancy shall have been brought to its knowledge. The first board of directors under this char ter shall be required to draft a suitable set of by-laws for the government of the corpora tion, which shall be altered, amended or changed as the exigencies of the case may re quire. Article VII.-Tte officers of this corporation shall consist of a president, a vice president. a secretary and a treasurer, each of whom must be a stockholder. The offices of secre tary and treasurer may be held by one and the same person. Until the election to be held in 1916 the following named persons shall constitute the officers of this corporation: Arthur C. De Monsabert, as president and also as its general manager; Joseph M. Elliot, as vice president, and Stephen Thiberville, as secret try and treasurer. Article VII.--This charter may be amended, modified or changed, the caDital stock may be increased or decreased, or the corporation may be dissolved with the assent of three-fourths of the stockholders, present or represented, at any general meeting held for that purpose after thirty days' prior notice in writing to each stockholder mailed to him at his last known addire-s and upon complying with al laws in cuh cases made and provided.
