All elections shall be by ballot at the office of the Company, under the supervision of two conqtissoners to be appointed by the Board of Directors. Notice of such meetings shall be given by the Secretary in writing, and delivered to each stockholder in person, or mailed to his last known address at least fifteen days prior to said election; but this notice may be waived by all the stockholders. At all such meetings, and at all meetings of the stockholders, each stockholder shall be entitled. to one vote for each share of stock standing in his name on the books of the Company at the date of such election or meeting; said votes to be cast in person or by written proxy; and a majority of the votes cast shall elect. In the event of the failure to hold the annual meeting, any stock holder may have the right to require the calling of such meeting at any time there after. The failure to elect directors at the annual meeting shal Inot dissolve or affect the cor poration, nor impair its management in any respect; but the directors and officers shall remain in office until their sucessors are elected and qualified. Each Board of Directors shall elect as soon as possible after their own election a President. Vice-President. Secretary, and Treasurer, and such other officers as they de sire, and may grant to each officer such powers as they deem proper. All vacancies in the Board of Directors for whatever cause shall be filled by the remaining directors. Any member of the Board may appoint any other stockholder his representative to act in his place and stead at any meeting of the Board. The Board of Directors may make, amend and repeal such by-laws for the regulation of the Company as it desires, subject to such by-laws as the stockholders may make. Article VI.-This act of incorporation may be amended, or said corporation may be dis solved with the assent of twothird of all the capital stock at a meeting of the stock holders convened for that purpose, after fifteen days written notice from the Secretary has been delivered in person orgiven by letter mailed to the last known address of ach stock holder of record; the said notice may be waived by unanimous consent of all stock. holders. In case of the dissolution of the corporation, its affairs shadl be liquidated by one or more commissioners elected by the stockholders with such powers, compensations and duties as the stockholders shall de termine . Article VIII.-No stockholder shall ever be held liable for the faults or contracts of this corporation in any further sum than the unpaid balace due to the corporation on the shares subscribed by him; nor shall any mere informality have the effect of ren dering the charter null, or exposing any stockholder to any liability beyond the un paid balance due on his stock. Article II.-The objects and purposes for which this corporation is organized and created and the nature of the busi ness to be carried on by it, are declared to be as follows: To conduct a wholesale merchandise and general export and importing business; and to purchase, sell, deal in. export and import such things, supplies, and mer chandise as are or may he traded in by wholesale merchandise and exporting and importing establishments; to export and import, to buy and sell, at wholesale, pro duce. vegetables, truck. poultry# eggs, and country produce of every nature and kind; to grow and produce the said articles and produce, and for such purposes to own or lease farms or plantations and operate and maintain the same; to buy, sell, or lease real estate for the purpose of car rying on their business, or any part there of; to own and operate boats, vessels, and railroad cars, and other rolling stock, for the purpose of carrying on said business; to execute bonds or other acknowledg ments in the fulfillment of contracts or in the performance of its business, and, gen erally, to do any and all things incident to or necessary to carry out any of the objects and purposes hereinabove enum erated. Article III.-The capital stock of this corporation is hereby fixed at the sum of Two Hundred Thousand Dollars, ($200, 000.00). and shall be divided into and rep resented by Two Thousand Shares of common stock, of the par value of One Hundred ($100.00) Dollars each. Said stock shall be paid for in cash, or by property, or services actually rendered to the corporation, or other equivalent of cash, as provided by law, and in such manner and at such times and in such installments as may be prescribed by the Board of Directors. This corporation shall become a going concern and shall be authorized to com mence business as soon as Seventy-five Thousand Dollars ($75.000.00) of its cap ital stock shall have been subscribed. Article IV.-The capital stock of this corporation may be increased to the sum of Three Hundred Thousand Dollars ($300,000.00) by vote of two-thirds of all stock at a special meeting called for that purpose or at a regular annual meeting of the corporation. Article V.-All certificates of stock is sued by this company shall be signed by the President and one Vice-President or by two Vice-Presidents.
