ARTICLE 6 'This act of incorporation may be change or amended, or the corporation may be dissolved with the assent of two-thirds of the stock represented at any general meeting of the stock holders regularly called as provided for. in case ,of liqluidation. No stockholders shall ever he held liable for the contracts or faults of this corporation in any further sum than the unpaid balance due on the shares ot stock then owned by them, nor shall any informality in organiza tion have the effect of rendering this charter null or of exposing a stock holder to any liability beyond the amount of his stock. All stock in this corporation shall be issued under the directions of the board of directors, and, the signers hereto, reserve the right to themselves to the balance of the Capital Stock of this corporation, in equal shares, and no stock shall be sold to and outsider without first giving sixty days written notice to each signer hereto and giving them the refusal thereof. No stockholder herein, shall be al lowed to sell or otherwise dispose of his stock until after first giving sixty days written notice to the other stock holders and the company herein orm ed, in order that they may have the refusal thereof, and the stockholders may purchase same at its book value. All transfers-of stock shall be made on the books of the corporation in the presence of the Secretary; and, the person to whom the stock is to be transferred must be acceptable to the Board of Directors. ARTICLE 7 This Corporation shall have all the powers and rights of Corporations under the Laws of the State ofLouisi ana, shall have power to sue and be sued, and may have and use a corpo rate seal with such inscription or de vice as may be selected by the Board of Directors. The President of this Corporation is hereby anthorized to represent this Corporation in all suits at Ylaw. ane any differences that may arise during its existence. He shaH be governed, however, by resolution of the Board of Direciors authorizing his actions. The translation proved a great success.
