STATE OF LOUISIANA ) PARISH OF CALCA5IEL.f Be it known that we, Charles J. Ranch. C. J. S Huskey, Philip Coverdale, residents of the Parish of Calcasieu, and W.- G. Chipley, a resi dent of the Parish of Orleans, have and do hereby form ourselves into a corporation, to enioy all of the powers, rights, privileges and exemptions conferred upon corporations by the Constitution and laws of Louisiana, and particularly Act No. 36 of the General Assem bly of the year 1888. The charter of the said corporation is hereby expressed andicreated as follows, to-wit: ARTICLE 1. -ol own- ARTICLE 2. er to established and the nature of business to be carried on by it are hereby declared to be, to conduct a general realestate business; to buy ;hal. and sell real estate for its own account, or for others on commission, or otherwise; to buy and sell oil or other minerals either for its own account or for others on commission, or other wise; and to own and operate boats, barges or other watercraft, and to own, conduct, and op erate pipe lines for transporting oil or other t to minerals. ARTICLE 3. The meeting of stockholders shall be adver tised in a newspaper publisied at the domicil of the corporation at least five times covering a period of thirty days. Ae. ADTCLE . The stock of this corporation shall not be assessable. No stockholder shall be liable for the obligations of this corporation in any sum exceeding the unpaid portion due for stock subscribed by hime . Notranufer o stock shall render the corporation liable until it shall have been entered upon itsbooks. This corporation shall enjoy succession by its corporate name, for a period of twenty-five years. It shall have power to make and use a corporate seal, to purchase and convey property under its cor porate name through such officers as may be designated by the Board of Directors; to name and appoint such managers, directors and offi cers as its convenience may reqluire; to make and regulation of the affairs of the corpora re. tion. This charter may be amended at a meeting of stockholders called for that pur pose and voted for by three-fourths of the stock represented at such meeting. ARTICLE 7. This corporation can be liquidated at a meeting of its stockholders provided sevenlty five per cent of the stock of the corporation vote therefor. In the event the stockholders desire to liquidate the affairs of this corpora tion, they shall select three commissioners for 1 that purpose, who shall have all ofthe rights Sand powers of iquidators but shall te under t the obligations of observing any special in structions given them at the time of their ap pointment.
