There exists some confusion and mijunderstanding as to the rihgt of railroad companies in this state to charge four cents per mile where pas sengers do not purchase tickets of the regular ticket agent before boarding a train. The legal rate of fare in Louisiana is three cents per mile, except that where passengers omit to purchase their tickets from the agent, the rail way companies are required to charge the rate not exceeding four cents per mile. The Act of the legislature of 1894, page 168, provides: "That it shall be unlawful for any railroad corporation doing business in this state, or any person or persons owning and operating a railroad un der the laws of this state and carrying persons for hire within the state, to charge more than three cents per mile for each mile they actually transport the passenger, except as herein pro vided: That at all stations where all tickets are on sale, that the pas senger shall Iprovide himself with a ticket, and that persons so failing to provide themselves shall be charged pot exceedsng four cents per mile, ex cept from flag stations or stopping places where tickets are not offered for sale, in which case, but three cents per mile shall be charged." This law is plain and simple, and has been repeatedly upheld by courts. There is no room for argument as to what it means. The law requires the railway companies to maintain sta tions and ticket agnuts fur the sale of tickets to passengers. The require ment that [passengers shall purchase their tickets of the regular designated tlcket agent before boarding the train, is a reasonable one and one to be cer tainly acceeded to oy the traveling public. The pr .ctlce of proiiding; ticket agents at stations and of requiring passengers to purchase their tickets of such agents before boarding the train, is one that is universally ob. served throughout the country. It does look reasonable. All of the successful mail order houses are heavy advertisers and if they can make it pay why not the local mer chant right. ARTICLIE 1. The name of said corporation is hereby declared to be Rice Belt and Northwestern [Railroad Company, and its domicile shall he at Welsh, in the Parish of Calcasieu and State of Lhu isiand. ARTICLE II. This corporation shall enjoy as a succession of property and all of the rights, privileges and immunities granted by law to corporations of this character for a period of ninety-nine years from this date. All citations and other legal process shall be seryed upon the President, or in the absence of the President, upon the Vice-presi )dent, and in the event of the ablsetce of both the President and Vice-presi (lent, upon the Secretary or Manager of said corporation. The Board of Directors of said cor Iporation shall adopt a corporate seal with such device as they may deter mine, AICTf'LE Ill. The purposes for which this corpor ation is organized are declared to be as follows, to-wit: To construct, build, lease or pur chase and hereafter to own, maintain and operate a railroad upon such course and upon such route and with such shops, side tracks, spur, round houses, machine shops and all other property incident to or connected p'ith the railroad system as the Board of Directors may deem proper and expe dient, said road to be constructed from Lake Arthur, in Louisiana and to run in a northerly or northwesterly direc tion through the town of Welsh, Lou isiana, to some point on the North or West line of the State of Louisiana, and thence thrtouh other states and territories of the United States, as the Board of Directors of said corpora tion shall determine, and to construct such branch roads and connections with otherrailroads, turn-outs, etc., along said line or road as may be considered expedient by its Board of Directors. ARTICLE IV. The capital stock of this corporation is hereby declared to be and is fixed at Two Million ($2,000,000) Dollars, divided into Forty Thousand (40,000) Shares of the par value of Fifty ($50) Dollars earn, ten per cent of which imust be paid for in cash at the time of subscription and the balance at such time as the Board of Directors may fix, provided that not more than twen ty-five percent of the subscription may be called for within a period of sixty days. The books for the subscription shall be opened at the domicile of this corporation as soon as possible after the organization of the Board of Di rectors, and the fixing of the terms of subscription, at which time they shall place on sale such an amount of stock of this corporation and upon such terms as the Board of Directors may determine, and all stock remaining unsold in this corporation may be ulaced upon the market by the Board of Directors at such time and in such blocks as the Board of Directors may determine from time to time. All otttiers and employ ees of this corporation shall be sub ject to the direction and control of its Board of Directors, All vacancies in the Board of Directoirs or other ottli cers shall be filled by the remaining members of the Board of Directors. A1,TICLE VI. The stockholbers of this corKpora tion shall hold an annual meeting on the second Tuesday of May, 1!@)7, and annually thereafter, at which meetings every share of stock shall be entitled to one vote, and if the holder thereof is unable to attend in person, he may delegate the power of voting his stock to another person by a written pjnox', which must be tiled with the Secretary and preserved among the records of the corporation. At each annual meeting the said stockholders shall elect a Board of Directors for the en sueing year, and transact any other business which may come before them The Secretary shall give each stock holder notice of each meeting of its stockholders by writteu or printed no tice, mailed to the known postotlice address of said stockholder at least lifteen days previous to said meeting, All elections or votes taken at such meetings of the stockholders shall be by ballot. The President may call a special meeting of the stockholders at any time he deems advisable, iby re quirfing the Secretary to mail written or printed notices to each stockholder as provided in cases of regular meet ings, except that such written or print ed notice,shall contain statement of the business and purposes of such meeting and no business shall be transacted at such meeting except such as is stat ed in said notice calling same. ARTICLE VII. This charter may be altered or amended and this corporation dis solved by vote of three-fourths of the stockholders present or represented at a meeting convened for that purpose by order of the Board of Directors, and after thirty days notice shall have been published in the newspapers and notice mailed to each stockholder as required by law in such cases, and this corporation may be consolidated with any other railroad company in accordance with the hlaws of the State of Louisiana upon the subject of con solidation of railroad companies. At the termination of this Charter or up on the dissolution of the corporation by a three-fourths vote of the stock holders presennt or represented at a meeting called for that purpose, the stockholders shall elect three conmmis sioners for the purpose of liquidating the affairs of this corporation, under such terms' power and authority as may be more definitely specified in the resolution appointing them. ARTICLE VIII. No stockholder of this corporation shall ever be held liable or responsi ble for the obligations, contracts, debts of faults of the corporation in any further sum than the unpaid bal ance due the Company upon the shares of stockowned or subscribed for by him, nor shall any mere iformality in the organization have the effect of rendering this Charter null, or expos ing the stockholders to any liability beyond the unpaid balance, if any, upon his stock.
