The only legal Lotteries in Maryland are those drawn daily under the superintendence of the Com missioner elected by the people of the State, un der the new Constitution, to examine and approve the schemes and attend to the drawings. T HERE IS NOW ESTABLISHED, on this route, a Tri-weeklv Line of Staged leaving Amite City rery MONDAY, WEDNESDAY ami FRIDAY, a the arrival of the Passenger Trains from New Orleans, and reaching Clinton the same evening at 7 o'clock. Returning, will leave Clinton every TUESDAY, THURSDAY and SATURDAY, at *5 ' :lock in the morning, and arriving at Amite City in time for the evening train to New Orleans. By this route, passengers will pass from New Orleans to Clinton the same day. This route is 08 miles by Railroad, and 35 miles bv Stage, the Stage road is over a beautiful undulating country, afford ing a good natural road. As there is, as yet, no mail established on this route, a bag for the trans mission of letters and papers, has been placed at the office of the New Orleans and Jackson Railroad, No. 45 Carondelet Street, and will be sent to the Rail Road every Monday, Wednesday and Friday, at 7 o'clock in the morning, and every attention wifi be paid to the proper delivery of letters and papers. The FARE for through passengers from New Orleans to Clinton will be five dollars. It will be thus seen that this is the cheapest, quickest and safest route from Clinton to New Oilcans. F. E. A N ACT to incorporate the Clinton Branch Rail Road Company. PREAMBLE. Whereas, a corporation, styled the Clinton Branch Rail Road Company, has been created under the Act of the Legislature, entitled " An Act for the organization of Corporations for works of Pub lic Improvement and Utility," approved, March the twelfth, eighteen hundred and fifty two, which said corporation was enacted in the fob lowing words, to wit : We, the undersigned, agree to form ourselves into a corporation under the laws of the State of Louisiana, hereinabove set forth, for the purpose of constructing a Rail Road from the town ofClin ton, Parish of East Feliciana, running through the Parish of St. Helena, to some point of intersection, on the line of the NeW Orleans, Jackson, and Great Northern Railway, and for that purpose we have formed the annexed Charter, and have signed the same. CHARTER OF THE COMPANY. Sect. I. The said corporation shall be called the Clinton Branch Rail Road Coinnany, and its domicil be fixed in the town of Clinton, iu the Parish of East Feliciana. Sect. 2. The said corporation is established for the purpose of constructing, working, and main taining a Rail Road from Clinton, in the Parish of East Feliciana, eastward through the Parish of St. Helena to a point of intersection on the New Or leans, Jackson, and Great Northern Railway, which shall be deemed the most favorable after satisfac tory surveys. Sect. 3. The capital stock of the company is fixed at Five Hundred Thousand Dollars, divided into twenty thousand shares of twentv-five dollars each. Payments shall be made in such sums and at such periods as shall be fixed by the Board of Directors. Provided , That the subscriptions my be paid in labor or materials, when such mode of payment is preferred by the subscribers. Proaidt d , also , that no call shall be made for more than ten per cent at one time, and sixty days notice of each call shall be given by publication in one newspaper in the city of New Orleans, and one in the town of Clinton. Not more than four calls shall be made in one year. Sect. 4. The said corporation shall go into op eration and be organized, as soon as shares of stock to the amount of seventy-five thousand dollars shall have been subscribed. Sect. 5. The buisincss of the Corporation shall be conducted at its domicil in the town of Clinton by a Board composed of twelve Directors. A quo rum «bull consist of at least five Directors. The directors shall elect one of their body, as President of their Company, at their first meetind after their election. No person shall be eligible as a direc tor, who is not a share holder. At all elections by stock holders, and all their meetings, each share shall be entitled to one vote. Votes may be given in person, or in proxy. The President of the Com pany is the officer designated as the one on whom legal service of ail process or citation against the Company, ma'y be made, and the Company agree to be bound by service of process or citation whether made on the President in person, or left to his address at the office of the Company, in the hands of any of its officers. .Sect. 6. The first Board of Directors shall be chosen as soon as the list of subscription shall be closed. The notices of the election of the first Board of Directors, shall be given by publication made fifteen days in advance in one newspaper in t ie city of New Orleans, and one in the town of Clinton, and the election shall be held at the time and place designated by the commissioners charg ed with receiving the subscriptions. The first election shall be held under the super intendence of the commissioners aforesaid, who shall select three of their number for that pur pose. All subsequent elections under the snore intciidcnce of three commissioners to he appo^ „cd from among the stockholders by the Board of Directors for the time being. The first Board of Directors shall hold office until the first Monday of May, of the year Eighteen hundred and fifty-six. The election shall be annual, and each subsequent board of directors shall be elected on the third Mondy of April. A failure to elect directors, shall not dissolve the corporation, but the Board in office shall continue the exercise of its functions, until a new Board can be elected. All notices of elections and meetiu^ of shareholders, after the first election of Directors above provided for shall be given by publication, fifteen days in advance in one newspaper in the city of New Orleans, and one in the town of Clin ton. Seven shall form a quorum for doing business in the town of Clinton. The lists of subscription shall be closed on the first day of December, eighteen hundred ami fifty five, or if the subscription shall not amount to enty-ßve thousand dollars at that date, then they shall be closed as soon us said amount shall have been subscribed. Sec. 8. At the end of the said four mouthe if the amount of subscription shall exceed the cap ital required, a meet ing of stockholders and subscri bers shall be held to determine whether the capital shall be increased to the whole amount of subscrip tion, and if the capital be not so increased, then the number of shares subscribed shall bo reduced by deduction from tlie largest subscriptions so as not to diminish the number of shares of any subscri ber, whilst another remains with a larger number of shares. If there be any deficiency iu the amount of capital subscribed, the said subscription books may be reopened and closed from time to time till the whole capital shall have been subscribed. Sec. 9., In case of a failure on the part of any subscriber, to pay the installments on his stock as required, the board of directors shall have the op tion after thirty days written notice to the defaulter of fqvfciting the stock, and selling it for the benefit of said stockholder, or of compelling by suit the payment of such installment, and no stockholder shall be permitted to vote while in default. Sec. 10. All meetings of stockholders called for the purpose of increasing or diminishing the capi tal stock Of the company or for any of the purpose» enumerated in the 5th section of the Act of the Legislature of Louisiana, entitled " An Act for the organization of Corporations for Works of Public Improvement and Utility," shall be composed of persons holding in their own right, or as agents of others, at least three-fourths of the stock of the com pany in order to make valid and binding their ac tions in the premises : at all other meetings of the stockholders and at all elections a majority of stock shall be represented, and in this lat ter case, if such mojority he not present, nor represented, tlie meet ing shall be adjourned for one week, and the vote of the majority of the stock present, and represen ted at such adjourned meeting shall bind the com pany in the same manner as if a majority of all the stock were present and represented. Sec. 11. Any vacancy in the Board of Directors Occurring during the year, may be filled by a vote of the Board of Directors. Sect. 1 2 . The President and directors of said cor poration shall have power to make and use a com mon seal, to elect a newspaper which shall be known to the stockholders as the official paper of the company, and in which all its advertisements shall appear, and to do every thing, necessary for the construction, repair, and maintenance of the rail road hereinbefore described, with as many tracts as they may deem necessary,to determine the line of the road, and the depots that may lie necessary to make,, and contract for all works whatsoever, for the proper and complete working of said road, to contract specially, fin* all work, labor, or materials to be furnished to the company, and to agree, whether the whole or any part thereoi shall be pay able in tlie capital stock of the company ; to ap point a secretary, treasurer, superintendent, engi neer, solicitors,and other officers or servants, neces sary or proper for the faithftil performance of any duty necessary to the construction and proper maintenance of said rail rood ; to make all contracts for the furnishing of iron, or other necessary equip ments or supplies of the road, and on such credits as they may deem proper, and to mortgage the said road for the payment of tho same; to borrow money for and on account of said road, in any sum not to exceed ten thousand dollars, unless author ized by a vote of two thirds of the stockholders to exceed that sum, aud to mortgage the said road and its appurtenances to secure the payment of the same ; to make all contracts necessary for the pur pose of speedily and properly constructing said road; to purchase with the funds of the company, all the locomotives, engines, cars, vehicles, teams and other equipments deemed by them necessary oi 1 useful to the purposes of the company ; and when said road or any part thereof is finished, to " fix the rate of toll for passengers and Merchandize; to make all rules and regulations, and other by-law« deemed uecessary, for tlie proper, safe, and regu lar transaction of the buisincss of the company; but such rules, regulations, and by-laws shall be subject to repeal, change, amendment or modification by the stockholders at their meetings, or by the Presi lont and Directors in the iutevals ; they may ac cept donations in land or money, or such material ■>r labor as may bo useful to tlie company ; they shall declare semi-annually the dividend arising from the working of tho road after the payment of all necessary expenses ; said dividend shall be declared and payable to the stockholders within fiftecu days of the months of January and July of each year; they shall make a report in full detail to the stock holders to the first days of January and July of each year, of tho working of tlio road and its expen ses and p'ofits, as also a detailed statement of all contracts during the process of constructing the •oad and its bridges, &c., with an account of tho progress made ; they shall keep, or cause to bo kept, a regular set of books, iu which shall be en tered, in the regular order of their several dates, all business or other transactions of the company, which said books shall be opened to the inspection of any stockholder, ut the office of the company during the business hours of the day ; a stock book shall be kept, and certificates of stock shall b > issued to tlie stockholders, and no transfer of stock shall be binding on the company until made on its stock book : and to call a meeting of stock holders, on the written requisition of stockholders re presenting one-fifth of tho stock of the company. Sect. 13 If any subscriber for stock »hull be taxed by virtue of any law or ordinance for the payment of subscriptions to the company, ho shall have the right of reducing the number of his shares by an amount equal to that of tlie tax imposed, but this right must lie exercise within sixty days from the date of the tax receipt, after which, it shall not be allowed. Sect. 14. An annual meeting of the stockholders, shall he held on the third Monday of each April, to receive the annual report of the last year's opera tions and business of the company, at which meet ing, a full statement of the financial affairs and oth er business of tin* company shall be submitted by the President and directors for examination by the stockholders and their agents. Sect. 15. At the expiration of the Charter, or whenever the dissolution of the Corporation shall render necessary its liquidation, three commission ers shall be elected by the stockholders whose duty it shall he to take possession of the property of the company, and conduct its buisincss to a final liquida tion on such terms and in such manner as shall be determined by a meeting of stockholders regularly convened for that purpose ; and if at the expira tion of tlie present charter a majority of the stock holders in number and amount shall desire to re new the same for a further term, the stockholders dissenting from the renewal, shall be bound to transfer their stock to those desiring a renewal, at its fair \ahte, to be fixed by appraisers mutually drawn for , that purpose.
