It was reputed that he was a murderer from Arkansas, and when he it was arrested in Shreveport there vas a n much talk about it. His trial came up last week. The Pros r_ ecuting Attorney and an able criminal 11 lawyer of good repute, was employed to c se assist in the prosecution. Cary was de- c fended by Hon. L. E. Thomas of our city. It was a hard-fought legal battle. It r is lasted a week. Public opinion and expe- 1 rience was against Carey, but Mr. Thomas ,n fought over every foot of ground; stead- w is ily, surely, inch by inch, he gained, until at the close the jury returned a verdict of not guilty. Carey was immediately ar ig rested on another charge in some other ie State.. Mr. Thomns is to be congratulated on his brilliant victory. 1 ('otton Belt Route. Account National Emcampment U. Be it known, thn:t before me, Cal )ial Hicks a Notary Public in and for the Parish of Caddo , State of Louisiana, duly cammisioned and qualified, came, in the presence of the witnesses herein after undersigned, the several persons whose names are hereunto subscribed, who declared to me,'said Notary, that availing themselves of the provisions of Act 36 of the General Assembly of the State of Louisiana approved June 29th. 18S8, as well as those of the general laws. of the State of Louisiana, in relation to the organization of corporations, they have formed, and by these presents do form and organize themselves into a cor poration for the objects and purposes and under the stipulations here in after set forth, which they do hereby accept as their charter to-wit: ARTICLE 1. The name and title of this corporation shall be "Gulf Lumber Co., 1 Limited." By that name it shall have power and i authority to have and enjoy succession t for the term of twenty-five years from I and after the date hereof; to contract, sue and be sued; to make and use a cor porate seal and the same to change at I pleasure; to hold, receive, lease and pur- I chase, alienate and convey, as well as mortgage and hypothecate property, real and personal and mixed; to name and appoint such managers, directors, offi cers and agents as the interests of such I corporation may require; and to make I and establish such by-laws, rules and regulations for the purpose of manage- I ment of the affairs of said corporation as t may be necessary to proper and the same to alter at pleasure. ART. 2. The domicile of this corpora- ] tion shall be in the City of Shreveport, Caddo Parish, Louisiana, and all citations and legal proceedings shall be served on _ the President of the corporation, and in his absence on the Vice-President, and in the absence of both, on the Secretary. ART. 3. The purposes for which this corporation is organized and the nature of the business to be carried on by it are declared to be the conducting and carry ing on a general lumber business and more expressly the buying and selling of lumber in the State of Louisiana. ART. 4. The capital stock of this cor poration is hereby fixed at the sum of ,10,000.00, Ten Thousand Dollars, to be divided into 200, Two Hundred Shares of Fifty ($50 00) dollars each, and the corpo ration may begin business when Ten Thousand dollars of its stock is sub scribed. The stock shall be paid for as follows: In cash, or the same may be issued at not less than par in payment for property for the corporation. ART. 5. All the corporate powers of this incorporation shall be vested in a board of directors to be composed of three stockholders which board shall be elect ed annually on the first Monday of Jan I uary beginning in the year 1898. I The first board of directors is declar ed to beE. E. Finnev A. C. List and A. M. Finney with E. k. Finney as Presi dent, A. M. Finney as Vice-President; and A. C. List as Secretary and Treasur er. The said board is to act until the first Monday in January 1898, aforesaid, or until their successors are duly elected thereafter, and such new board shall elect its President, Vice-President and r Secretary and Treasurer. The directors shall be elected by the stock-holders; each share of stock being entitled to one vote to be cast by its 6 owner in person or by proxy, and ma jority of votes shall elect. A majority of directers shall constitute a quorum. The President may appoint from time to time and dismiss such clerks, agents and other employees as may be deemed necessary for the purpose and necessi ties of this corporation. The board of directors may make all such rules and regulations for the management of the i business of this corporatian as may be r deemed necessary, and shall have power to collect debts, borrow money, issue Sbills of exchange, notes, execute mort gages and generally to do all things in r cident to the object and purposes of the corporation. ART. 6. This charter may be modi - fled, changed or amended, and said cor poration dissolved with the consent of three fourths of the amount of capital stock represented at any general meeting ofstock-holders convened for the pur S pose after five days previous notice of r said meeting shall have been published in one of the daily newspalpers of the City of Shreveport. Meetings of stock-holders for any pur pose other than change of charter or dissolution shall be called by notice in a Shreveport paper as aforesaid. Whenever this corporation is dissolved by limitation or I otherwise, its affairs shall be liquidated by two commnissioners elected by the stock-holders, who shall * have full power to wind up its affairs settle its Iabilities and distribute the proceeds among creditors and stock-hol ders.
