Know all men by these presents, that the undersigned do hereby associate our selves for the purpose of organizing a cor poration under and in accordance -with the provisions of Chapter Eleven (11) of the General Laws of 1873 of the State of Minnesota, and the several acts amenda tory thereof, and to that end adopt and sign the following articles of incorpora tion. Article 1. The name of this corporation shall be "John Hauen&tein Brewing Company." Article 2. The general nature of the business of said corporation and the purpose lor which the same is established shall be the man ufacture of malt, lager beer, ale, porter and other malt liquors, the sale of such articles so manufactured by it a the owning, maintaining and operating of such breweries and other properties as may be necessary to the proper carrying on of a manufacturing business and the functions of said corporation shall be lim ited to the business of manufacturing and to business essential thereto. Article 3. The principal place of transacting the business of said corporation shall beth City of New Ulm, in the County of Brown and State of Minnesota. Articled The time of the commencement" of this corporation shall be the first day of March, A. 1). 1900, and the period of continuance thereof shall be for thirty years from said date. Article 5. The amount of the capital stock of this corporation shall be One hundred thous and (loo,ooo.) dollars, of which amount Fif t-thousand (50,000) dollars thereof shall be actually paid in at the time of the com mencement of this corporation, and the remainder of said stock shall be issued in such amounts, paid in at such times and places and in such manner as a be de termined by the Board of Directors of this corporation. Article 6. The highest amount of indebtedness or liability to which this corporation shall at any time be subject, shall be the sum of Thirty thousand (30,000) Dollars, Article 7. The names and places of residence of the persona forming this association for incor poration are as follows: John Hauenstein, Charles Hauenstein, Martin Hose, Fred Seiter and William J. Herian, all residing in the City of Ne Ulm, in the County of Brown and rttate of Minnesota. Article 8. The number of the shares of the capital stock of this corporation shall be one thousand (1000) and the amount of each share shall be One hundred (100) dollars. The number of scares owned by each stockholder is as follows: John Hauen stein, 190 shares Charles Hauenstein, 100 shares Martiu Hose, 100 shares Fred Sei ter 100 shares and William J. Herian, 10 shares. Article 9. The stock, property, affairs, business and government of this corporation shall be vested in a board of five (5) directors all of whom shall be stockholders of this cor poration. Said Board of Directors of this corporation, after the one herein named, shall be elected from and by the stock holders of this corporation at the annual meeting of said stockholders, which shall be held at the principal place of business of this corporation in said City of Ne Ulm, at two o'clock p. m. on the third Tuesday of January in each year com mencing with the year 1901. Said Board of Directors, except the one herein named, shall be elected for a term of one year and its members shall hold office as such di rectors until their successors are elected and qualified. A the first meeting of said Board of Directors after such annual election, or at any adjourned meeting thereof, said newly elected Board of Direc tors shall organize by the election from their own number of a President, Vice President, Secretary, Assistant Secretary and Treasurer of this corporation, who shall hold their respective offices for the term of one year and until their success ors are elected and have qualified. A vacancies in said offices or in said Board of Directors, caused by death, resignation or otherwise, may be filled for the unex pired term by a majority vote of the re maining directors. At all meetings of said Board of Direc tors, a majority thereof shall constitute a quorum forth transaction of business, but a less number a adjourn from time to time. The Board of Directors of this corpora tion shall have power to establish by-laws for the management of the affairs of this corporation, create and designate a man ager and other officers and employees, and prescribe the powers and duties of each and every officer and employee of this corporation. Tne first Board of Directors of this cor poration shall consist of John Hauenstein, Charles Hauenstein, Martin Hose, Fred Seiter and William J. Herian: of whom John Hauenstein shall be President, Mar tin Hose shall be Vice President, Fred Seiter shall be Secretary .William J. Herian shall be Assistant Secretary and Charles Hauenstein shall be Treasurer of this cor poration all of whom shall hold their re spective offices aforesaid until the first annual meeting of the corporation to be held on the third Tuesday of January, A. D. 1901, with power of filling vacancies pro vided for herein. In Witness Whereof, we have hereunto set our hands and seals this 30th day of December, A. D. 1899.
