Nicollet village is to have one of the finest consolidated school buildings in Minnesota, if plans now agreed upon are carried out by the directors of the re cently formed district. Bonds to the amount of $40,000 were voted by the district at the special election held on Wednesday of last week, thus assuring the construction of the building in the course of the summer. I Advocates of a consolidated school broached the plan during the winter months, their idea being to consolidate four school districts in the immediate vicinity of Nicollet and erect a build ing in the village. When submitted to a vote the consolidation plan carried, and then an estimate of the amount of money that would be needed was pre pared. It was decided that $30,000 would be required for the new building, and an additional $10,000 for moving' the old school house and converting it into a teacher's home. That the people of the four districts affected are thoroughly in earnest their desire for the best possible edu cational facilities was shown by the vote at the special election Wednesday. A total of 140,votes were cast at the election. Of these 137 were in favor of bonding the joint district in the sum of $40,000, and only three ballots were cast op position to the plan. LADIES! ORDINANCE NO. 104 An Ordinance granting to the New Ulm Heating Company, and its assigns, certain rights, privi leges and authority to lay and maintain mains, pipes, and fixtures in and along the streets, ave nues and public grounds of the City of New Ulm for the purpose of furnishing and distribut ing steam and hot water for heating purposes The City Council of the City of New Ulm do ordain I Section 1 Subject to all of the conditions, limitations and reservations hereinafter con tained, there is hereby granted to the New Ulm Heating Company, a corporation, hereinafter called the Grantee, and to its assigns, for the period hereinafter mentioned, the right, privilege and authority to lay and maintain mams, pipes, appliances and fixtures in and along the streets, avenues, alleys and public grounds of the City of New Ulm as now or hereafter laid out, for the purpose of furnishing and distributing steam and hot water for heating purposes Section 2 Such mains, pipes, appliances and fixtures shall be laid, constructed and main tained only upon such streets, avenues, alleys and public grounds of said City as shall be desig nated for such purpose by the City Council of said City The location and manner of laying all of said pipes shall at all times be subject to the reasonable regulation and direction of said City Council Section 3 In laying and constructing mams, pipes, appliances and fixtures the streets, avenues, alleys or public grounds of said City the Grantee shall so prosecute said work as not to unnecessarily impede or obstruct the free use of such streets, avenues and public grounds by the public, and with no more injury or damage to the surface thereof as is necessary to the proper performance of said work When any trench or excavation shall be made or dug in any street, avenue, alley or public ground of said City un der the authority here granted, said work shall be prosecuted diligently and such street, avenue, alley or public ground restored without delay to its original condition to the satisfaction of the City Council of said City In laying and con structing said pipes, mams, appliances and fix tures, no sewers, water pipes or other structures shall be interfered with or removed nor any damage be done thereto Section 4 All digging of trenches and ditches, excavations, lajmg of mams and pipes and all other operations and work required or performed in the laying and construction of said pipes and mains and in the installation and maintenance of the same shall be done at the sole risk of the drantee and its assigns, and it shall be solely responsible for all accidents and all damage to persons or property arising therefrom or arising in any manner from or out of the exercise of the rights, authority and privilege granted by this Ordinance, and it shall at all times indem nify and save the City harmless from all damage, judgment, costs and expenses arising therefrom. Said Grantet. and its assigns shall at its own expense, defend all suits and actions brought against the City by reason of any act of omis sion or commission done or performed hereunder, upon being notified of the pendency thereof, provided that the City may be represented by its City Attorney in any such action or suit, at its option and the recovery of judgment a gainst the City in any such suit or action shall be conclusive evidence of the liability of the Grantee to reimburse the City therefor. Section 5. Immediately upon the comple tion of any mains or pipe lines in or upon any part of the streets, avenues, alleys or public grounds of said City said Grantee and its assigrs shall file in the office of the City Clerk of said City a detailed plat showing the exact location of said pipes and mairs and all valves and ac cessories, together with a profile showing the depth and dimensions of said mains ani lines. Section 6 The City Council shall have the right at any time to condemn any pipes, mains, fixtures or appliances placed or maintained in any of the streets, avenues, alleys or public grounds of this City by the Grantee or its assigns under this Ordinance whenever such pipes, mains, fixtures or appliances are unfit for use or danger ous to life or property, and such event the Grantee and 1 assigns shall forthwith repair or replace such pipes, mams, fixtures or appli ances in accordance with the direction of the City Council Section 7 The City of New Ulm shall have the ght at its option at any time hereafter to purchase the heating plant, mains, pipes and entire works of the property of the Grantee or its assigns included and used in the operation of said heating system upon payment to said Grantee or its assigns of the actual cost there of, less any amount that shall have been thereto fore paid by or on account of the City therefor. Section 8 This franchise and the rights, authority and privilege hereby granted shall take effect on the date of the passage and ap proval of this Ordinance and shall continue for the period of twenty years thereafter and no longer. Upon the expiration of said period this franchise and all rights, authority and privilege herein granted shall terminate and cease with out any action whatsoever by said City or its officials Section 9. The said Grantee shall signify its acceptance of this Ordinance in writing, such acceptance to be filed with the City Clerk of said City within thirty days after the passage and approval of this Ordinance and to be form approved by the City Attorney. In default of such acceptance, this Ordinance and its pro visions shall be inoperative and void. Section 10 The Ordinance shall take effect and be in force from and after its passage, ap proval and publication. CERTIFICATE OF INCORPORA TION, of the NEW ULM HEATING COMPANY We, the undersigned, for the purpose of forming a corporation under and pur suant to the provisions of Chapter 58 of the General Statutes of Minnesota 1913, and acts amendatory thereof, do hereby associate ourselves as a body corporate, and to that end we do hereby adopt the following Certificate of Incor poration. ARTICLE I. The name of this corporation shall be be "NEW ULM HEATING COM PANY." ARTICLE II. The general nature of the business of said corporation shall be to manufacture, purchase, and otherwise acquire steam and hot water for heating purposes, and to sell, distribute, and furnish the same to its stockholders and to other persons, firms and corporations, and to construct and maintain all necessary structures, pipes, mains, appliances and appurte nances as may be necessary to the proper conduct of said business, and to do all and everything necessary, convenient or proper for the accomplishment of any of the purposes hereinbefore enumerated. ARTICLE III. The principal place of business tif this corporation shall be the City of New Ulm in the County of Brown and State of Minnesota. ARTICLE IV. This corporation shall commence on the 10th day of May, A. D. 1916 and shall continue for the period of thirty years. ARTICLE V. The names and places of residence of the persons forming this corporation are as follows: A. J. Vogel, Henry N. Somsen, F. W. Johnson, Ferdinand Crone, and G. A. Ottomeyer, all of whom reside in New Ulm, Minnesota. ARTICLE VI. The management of this corporation shall be vested in a Board of five Direc tors. The Board of Directors shall be elected annually by the stockholders at their regular annual meeting, and shall hold office until their successors are elected and qualified. The regular an nual meeting of the stockholders shall be held at the principal place of business of the corporation on the first Monday after the first day of May in each year. Immediately after the regular annual meeting in each year the Board of Directors shall meet and elect from their number a President, a Vice President, and a Secretary and Treasurer, who shall hold their respective offices for one year and until their successors are elected and qualified. The offices of Secretary and Treasurer may be held by one and the same person. The corporation shall have such other officers as may be pro vided for in its by-laws. Any vacancy in the Board of Directors or in the officers shall be filled by vote of the Board of Directors. The first Board of Directors shall con sist of the following: A. J. Vogel, Henry N. Somsen, F. W. Johnson, Ferdinand Crone and G. A. Ottomeyer, all of whom shall hold office until the annual meeting to be held in May 1917, and until their successors are elected and qualified. The first officers of said corporation shall be the following. President A. J. Vogel, Vice President G. A. Ottomeyer, Secretary and Treasurer, F. W. Johnson, all of whom shall hold their respective offices until the first meeting of the Board of Directors following the annual meeting in May 1917, and until their successors are elected and qualified. ARTICLE VII. The amount of capital stock of this corporation shall be Fifty thousand Dollars ($50,000.00), divided into five hundred shares of One hundred Dollars ($100.00) each, and shall be paid in at such times and in such manner and in such amounts as the Board of Directors may direct. ARTICLE VIII. The highest amount of indebtedness or liability to which the corporation shall at any time be subject shall be the sum of One hundred thousand Dollars ($100, 000.00).
