If the necessary minimum of 350must regularly issued certificates are secured by R. S. Mackintosh, secretary of the Minnesota Horticultural Society, from attendants at the Minnesota Crop Show in the Hennepin county court house, Minneapolis, December 13 to 16, all Minnesota attendants will be able to purchase their return tickets for half fare. Full tickets of 67 cents or more, however, are needed to make up the required 350 certificates. This arrangement will apply to all points in Minnesota. Railroad tickets must be purchased December 10 to 16,r inclusive, with a return limit set at December 20. Persons purchasing tickets are asked by Mr. Mclntosch to secure a certificate from their local agent. This certificate is called the one way certificate plan receipt and should not be confused with the ordinary re ceipt, which should be secured if this certificate is not available at that station. The ticket must read to Minneapolis and the certificate should be stamped with the same date as the ticket. The person's name must be signed to the certificate or receipt in ink, and shown to the ticket agent. If return tickets are issued at the re duced fare they will not. be good on any limited train on which such re duced fare transportation is not honored. The premium list for the show, which includes corn, fruits, grains, potatoes, vegetables, plants and cut-flowers, will total about $4,000. Three crop or ganizations, the State Horticulutral Society, Minnesota Crop Improve ment Association and the Potato Growers' Association are co-operating. RESOLVED, That Article VII of the Certificate of Incorporation of this corporation be, and the same is hereby amended to read as follows, to wit:— "The amount of the capital stock of this corporation shall be Two Hundred Twenty-five Thousand Dollars ($225, 000.00), which shall be paid in money or property, or both, in such manner and at such tim.es and in such amounts as the Board of Directors may order. The capital stock shall be divided into Two Thousand Two Hundred Fifty (2,250) shares of the par value of Onebeen Hundred Dollars ($100.00) per share. Of said stock, Twelve Hundred Fifty (1250) shares shall be common stock and One thousand (1,000) shares shall be preferred stock. The term.s, conditions, limitations and provisions upon which said pre ferred stock are issued, are these: a. The holders thereof shall be en titled to receive out of the net earnings, a fixed dividend at the rate- of eight per cent (8 per cent) per annum, to be payable quarterly, before any divi dends sh,all be set apart or paid on the common stock for the period thereto fore elapsed and that in addition to said fixed dividend of eight per cent (8 per cent) per annum, the preferred stock shall participate in the earnings over and above said fixed dividend of eight per cent fg por CQnt) upon said preferred stock in the following way V*^* and manner, to-wit: .'&J The said preferred stock shall be en 3 led, in addition to the fixed eight (8 per cent) dividend, to par ^th the common stock up to 'cent (12 per cent) per an that is to say after common stock nas been paid eight per cent (8 perof cent) dividend for any one year, then and in that event the preferred stock is to share and share alike with the comir.on stock up to twelve per cent (12 per cant) per annum, provided, however, that said preferred stcck is not to draw in any one year dividends in excess of twelve per cent (12 per cent) per annum. ^iiSi^^^^^ -:3«f b. The said fixed eight per cent (8 per cent) dividends upon said pre ferred stock are to be accumulative, so that if for any period or periods the same cannot safely be paid or may not be paid, the right thereto shall accum ujate as against the common stock and all arrears thereon so accumulated be paid before a dividend can be commenced or resumed on the common stock. The dividends, however, of the said preferred stock which are in excess of eight per cent (8 per cent) per annum are not accumulative as against the common stock and the principal and par value of said preferred stock-with accumulated eight per cent fixed, dividends shall be paid in full in preference to the com.mon stock in the event of any liquidation of the com pany, either through insolvency or the termination of its corporate existence, otherwise. c. Said preferred stock shall not have the power to vote at any meetings of the corporation or have any power in the management of the same, save and except that if for a period of three (3) years the preferred stock shall not be paid, its fixed dividends, of eight per cent (8 per cent) per annum, then and in that event said preferred stock shall have the right to vote at the meetings of the corporation until such time as the said fixed dividends shall have been fully paid, it being the intent of this provision that said preferred stock shall only have power to vote during such periods as the payment of said fixed dividend of eight per cent (8 per cent) per year is ^delinquent and un paid. d. In the event of the liquidation of the corporation through insolvency or the termination of its corporate ex istence or otherwise, after the indebted ness of the corporation has first been paid, the outstanding preferred stock shall first be paid at par, plus any ac cumulated unpaid fixed 8 per cent dividends. The remaining assets^ of the corporation shall be divided pro rata among the common stock. The corporation retains the right to retire said preferred stock at any time after one year after the issuance of the same upon thirty days written notice and the payment to the stock holders ofHhe par value of their stock plus five per cent (5 per cent) of the par value of said stock, together with any dividends due and owing on said stock." RESOLVED, That Article VHI/of this corporation be, and the same is hereby amended to read as follows, to-wit:— "The highest amount of indebted ness or liability to which this corpora tion shall at any time be subject shall be the sum of Three Hundred Thous and Dollars ($300,000.00.)" RESOLVED, That Article IX of the Certificate of this Corporation be, and the same is hereby amended to read as follows, to-wit:— "That there is to be no limitation of any kind or nature upon the sale and disposal of the stock in this corpora tion, except as is provided for by the laws, statues and constitution of the State of Minnesota."
