Hamm Realty Company.
WE, THE PERSONS WHOSE NAMES ARE
hereunto subscribed, do hereby associate
ourselves together for the purpose of becom
ing a corporation under the provisions of
Title 2, Chapter 34, of the General Statutes of
the State of Minnesota, and the laws amend
atory thereof, and for that purpose do hereby
adopt and sign these articles qt incorporation,
to-wit:
ARTICLE I.
The name cf this corporation shall be
Hamm Realty Company. The general nature
of its business shall be to own, hold, possess,
deal in and sell and convey land, real estate
and personal property of every description;
to plat, subdivide and lay out lands Into
towns, additions and grounds for building,
and to improve;:lands; to sell, convey, lease
and let lands and- personal property of every
nature; to loan money and funds, and take
security for such loans by mortgage or other
wise- to sell real and personal property for
and act as agents for other parties, and to do
such other acts as may be necessary, desir
able or convenient for the prosecution of
such business. The principal place for trans
acting the business of this corporation
shall be the city of St. Paul, in the State of
Minnesota.
ARTICLE 11.
The time of the conin.enc_ment cf this cor
poration shall be the first day of May, 181*6,
and the period of its continuanc. shall be the
term of thirty years from said date.
ARTICLE 111.
The amount of the capital stock of this
corporation shall be Four hundred thousand
(400,000 dollars, to be paid in in such install
' ments and at such times as the Board of Di
rectors shall determine.
ARTICLE IV.
The highest amount of Indebtedness or lia
bility to which said corporation shall at any
time be subject Rhall not exceed four hun
dred thousand (400,000) dollars.
ARTICLE V.
The names of the persons forming this as
sociation for incorporation are Theodor
Hamm, William Hamm and Otto Muller, all
residing in the City of St. Paul, State of
Minnesota.
ARTICLE VI.
The government of this corporation and the
management of its affairs shall be vested In
a board of three directors and in the officers
hereinafter named. Said directors shall be
electei at the annual meeting of this corpora
tion, which annual meeting shall be held on
the 3rd Wednesday in October in each year,
and they shall hold their offices until their
successors aie elected and qualified. The per
sons herein named as incorporators shall con
stitute the first board of directors, and shall
continue such until their successors are elect
ed and qualified. The directors shall hold
their flrst meeting in each year immediately
after the annual meeting of the corporation,
and shall at such first meeting elect the fol
lowing officers, to-wit: A president, a vice
president, a secretary and a treasurer, and
such officers shall hold their offices until the
next annual meeting of the corporation and
until their successors are elected and quali
fied. Any two of said offices, excepting those
of president and vice president, may be held
by the same person, and of such officers the
president and vice president shall be chosen
from the board of directors, and the remain
ing officers may or may not be chosen from
the board of directors. Vacancies in the board
of directors, or In any of said offices, may be
filled by the board at any regular or special
meeting held ln pursuance of the by-laws,
and special meetings of the stockholders may
be held in such manner and upon such notice
as may be provided by the by-laws. Until
their successors are elected and qualified
Theodor Hamm shall be President and Treas
urer, and William Hamm shall be Vice Presi
dent and Secretary.
ARTICLE VII.
The number and amount of the shares of
the capital stock of this corporation shall be
four thousand (4,000) shares of one hundred
dollars each.
