prise be abandoned, and the charter,
franchise and corporate name of the
said Crescent Macaroni & Cracker com
pany, an Illinois corporation, De aur
rendered, and the Raid corporation be
dissolved. Be it further
'Resolved. That the officers of said
corporation be, and they are hereby,
authorized and directed to take such
steps as may be necessary to erleot the
dissolution of said company, and the
dlncharare of all corporate liability and
the pavment or an corporate aeots, ana
the distribution of the corporate assets
and property among all the persons en
titled thereto.-
That a record of such proceedings
signed by the president of the corpora
tion, verified by his affidavit and attest
ed by the secretary of said corporation
under Its corporate seal, has been duly
