Pursuant to notice duly given herein,
hearing was held at Needles. California,
June 30th. 1920. by L. F. Jones.

senger rates between Kingman and Oat
man from $4.00 on- way.- $8.00 round
trip, to $5.00 one way and $9.00 round
trlD. Between Oatman and the Colo
rado River $4.00 one way, $8.09 round
trip to $5.00 one way and $10.00 round
trip.
Upon Investigation, and by a state
ment later furnished this Commission,
It was shown that this stage line was
operated at a loss owing to the Increas
ed costs of gasoline, oil and labor and
.It' Is our opinion that the application
"lor Increased rates should be granted.

TT IS .ORDERED: That the applica
tion of the Kingman Stage Llrios. S. H.
Beecher, Proprietor, be, and the same Is.

ARTICLE THREE: The gene- na
ture of the business proposed to Tcar
rled on by this corporation Is that of
mining, milling, smelting, ore refluc
tlons and treating. In all Its I related
branches, and engage In any and every

of Directors, deemed necessary, requis
ite, convenient or auxiliary to the car
rying out of the general objects and
purposes for which the corporation Is
formed.
In furtherance and not In limitation
of Its general powers and, purposes, It
Is expressly provided that the corpora
tion shall have the following powers,
to-wlt:

ARTICLE FOUR: The amount of
the capital stock of this corporation
shall be TWO HUNDRED ANP FIFTY
THOUSAND DOLLARS, divided into
one million shares of the par valuo of
Twenty-five Cents each, and the same
when Issued, shall be fully paid and
forever non-assessable. Said stock
shall be issued at such times, and upon
such terms and conditions as nwy be
provided by the Board of Directors, and
same may be exchanged for mines, min
ing claims or for any other ptoperty,
real or personal, or for benefits accru
ing or services rendered to the corpora
tion, in any manner or rorm whatso
ever, and all shares of capital stock so
issued in exchange therefor shali there
by and thereupon become fully paid, and
stocK snail be rorever non-acssable.
In the absence of actual frau.l in the
transaction the determination of the
Board of Directors as to the value of
any property, right, services, benefit op
tion or thing acquired in exchange for
capital stock shall be conclusive, in the
absence of actual fraud.
ARTICLE FIVE: The time of the
commencement of this corporation shall
be the date of issuance of Certificate
of Incorporation by the ARIZONA COR
PORATION COMMISSION, and the ter
mination thereof twenty-five years
thereafter, with m-lvileges of renewal
as provided by law.
ARTICLE SIX: The management
ana control ot the business, property
and affairs of the corporation shall be
vested in a Board of Directors consist
ing of five members, who shall be elect
ed by the stockholders of record from
among their own number at the annual
meeting of the stockholders, which an
nual meeting shall be held at the prin
cipal office of the corporation on the
last Thursday in April of each year,
and said Directors so elected shall hold
office until the next annual meeting of
the stockholders, or until their succes
sors are elected and qualified; any va
cancy which may occur in said Board,
whether caused by death, resignation or
otherwise, shall be filled by election by
the remaining members of the Board of
Directors irom among the stockholders
of record. Said Board of Directors
shall have the power, without the assent
or vote of the stockholders, to make, al
ter and amend By-Laws, and to make
any and all rules and regulations nec
essary for the conduct of the affairs of
the corporation, not inconsistent with
law or these Articles of Incorporation.
With the consent in writing, or pur
suant to the vote of the holders of a
majority of the Issued and outstanding
stock of the corporation, said Board of
Directors shall have the power to sell,
assign, transfer, convey, lease or other
wise dispose of the whole or any por
tion of the property of the corporation.
The first Board of Directors of the
corporation shall be selected by the in
corporators as soon as convenient after
the issuance of Certificate of Incorpor
ation, and shall hold office until the
first annual meeting of the stockhold
ers, or until their successors are elect
ed and qualified.
ARTICLE SEVEN: The officers of
the corporation shall consist of a Pres
ident one or more Vice-Presidents, a
Secretary and at Treasurer, and where
the duties are not inconsistent more
than one of said officers may be held
by the same person. Said officers shall
be selected by the Board of Directors at
the regular annual meeting of the
Board, which shall be held Immediately
following the adjournment of the annual
meeting of the stockholders, and the
President and Vice-President shall be
from among their own number. The
Board of Directors shall have power to
appoint such other and additional of
ficers, and to appoint Advisory Board
and such Committees as it may deem
necessary, either as provided by the By
Laws or by resolution, ana an sucn of
ficers, committees and the said advis
ory board shall hold office at the pleas
ure of and their duties and compensa
tion shall be provide by said Board of
Directors. The officers above designat
ed shall hold office for one year or un
til their successors are elected nnd qual
ified. ARTICLE EIGHT: The highest
amount of indebtedness or liability, di
rect oV contingent, tb which this corpor
ation shall at anv time subject Itself
is the sum of ONE HUNDRED AMD
FIFTY THOUSAND DOLLARS.
ARTICLE NINE: The private prop
erty of the stockholders of this corpor
ation shall be and Is hereby made for
ever exempt from any and all liability
for the deWs of the corporation.
ARTICLE TEN: These Articles of
Incorporation may be amended by a ma
jority vote of the issued and outstand
ing stock of the corporation, at any
regular meeting of the stockholders or
at any special meetlpg thereof called for
that purpose.

COLORADO CUTTING BANKS
The lowerinir waters nf fiio rui-
rado river are eating into the banks
of the levee at Yuma and it is feared
that considerable damage will be
done. The river has only fallen a few
feet at that point and if the levees
are damaged a big part of the town
of Yuma will go under water., For
many years Yuma has been in a per
ilous position on account of the back
ing up of the flood waters of the Gila
