State of Arizona, Ed. Imus, being then
and theie justly indebted to W. L.
Kayser and W. K. Ridenour, Trustee,
in the sum of Four Thousand Two
Hundred Sixty-One and 33-100 Dol
lars, as evidenced byt two certain
promissory notes bearing said date,
aggregating said amount, in order to
secuie the payment of said indebted
ness, made, executed and deliveied to
said W. L. Kayser and W. K. Riden
our, Trustee, his certain 'chattel mort
' gage, conveying to said W. L. Kay
' scr and W. K. Ridenour, Trustee, the
, personal property and chattels heic
inafter described. That default has
I been made in payment of said prom
issory notes and each thereof, and in
the payment of said indebtedness;
that same has not been paid nor any
part thereof, either principal or in
terest, and the whole of said sum of
$4261.33 is now due and owing from
said Ed Imus to said W. L. Kayser
and W. K. Ridenour, Trustee.
That under the terms and condi
tions of said chattel mortgage, the
undersigned W. L. Kayser and W. K.
Ridenour, Tiustee, have seized and
taken the property covered and con
veyed thereby, and hereinafter des
cribed, into their possession; and NO
TICE IS FURTHER GIVEN by the
undersigned that by virtue of the
power vested in them to foreclose
said mortgage by Notice and Sale,
they will, on Thursday, the thirtieth
day of September, 1920, at the hour of

water, water rights, reservoirs canals,

ARTICLE FOUR: The amount of the'
capital stock of this corporation shall
be ONE HUNDRED THOUSAND DOL
LARS, divided into one million shares
of the par value of TEN CENTS each.
Said stock shall be Issued at such times
and upon such terms as may be provld-
ed by the Board of Directors, and same,
may be exchanged for mines, mining
claims or for any other property, real,
personal or mixed, or for benefits ac
cruing or for services rendered to the
corporation, in any manner or form
whatsoever, and all shares of capital
stock so Issued in exchange therefor
shall thereupon and thereby become
fully paid .and said stock shall be for
ever non-assessable. In the absence of
actual fraud in tho transaction the de
termination of the Board of Directors
as to the value of any property, right,
services, benefit, option or things ac
quired In exchange for stock, shall be
ARTICLE FIVE: The time of the
commencement of this corporation shall
be the date of tho issuanco of a Certif
icate of Incorporation by the Arizona
Corporation Commission, and tho ter
mination thereof shall bo twenty-five
years thereafter, with privilege of re
newal as provided by law.
ARTICLE SIX: Tho management
and control of the business, property
and affairs of the corporation shall be
vested in a Board of Directors', con
sisting of not less than three nor more
than nine members, who shall be elect
ed' by the stockholders of record, from
among their own number, at the regular
annual meet In; of the stockholders,
which meeting shall be held at the prin
cipal office of tho company on the third
Tuesday in May of each year, and the
said Directors so elected shall hold of
fice until the next annual meeting of
the stockholders or until their succes
sors are elected and qualified; any va
cancy which may occur in said Board
of Directors, whether caused by death,
resignation or otherwise, shall be fill
ed by election by the remaining mem
bers of the Board of Directors from
among the stockholders of repord. ..SalJ

er, without the assent or vote 'of the
stockholders, to make, alter tyid amend
By Laws, and to make and establish
all rules -and regulations necessary .for
the conduct of the business and atfaira
of the corporation, not inconsistent
with law or these Articles of Incorpor
ation. With the consent in writing, or pur
suant to the vote of the holders of a
majority of the issued and outstand
ing stock of the corporation, said, Board
of Directors shall have the power to
sell, assign, transfer, convey, lease or
otherwise dispose of the whole or any
portion of the property of the corpora
tion. The first Board of Directors shall be
selected by the Incorporators as soon
as convenient nfter filing these Artloles
of Incorporation with the Arizona Cor
poration Commission, and said Board so
selected shall hold office until' the first
annual meeting of the stockholders or
until their successors are elected and
ARTICLE SEVEN: The officers of
the corporation shall consist of a Pres
ident, one or more Vice-Presidents, a
Secretary and a Treasurer, and, -whitre
the duties thereof are not inconsistent
more than one of said offices 'may be
held by the same person. Said officers
siall be selected by the Board of Di
rectors at tne regular annual meeting
of said Board, which meeting shall be
held immediately following the adjourn
ment of the annual meeting of. the
stockholders, and the President and Vice
President shall be from among their
own number. The Board of Directors
shall have power to appoint such other
and additional officers and such com
mittees as It may deem necessary, either
as .provided by the By Laws or by Res
olution, to hold office at the pleasure of
said Board, and whose duties and com-
i pensation shall be provided by said

The first officers shall be selected
by the Board of Directors named by
