C., subsidiary of Na tional Light and Power and Elec tric Bond and Share, filed today with the Securities and Exchange Commission a refinancing program by which it would exchange 173, 506 shares of its own preferred stock, on a share-for-share basis, for new preferred stock. The company proposes to call for redemption at $110 per shares plus accumulated and unpaid dividends to the date of redemption, not less than 10 per cent of such old prefer red stock plus such additional stock as would be needed to avoid call ing or issuing fractions of shares. Carolina Power has outstanding 93,551 shares of $7 preferred stock and 79,995 shares of $6 preferred. These are without nominal or par value but are carried on the books at a stated value of $100 per share. To aid in effecting the refinancing program, Carolina Power register ed today with the SEC 156,158 shares of $5 preferred stock, with out nominal or par value. Cash dividend adjustments also are proposed in connection with the program. Carolina Hower said it would propose to the holders of its old preferred stock that the refinanc ing plan become effective automa tically if 75 per cent of the old stock is deposited for exchange. If less than 75 per cent is depo sited, the plan and offer for ex change will not be binding unless the company so elects. One of the primary objectives of the plan, the company said, is “to retain a very high percentage of local stock ownership and if pos sible substantially increase local stock ownership.” “The company wishes to reduce substantially the dividend require ments on its outstanding preferred stock by tanking advantage of pre vailing market conditions . . the proposal said. -V CHICAGO GRAIN CHICAGO, March 17—(JP)—Grain markets were irregular today, breaking sharply during the early trade but rallying during the final hour to finish with wheat and rye showing gains of as much as half a cent. Most of the operations were con cerned with evening up in prepara tion for the week-end recess and the trade was so light that prices were affected easily. Some hedging was attributed to milling interests and there were indications of a lighter demand for cash grains. Trade sources said some of the selling indicated at least slight improvement in the sup ply of freight cars on western lines. Tin_i i . i ncduy a cent at time when offerings credited to flour millers found the demand limited. Local shorts covered on the dip and some purchases were made for an elevator firm.
