is a domestic corporation organ iz
ed under chapter 10, laws of 1818,
for tho purpose of dealing in real
By a writtu contract dated
AuKttHt, 1800, it was ogrood by the
parties signing it that tho plain
tiff corporation should bo formed.
It also provided for subscriptions
to tho capital stock of tho propp
ed corporation, and the defendant
subscribed for twooty of its as
sessable shares. Tho capital stock
of tho proposed company was to
bo Gvo hundred thousand dollars
consisting of five thousand shares
of. tuo pir valuo of one hundred
dollars each, divided into two
hundred thousanddollars of assessable-
and three hundred thousand
dollars of non-assessable stock
Defendant acquired more shares
of tho stock subsequently, mak
ing his total holding of plaintiff's
assossablo stock thirty two shares.
On March 4, 1892, ho transferred
these shares to one Van Every,
who is described in tho opin
ion, for tho consideration of
throe dollars. Tho certificates
therofor wero duly surrendered to
and cancelled by plaiutiff, and it
issned now certitiuntea to Vau
Every for that number of nhares.
L'ho plaintiff's secretary duly reg
istered thoso transfers upon its
books, and took Van Everv's re
ceipt for tho sharos recoived by
him. On July 7, 1892, tho plain
tiff mado a further call upon i's
stock of twolvo and oue-half pr
cent. Van Every did not pay,
and a judgment by default was
obtained against him by the plain
tiff for tho amount thereof on
Novombor-1, 1893. This judg
mont was satisfied by tho plaintiff
Soptombor 11, 1894, and in tho
following October it began this
action agaiust tho defendant for
tho amount of tho call attempted
to bo collected of Van Every and
for the further amount of a call of
ton per cent, subsequently made.
Thisaotion wasnot commenced until
two yours and eight mouths after
the transfer of the defendant's
shares to Van Every, and nearly a
year from tho dato of tho rocov
ory of judgmont ngainst the latter
for tho amount of ono of tbo calls
included in this action. Soon aftor
this transfer to him, Van Every
transferred tbo certificates toeorao
ono in tbo dofondant's storo to
whom ho was introduced but did
not know, and received fivo dollars
therofor. lie claims that bo did
