The financial provision heretofore made for addition? and betterroerxU
to your Company's road and equipment has met your requirements to
juno 30th, 1911. Since that date work has continuously progressed upon the
branches and extensions and double track referred to In the last annual
report, and upon nldina-s, yards and other facWttes
In order to reimburse the Company's treasury for such expenditures
made since June 30th, 1911. and to complete further additions and better?
ments, Including 42 milrs of second track, ext?*nsiv" ?nlargements and Im?
provements of yards, coal plan and other terminal facilities at Norfolk
and I_mbert's l'oint, Va., and at Columbus, Ohio, and such additional pass?
ing sidings, new bridges, equipment and other construction and Improve?
ments as are required for the economical movement of the increasing traffic,
the Board of Directeurs, pursuant to authority given by tbo Company's stock?
holders October 13th, 1910, hereby offers to the holders of Adjustment Fre?
ie-Ted Stuck and Common Stock the privilege of subscribing at par upon
the terms and conditions hereinafter stated between February 27th and
March 1st, 1912, both inclusive, (after which latter date the privilege will
cease), for an amount of convertible four per cent, bonds expiai to twelve
and one-half per cent. (1114%) of their respective l-.ril1ir.trs of the Company's
stork as registered on its books at the cloae of business January 3lat, 1912.
The bonds now offered will be issued under a trust indenture about to
be executed between this Company and the Quantity Trust ?'onipany of New
York as Trust?-.-. They will be payable Beptemh >? ist, 193:. and will bear
interest from September l>t, 1912, at the rate of 4 per cent, per annum,
payable semi-annually. Both principal and lntcr-st will be payable In gold
cola of the United States ?if the present standard of weight and fineness
without deduction for any tax or taxes which th? Railway Company may be
r?-f|uired to pay or retain therefrom under any pr??.-? fit or future law of the
Quitted States or of any State, County or Municipality therein. They may
be issue?! as coupon bonds for $1,000 each and as reinsured bonds without
coupons for $1.000 or $5,000 or any m?ltiplo of |5,M0 that may be authorised
i>v the Board of Directors, Cotgpon bonds will be exchangeable for registered
bonds and registered bonds for coupon bonds under su. h r?gulations as
may be approved by the Board. The bonds wlil be convertible at the option
of the holder at any time before September 1st, 1922, into paid up share? of
the same par value of the Company's common stock So long as the dlvi
dends on common stock are paid quarterly a bondholder converting his
bonds during the last half of an interest period will be paid a sum equal to
the dividend paid on a like amount of common stock for the first half of
such Interest period. Tho bonds may he called by the Company for redemp?
tion on any interest dav after September 1st, 1922, at one hundred and five

Warrants will be issued February 9th. specifying the amount of bonda
in respect of which the stockholder is entitled to a subecriptian privilege.
"Subscription Warrants," entitling the holder to subscribe, as hereinafter
