A circular which Is being sent out to the stockholders state that the direc tors of the. company have been desirous ot liquidating Its business for some time and that they believe the present is propitious. The most valuable asset of the company Is 401.504 shares of Utah Copper Company stock. The directors, rather than offer these shares In the open market, with the attending risk of Impairment to value, arranged to sail them to the Kennecott Copper Corpora tion. It is proposed that the Kenne cott corporation shall purchase all of the Utah Copper Company stock held by tho QrDggsnhsltn Tixploratlon Company by giving In exchange one and one-half Shares of Ite own aioca ror of ft ah. The Kennrcott company Is arranging with a syndicate to offer the stock holders of tho (Higgenhelm company the choice of Kennecott stock or cash at the rate of $"o a share for the Utah Copper stock. Counsel for Any Variation in New Haven Case Evidence From Details He Gave Before Grand Jury and in Other Inquiries. To ere was further evidence yesterday that Charles 8. Mellen, principal witness for the Government against the eleven former dtreotors of the New Haven, and the Government representatives are at odds. At the opening of the afternoon ses sion Mr. Mellen, then completing Ms twentieth day on the witness stand, asked permission to make a statement. He said that tt had been asserted that his testimony at the present trial varies from that given by him before the Fed eral Grand Jury. "If such a situation exists," he said, "It Is because counsel for the Govern ment have not asked me the same ques tions that brought out the facts to which 1 testified before the Grand Jury at Washington or at Boston. I am sorry that there should be a variation. I am most willing to correct my testimony If it differs from that given by me at any time before." The statement made after Mr. Mellen's request to Judge Hunt followed a little Incident at the adjournment for the noon recess. Then Prank M. fw acker and R K Batts, special Assistant Attorneys General, went to Judge Hunt who was still on the bench, end held a conversa tion which was taken by Mr. Mellen to indicate that the two men believed that he was changing his testimony. Mr. Batts was very anxious to find out where that profit went, but every time he mentioned the Boston railroad holding bill or the Massachusetts state. House he was stopped by objection. Mr. Mellen then could only finish his narrative. The stock had cost him 13. 0(0,000 or a little more. He had re ported this to the executive committee of the New Haven, which had suggested that he take It up with the Boston and Maine committee. That committee had advised him to sell It. He went to John I,. Blllard, who promptly bought it, and Mr. Mellen financed him In the purchase. After the Boston railroad holding company Mil had been passed nnd the New Haven Was thus enabled to take over the Boston and Maine stock, an sgree-nent was made by which all of Mr. Blllard's stock went back to the New Haven. argtrlae for Defence. To the surprise of the defence the Government put In evidence the reply made by the New Haven directors to the Inquiry of the Massachusetts Leg islature dated February 1, 1909. The Legislature wanted to know what the New Haven owned and also about the Blllard company. The famous para graph In which the New Haven's friendly relationship with Mr. Blllard was acknowledged was explained by Mr. Mellen. It has been claimed that this was Inserted by Lewis Csss Ijedyard as a self-serving declaration. Mr. Mel len declared that It was put In by Mr. Ledyard's Insistence that the reply should lie cbsolutely frank and full.
