The right to to tubieribe will be accorded to stockholder who re reglitered on the book of the company at the cloie of buiinett on the 21.it dayjof February, 1916. Each stockholder will be entitled to subscribe to the new stock, nt the price of $60 per share, to the extent of one-third of the nmotint of the stock registered in his name at the time aforesaid, provided that, in respect of fractional amounts, no right to subscribe will be accorded except upon surrender of sufficient fractional war rants, on or before Slnrch 10, 1910, to aggregate a full share, and the issuance of n full warrant therefor. On said 21st day of February, 1010. or a soon thereafter as practicable, there will be issued and mailed to each of said stock holders, at his address as the same appears on the books of the com pany, warrants in respect of such subscription rights. Payment on lubicrlption for full iharei are to be made to the Guaranty Truit Company of New York, No. 140 Broadway, New York City, in New York fundi, not later than the 13th day of March, 1916, on the terms and conditions set forth in the full warrants of subscription. Certificates for such stock will he delivered as soon as practicable thereafter. Full warrant of lubicrlption for stock will become wholly void and of no value if the right to ubcribe It not exercised and pay ment thereon made on or before March 13, 1916, and fractional war rant! will become wholly void and of no value after March 10, 1916. The aforesaid $25,000,000 par value of stock has been under written by n syndicate, which has agreed to take the same or such part thereof as the shareholders may not subscribe, nt $00 per share, the company having agreed to pny to said syndicate a commission for such underwriting. The issue of the stock offered as nforesaM will exhaust the present authorized capital stock of the compnny, lenving no stock for further issue to meet the possible future requirements of the company unless the amount of authorized capital stock be increased. It is contemplated and intended to finance the purchase of stock of the Cnmliria S-tecl Company through the funds which will be de rived from the offciing of $25,000,000 oar value of stock ubovc men tioned nnd the issue by the company of collateral trust bonds of approximately $50,000,000 in principal amount, which bonds, ac cording to the present plans, will be convertible into capital stock of the company nt the price of $100 for $50 par value of such stock. Under the circumstances, the Hoard of Directors have determined that it is advisable to increase the amount of the authorized capital stock of the company from $100,000,000 to $150,000,000 and have accordingly called a special meeting of the stockholders to consider such increase, to be hold March 11, 1010, at 11 o'clock in the fore noon, and for the purpose of said meeting have orilcrcd the stock transfer books closed at the close of business on the 21st day of February, 1010, to be reopened nt the opening of business on the 13th day of March, 1016. Formal notice of saiil meeting, as required by law and the by-laws, will hereafter be mailed to each stockholder. Jf such increase in the capital stock be authorized ut said stock holders' meeting there will be reserved from issue the amount neces sary to satisfy the conversion privilege of the bonds to be issued as above mentioned, leaving approximately $25,000,000 par value of unissued stock to meet possible future requirements of the company.
