"As yet none of our public, men havo shown In approaching this riucstion tho
courage that It demands. Wo hao htard a great deal about tho sacrifices that
capital must make, which, indeed, it Is making. Wo havo yet to hear about tho
sacrifices labor 1m to make. That labor should bo well paid, that wages, under
current conditions, must be far abovo normal, is perfectly well admitted and
understood, indeed, such is already tho case. But what is not fully understood
Is that for full wages there must bo full work. It is tho universal experience)
of labor that with high wages has come, not Increased, but sadly decreased,
elllclcncy, and not only that, but a refusal to work moro than a fraction of the

-NOW. THEREFORE, HE IT,
Resolved, That the pioper officer., of the Company be and
they are hereby authorized and directed to subscribe for Three
Million Dollars ($;i,000,000) Second Liberty Loan Bonds, and to
make payment therefor when and as required by the Federal
Government;
Resolved, That for the purpose of providing" tho workinft
capital neco.ssary to avoid any curtailment of the Company's
efforts to increase its output of anthracite coal, or any interrup
tion in trie development and enlargement of its mines and other
properties, the Board of Managers hereby authorize an increase
of the Capital Stock from 531,763 shares, of the par value of $50
each, total ?26,C87,(i50, to 584,808 shares, of the par value of $50
each, total $29,2 13,400, and that the privilege bo given to the
Stockholders of the Company to sub'cribe at pur ($50 per shire)
for Capital Stock, to the amount of Ten per cent. (10r'r) of their
holdings, us registered on the hooks- of the Company at 3 o'clock
I. M., October 31, 11117, upon the terms and con litions hereinafter
recited.
Stock Allotment Warrant.-; specif j nig the amount of Stock to
which each Stockholder shall be entitled to subscribe, shall be
mailed by the Treasurer to each Stockbolder, to iho address to (
which dividends arc sent, on or' about November 10, 1917. . Said
Warrants Shall be negotiable, but only upon proper execution of
the foTn of assitrnment endorsed thereon.
,..TIiJ.,oTERMS 0F SUBSCRIPTION SHALL BE AS
FOLLOWS:
1. AH subscriptions shall be made between November 19
and November 30, 1917, both dates inclusive, and the Warrants
surrendered otherwise the privilege of subscribing shall be void
and the Warrants of no value. '
2. All payments of subscription shall be made at the office
of the Treasurer of the Company.
3. Subscriptions for whole shares shall be payable in install- ,
ments ns fol.ows:
$10.00 per share between November 19 and 30, 1917, both
dates ins'.ushe.
$20.00 per share between December 24 and 29, 1917, both
dates inclusive. ,
?20.00 per share between January 21 and 2G, 1918, both
dates inclusive.
Negotiable Subscription Receipts will be issued to subscrib
ers when the first installment is paid, nnd deferred payments
will be endorsed thereon when nnd as the same nre made. No
deferred installment will be received unless accompanied by ths
, original Receipt.
Upon payment of the final installment, on or before Janu
ary 26, 1918, the Negotiable Subscription Receipt will be ex
changed upon the surrender thereof for Stock Certificates, which
will be mailed or delivered to the registered holder of the Re
ceipt within two days thereafter.
Subscribers shall have the privU-ge of anticipating the pay
ment of deferred installments and upon payment in full, Stock
Certificates will be issued within two days thereafter.
4. Subscriptions for fractions cf shares sha 1 bo payable in
full at the time of subscribing therefor, (which must be be
tween November 19 and November 30, 1917, both dates inclus
ive), nnd Fractional Receipts will be issued for such payments.
No interest shall accrue on payments rc-rcsented by Frac
tional Receipts, nor shall such Receipts participate in dividends
until converted into Stock, which may bo done between December
1, 1017 and DccemLer 31, 1917, upon the surrender thereof In
amounts aggregating one share or any multiple thereof.
After December 31, 1917, Fractional Receipts will not be
converted into Steele, but will be ridreincd n cisli, at the office
. of the Treasurer, at the rate of $50 per whole share.
Fractional Receirts will rass by de.ivery, no power of trans
fer or assignment being required.
6. Tho right to subscribe shall not accrue to any Stock
holder unless the terms of subscription .hereinabove recited are
fully complied with, and no subscription, or assignment of the
right to subscribe, will bo recognized unless made upon the form
provided by the Company.
G. All Stock issued in pursuance of this Resolution shall
participate in all dividends declared and payable subsequent to
November 30, 1917."
