Marinette, Wis., Jan. 26,The Ann Ar bor car ferry No. 1. which is used at Manistlque, was swept out into the lake Mnd tugs have been unable to find her. Fears are expressed as to her safety, tho it' is possible she was caught in the ice tields. There was no one on board. The vessel was torn from its dock during a storm. Rose of the Produce Exchange bank confesses to have lost on the Chicago Board of Trade may be unearthed and possibly restored to the bank. The bank officials have discovered that Rose did not lose all the money, but has secreted much of it. Several thousand dollars are known to be to his credit in one Chicago brokerage house. R. Excelsior, Minn., Jan. 26.The house of Mr. and Mrs. Jacob Gardner at Victoria, seven miles west of Excelsior on the Min neapolis & St. Louis road, caught fire late last night and was entirely destroyed. Mr. and Mrs. Gardner escaped without injuries of any sort, but the latter, re membering that she had $150 in the burn ing building, returned for the money and was caught in the fire and cremated. Haskell, the son of E". B. Haskell, for many years one of the principal owners of the Herald, was elected general manager. Colonel Haskell for nearly eighteen years lived in Minneapolis, where he was successively interested in the Tribune, Journal and the Times. We, the undersigned, do hereby associate our selves together for the purpose of forming a cor poration under the provisions of chapter II. of the General Laws of the State of Minnesota for the year 1S73. and the acts of the legislature of said state amendatory thereof, and supplementary thereto, and to that end have adopted and do hereby adopt the following Articles of Incorpora tion. ARTICLE I. The name of this Corporation shall be Build ing Block Manufacturing Company. The general nature of the business of this corporation shall be and be limited to the manufacture of hollow concrete building blocks and machinery and ap pliances for manufacturing tbe same and business essential thereto, and the sale of articles manu factured by it either under letters patent or oth erwise. The principal place of transacting the business of this corporation shall be the City of Minne apolis in the County of Hennepin, in the State of Minnesota. ARTICLE II. This corporation shall commence business on the 30th day of January, A. D. 1904, and shall continue for a period of thirty years. ARTICLE III. The capital stock of this, corporation shall be one million dollars, which shall be paid in at such times and in such manner as tbe board of di rectors of this corporation may direct. ARTICLE IV. Tbe highest amount of Indebtedness to which this corporation shall at any time be subject shall be live hundred thousand dollars. ARTICLE V. The names and places of residence of the per sons forming this corporation are: Samuel Whaley, William F. Porten and Charles W. Buechner, each residing at St. Paul, Minnesota, and James W. Cooper, residing at Minneapolis, Minnesota. ARTICLE VI. This corporation shall be governed by a board of three (3) directors, who shall be stockhold ers and In whom the government of the cor poration and management of Its affairs shall be vested. The directors shall hold their offices for one year and until their successors shall be elected and qualify. Directors shall be elected at each annual meeting of the stockholder* of this corporation. The directors shall elect from among their number a president, vice president, secretary and treasurer, who shall hold office for one year and until their successors are elect ed and qualify. Any two of said offices, except president and vice president, may be held by ono person. The first meeting of the corporation sha.ll be held on the first Monday of February, 1904, and thereafter annual meetings, of stockholders of said corporation shall be held on the flrBt Monday of February in each year. The di rectors shall hold their annual meeting and elect otflcers in each year Immediately after the annual meeting of the stockholders. Vacancies in the board of directors, cr in any of the of fices of the corporation,'shall be filled by the board of directors. The first board of directors of said corporation shall consist of Samuel Whaley. William F. Porten, Charles W. Buechner and James W. Cooper, and until the first, meeting of said cor poration Samuel Whaley shall be its president, Charles w. Buechner Its vice president and aames W. Cooper Its secretary and WlfJtam F. Porten Its treasurer. ARTICLE VII. The capital stock of this corporation shall consist of twenty thousand shares of the par value of fifty dollars each.
