We, the undersigned, hereby certify that tor
the purpose of forming a corporation under and
pursuant to the provisions of chapter 68 of
the Revised Laws of Minnesota of 1906, we do
associate ourselves together and adopt the fol
lowing Articles of Incorporation,
ARTICLE" I.
Tho name of this corporation is "Minnesota
and Iowa Elevator Company" and the general
nature of Its business Is to construct, buy, own,
lease, maintain and operate grain elevators and
warehouses and to sell, lease and otherwise
dispose of the same to buy, own, seU for itself
or upon commission and deal in wheat, seeds
and othtr grains and products of wheat and
other grains, coal, lumber, wood, livestock and
all other property that may be purchased,
owned, used and Bold In connection with the
elevator and warehouse business to buy, own
or lease such land, machinery or other property
and appurtenances as may be desirable, con
venient, useful or necessary in carrying on
and conducting said business and to sell or
otherwise dispose of said property and generally
do any and all things neceBsary, convenient
and lawful in the transaction of such business,
and the principal place of transacting the same

The period of the duration of said corpora
tion shall be thirty (SO) \eare from the first
day of August, A. D. 1906.
ARTIOLB III.
The names and places of residence of the
incorporators are as follows: Giles W. Brown,
A. H. Wood, M. E. Brown, all residing in
Minneapolis, Minnesota.
ARTIOLB IV.
The management of said corporation shall
be vested In a Board of Directors consisting
of three (8) members. The annual meeting
at which such Board shall be electod shall
be the third Monday In August of each year,
and the first annual meeting shall be held on
the third Monday in August in 1907, and the
names and addresses of those composing the
Board until the first election are as follows*

ARTICLB V.
The amount of capital stock is one hundred
thousand ($100,000) dollars, divided Into one

one hundred ($100) dollars, and Is to be paid
in cash or property, as the Board of Directors
may determine.
ARTICLE VI.
The highest amount of indebtedness or liability
to which this corporation shall at any time be
subject shall be two hundred and fifty thousand
($250,000) dollars

NOTICE 07 ISSUANCE 0 7 BONDS.
Notice is hereby given that sealed bids will
be received by School District Number One of
Itasca county, Minnesota, at any time prior
to the date of the meeting hereinafter men
tioned, for the bonds of said school district in
the amount of $20,000.00, bearing Interest at
the rate of four per cent per annum, and fall
ing due Is ten equal annual Installments, com
mencing July 1, 1911, to be issued by said dis
trict, pursuant to the vote of the electors
thereof at an election held on the 28th day
of March, 1906, for the purpose of paying
for the erection of an additional schoolhouse
in the village of Grand Rapids, in said county
and, further, that a meeting of the Board of
Trustees of said school district will be held at
their office in the Central School building in
said village of Grand Rapids on the 6th day
of August, 1906, at 8 o'clock p.m., for the pur
pose of opening and considering aU such bids.
All bids should be accompanied with a certi
fied check, payable to the district, for $200, and
directed to F. B. Reusswlg, Director of said
school district, at Grand Rapids, Minnesota.
Said board reserves the right to reject any
and all bids.
