I're&iilrnt or />> Mvti'i' Life I?. <'/rmtre Ctnnixxny uf ,\'e:r York: your request I have' carefully examined tee charter of yonr company and its modifications I am of opinion that the Trustees of the Mitual Life Insurance Company of New York have full power to fix and determine tlie rates of premiums that are to be paid by persons who become policy holders, and they may from time to time alter tho*e rates !>y increasing or diminishing them as they may gee fit. Tin.* power is especially conferred upon the Trustees by section 7 of the chafer. I Hie whole subject is entrusted to the discretion of the Board of Trustees, and the exercise of that disI cretion cannot 1*> revised bj a court of equity or | any other tribunal. Under the authority thus vested in them the Trustees have the fuii legal right to deduct from the tirst two premiums on new policies thirty per cent, from former rates as an inducement to bring new associates into the company. My conclusion is that the new policies now I<eing issued are valid and bind the com)'any as eflectually as any of the former contracts of insurance. The company beIhk a corporation created by the State of New York, and the policies of insurance issued by it being. as has been re! cently decided, New York contracts, it seems to me that the courts of 1'uat State are the only ones com[ petent to adjudicate upon the relation between the I corporation and it- members, and if the question j should incidentally cc-me up in any other State, the ri le? adopted by the courts of New York, which is the domicile of the corporation, must certainly govern any tribunal where it mav ari.<e. The amount now insured is 280 081*255 00 Tlie increase of its assets in twentyfive years is 84,849,714.15 It represents more assets tlmn any known financial institution, and twenty-one millions of dollars more tlan the combined capital of all the banks m | tins city. Its assets i r > ample for all it.- purposes, as its Annual Report will shortly show. These are the principal figures which exhibit the history and condition of this company. It has always met every honorable and iu-t financial c!a;m v tli cheerful promptitude. No stain, it is believed, rwminlly rests upon its record. Of all known business, that of Life Insurance requires the most forecast, as to future contingencies and the closest attention to all the different principles and features of its management, upon which its prosperity depends. After due consideration of all points involved, embracing equity, economy and efficiency, it was proposed that thirty ptr cent, rebate on the tirst two j ears' premiums should be allowed to entering policy holuers. whether old members or new. We should have been wanting in proper forecast and ability had we not forseen ihc- necessit f.>r this action and p rovided for it. As the members who retired sought to sunder ] their connection with the oompanv, of which th y had agreed to remain meml-ers for life, the just and universally admitted principle governing ail buai- , ness led us to say to each of tkeni: "If you leave us to our damage, yon must supply the place you leave vacant In; another life equally acceptable with your own.' To accomplish this end, we deduct from the 1 surrender value allowed these retiring members a ! sum sufficient to satisfy all the claims of the company and existing policy holders, upon the partv withdrawing, and an additional sum to constitute a fund to replace the loss. Not one penny of the monevs contributed b> the existing members went into that fund. It was a specific source of sccnmu'ation, the use of which was left to the discretion of the Executive officers in their administrative caoaci:y for the purpose of obtaining new meml>ers. Whatever remains beyond that necessity will go iito the common fund. Whatever is used for th-- i ouri>ose explained, will be like the wheat cast into the ground and lost for a time but to bear a tenf old harvest to its owner. No measure that wo know of could have been de- ] \ ised v hicli is more thoroughly just, economical or ' equitable to our policy-holders than this, and noue that will be so advantageous and profitable to them This we assert from a full knowledge of all the prin- ! ciples involved, and with absolute confidence in the t results which will lie obtained. j The ability of the company to lower its rates of premiums has ljeen demonstrated by its past expe- ( rit nee, and we have unwillingly taken premiums in , amounts quite beyond the necessities of our business for years past. Why should we have been compelled to take the forty-five millions which we have re- 1 turned to our policy-holders as over payments,called ' dividends? The public, in its own time, will ask this question wit'a emphasis. We have given back from 1 year to > ear to our policy-holders all that has not lxsen necessary to guarantee our contracts beyond i question : but >vhy should the poorman who pinches himself to insure his life for the benefit of his family be required from year to year to pay us a sum l?e*">nd what is necessary, the effect of which is to involve him in unnecessary commission ami loss of interest? There has lieen no year in the history of i the company when it could not have taken premiums upon a far cheaper scale tliau it has done, and even theu have been yble to return a resectable per eentage in over payments at the end of the year.
