SPECIAL NOTICES. Washington Steel and Ordnance Company WASHINGTON. D. C. 1 meeting of the stockholders of the Steel and Ordnance Company has for November 18, 1918, at 1:30 P.m., to rmrakfrr the following amendment to the by-laws: ? Amend that portion of the second paragrah ?f section 7 which now reads as follows: ''Meetings of the board may be called at any time by the president or rice president or by three members of the board" so that it will read as follows: "Meetings of the board maj be called at any time by the chairman of the board or by the president or vice president or by any three members of the board." Amend that portion of the second paragraph of section 7 which reads ss follows: "They may appoint an excntive committee or finance committee and such other committees as they may deem best and define their powers and duties" so that it will read: "They may ap point such committees as they may deem best and define their powers and duties." Amend section 9 so it will read as follows: "The officers shall consist of a chairman of the board, a president and a vice president, a sec retary and an assistant secretary, a treasurer and an assistant treasurer, who shall be ? hosen by the directors" at the first meeting following the annual meeting of the stockhold ers in each year, except that it shall be op tional with the directors as to whether or not they shall elect a chairman of the board. They shall hold their respective offices for one year or until their successor shall be chosen. Any two of these offices may be combined in one person except the offices of president and vice president. Vacancies in said offices may be filled at any meeting of the board of di rectors." Amend section 10 so it will read as follows: "(a) It shall be the duty of the chairman of the board to preside at all meetings of the directors and of the executive committee. The chairman of the board shall be allowed to ?vote at any meeting of the directors or of the executive committee and in case cf a tie vote the side on which he votes shall carry. "(b) It shall be the duty of the president to preside at all meetings of the stockhoicers, sign all stock certificates, bonds, deeds, agree ments or other instruments in writing unless KMne other person or officer shall be specially authorized to do so by the board of directors. He shall be the executive officer of the cor poration and have general supervision of all business of the company and shall perform the duties usually incident to the office of presi dent. The president or other officer presiding in his place shall be allowed to vote at all meetings of the stockholders and In case of a tie vote the side on which he votes shall carry. In the absence of the chairman of the board or should that office be vacant the duties of said office shall be performed by the president." Amend section 13 to read as follows: "The treasurer shall countersign all certificates of stock of the corporation, he shall also keep a record of all moneys received and paid out and all vouchers and receipts given therefor. He shall examine and approve all checks for the payment of moneys before they are presented for signature to the chairman of the board or the president or vice president or such other person as may be designated by the board of ? 'rectors, and no voucher or certificate of any Iv.nd shall be issued from the <tffice unless his inspection and approval be certified thereon, or in his absence the inspection and approval of the assistant treasurer or of such other person as tiie board may designate to act in the treasurer's stead. He shall have general charge of all vouchers and books belonging to the corporation except such as are under the general control of the secretary. He shall keep the moneys of the corporation in a sep arate bank or banks to be designated by the board of directors to the credit of the Wash ington Steel and Ordnance Company and shall perform such other duties as are incident by law to the office of treasurer or as may be re quired by the board of directors. He shall give bond in such sum as may be prescribed by the board of directors for the faithful per formance of his duties. All bills, notes, checks or other negotiable instruments of the cor poration 6ball be made in the name of the company and shall be signed by the treasurer or assistant treasurer and countersigned by the chairman of the board or by the president or rice president or by such other person as the board may designate." Amend by inserting a new section as fol lows: "Section 13%: There shall be an execu tive committee consisting of the chairman of the board, the president and the vice president and such other members of the board ss the board may from time to time designate and j the executive committee during the intervals between the meetings of the board of direc-, tors shall possess and exercise all the func tions of the board. At each meeting of the ' board the executive committee shall report it*! actions since the previous meeting of the I board. The board of directors may from time : to time restrict the powers of the executive | committee and may remove such restrictions I when it may deem it wise so to do."
