Peoples Drug Plans 2-for-1 Splitup In Common Reduced Par Value Expected to Increase Distribution By EDWARD C. STONE. Directors of Peoples Drug Stores, Inc., announced a plan today to re duee the par value of the common stock from $10 per share to $5 a share and Issue two shares for one outstanding. The purpose of the move is to give the stock far wider distribution. According to the annual report, Just distributed, there are 245,474 shares of common stock now out standing, all the preferred stock hav ing been redeemed during the past year. The new plan will increase the amount of common stock to about 800,000 shares. Announcement of the proposal is contained in the notice of the annual meeting, which takes place on Tues day, March 26. The common stock is listed on the Washington Stock Ex- i change and also on the New York' Exchange. It closed in New York yesterday at 39%, a gain of 1% points on the day and a new high for 1940. The notice to stockholders also mentions a proposal to change the by-laws of the company and create the office of chairman of the board. If the plan is adopted, the office can be filled now or later. Malcolm G. Gibbs, president of Peoples Drug, has been out of the city for some time and could not be reached today for a statement on how soon the chair manship might be filled. Large Bond Delegation Seen. Between 20 and 25 leading Wash ington bankers are planning to at tend the Richmond Bond Confer ence which takes place at the Fed W. R. Forster. eral Reserve Bank in the Vir ginia Capital next Wednesday and Thursday, W. R. Forster, vice president of the Hamilton National Bank, announced to day. Mr. For ster is represent ing the District Bankers Associa • tion on the General Com mittee arrang ing for the meet ing. He said today that Wash ington financiers are showing un usual interest in the conference pro gram. The conference, which is for bankers in the Fifth Federal Reserve District, will be devoted largely to the study of the present investment bond situation. C. L. Robey, last year’s president of the Virginia Bankers’ Association, is chairman of the conference. Hugh Leach, president of the Federal Reserve Bank of Richmond, is among the speakers. The ban quet speaker will be the Minister of Finland to the United States, Hjal mar J. Procope, and Frederick P. H. Siddons, secretary of the Ameri can Security & Trust Co. is to pre side at one of the afternoon ses sions. The complete Washington dele gation will be announced shortly. Bank Creates Two New Offices Directors of the Bank of Com merce and Savings yesterday elected Helen R. Sharpe assistant secretary and George L. C. Scheirer assistant manager oi me branch at H and North Capitol streets. The two offices were cre ated to take care of expanding business. Mrs. Sharpe is a native of Washington and Joined the staff of the bank in 1930. She was formerly chair man of the Safe Deposit Section of the District of Helen H. Shnrpe. Columbia Bankers Association ana was the first woman to hold this office. Mr. Scheirer is a native of New York City. He attended Temple and Northwestern universities and Is a graduate of Strayer College from which he received his degree in Bachelor of Science in Commerce. He was formerly associated with banks in New York and Chicago and has been with the Bank of Com merce and Savings for five and one half years. Directors of the bank also declared the usual quarterly dividend of $2.50 per share payable March 30 to stock holders of record March 20. For several years the bank has been paying an annual dividend of $15 a share, paying $2.50 each quarter and an extra dividend of $2.50 on June 30 and December 31. Bell System Stock Holdings. The annual report of the Ameri can Telephone & Telegraph Co. shows that the company holds all the $20,000,000 common stock of the Chesapeake & Potomac Telephone Co., $35,000,000 common stock in the Chesapeake & Potomac Telephone of Baltimore City, $24,000,000 Chesa peake & Potomac Telephone Co. of Virginia and $16,000,000 in the Chesapeake & Potomac Telephone Co. of West Virginia. During 1939, the Bell System gained 775,000 telephones compared with 430.000 in 1938 and 876,000 in 1937. At the end of the year an all time high of 16,536,000 telephones In service was reached. Security Bank Votes Dividend. Directors of the Security Savings A Commercial Bank have declared a semi-annual dividend of 4 per cent, payable March 30 to stockholders of record March 25, President Francis O. Addison, jr., announced today. John R. Waller, president of the International Bank, Jackson place, has returned from an extended winter vacation in Miami, Fla. J. E. McCombs, general agent of the Berkshire Life Insurance Co.; John Murply, jr., and Lafayette Franklin, jr., are attending the com pany’s annual convention at the Mlami-Blltmore Hotel, Miami. NEW YORK, March 14.—Cities Service Power Sc Light Co. today declared dividends totaling nearly $2,500,000, covering two years of arrears and regular quarterly divi dends on its three classes of pre ferred stock. The dividends, which are payable April 1 to stockholders of record March 22, will be distributed on the following: 1. A quarterly of $1.25 and two years’ arrears amounting to $10 a share on the $5 preferred. 2. A quarterly of $1.50 and two years’ arrears of $12 a share on the $6 preferred. 3. A quarterly of $1.75 and two years’ arrears of $14 a share on the $7 preferred On December 27, 1939, the com pany also paid two years of accumu lated dividends on these issues. March 1*.—A reduc tion in long-distance round-trip Pullman fares to the level now main tained by short coach fares was un der consideration today by officials of railroads operating east of the Mississippi. An authoritative source connected with the Association of Eastern Trunk line Railroads said the con templated reduction in Pullman passenger fares might be placed in effect March 25 to coincide witn new lower rates already agreed upon for coach travelers. It was indicated that tpe pres ent Pullman rate of 3 cents a mile for one-way trips would likely be retained, but that roirnd-tiip tickets would probably be scaled down on a sliding range of from 2.7 to 2.5 cents a mile, depending on the distance of the trip. The Commodity Exchange Admin istration reported today that trad ing in futures contracts on the New York Cotton Exchange increased 33 per cent during the six-month per iod ending February 29 as compared with trading in the coresponding period in the previous market sea son. Since the outbreak of war, for eigners have been heavy buyers not only of spot cotton but of cotton fu tures. Following the harvesting of the 1939 crop and the start of war, total open contracts on the New York exchange increased, the C. E. A. said, from 1,489.700 to 1,871,200 bales, an increase of 381,500 bales, or 26 per cent. When the war started foreign traders having large positions (of 5,000 bales or more) had a net long position of 11,000 bales. By the end of February their long position had increased to 275,900 bales. During this same period, large American traders reversed their position from net long 21,400 bales to net short 240,800 bales. _ 600 Tons of Lead Sold NEW YORK, March 14 (/P).—st. March 14.—The question of what will happen in Europe following the Russian-Fin nish peace apparently did more than anything else today to stymie stock market speculation. Dealings were sluggish through out, except tor a burst of speed in one or two low-priced issues. Lead ers tacked up minor fractional changes either way at the start, and that was just about the way they closed. Transfers were around 650.000 shares for the full session. While bullish forces were en couraged by further signs of a lessening of the business down trend. and comfort was derived from the fact offerings of important stocks never assumed threatening proportions, traders were disposed to keep commitments light pending more definite trans-Atlantic news. Seaboard Air Line was a lively performer among stocks after mid day. piling up more than 50.000 shares on a few transactions. The greater part of the time the issue was off 12V2 cents at 25 cents. Curtiss-Wright “A” was an excep tion in the aircraft division, getting up about a point at a new year's peak. Radio Corporation became ac tive in the final hour for a trifling advance. NEW YORK, March 14.—United States consumers of lead have been absorbing the entire output of American mines since the turn of the year. Clinton H. Crane, presi dent of the St. Joseph Lead Co., told stockholders at the annual meeting today. He said total United States con sumption was apparently slightly above production. Predicated on continuation of the war. Crane said he thought the company would have as good a year in 1940 as in 1939. Earnings last year were $5,855,562. or $2.99 a com mon share, before depletion. Principal properties are in Mis souri, with other workings in Montana, California, New York and I Argentina. Chicago Grain By the Associated Press. CHICAGO, March 14. — Early wheat price gains of about a cent based on large export sales of Ca nadian wheat, crop damage reports from Kansas and below freezing temperatures in the Southwest were charply reduced before the close of the grain market today.
