American Tobacco Co.
Stockholders' Group
Seeks Officer Pay.Cut
By th« Associated Press
PLEMINGTON, N. J.r April 7 —
Stockholders of American Tobacco
Co. are gathering here today for
their annual meeting to decide
whether some of the officers are
making too much money.
Last year the president and five
vice presidents made $1,826,809.51.
Three of the stockholders want to
cut them down to an aggregate of
$950,000 a year.
The company, in a statement
soliciting proxy votes from stock
holders representing 3,623,971 votes,
said all officers and directors last
year were paid $2,368,309.52 in sal
aries and incentive compensation
or bonus. Only the president and
vice presidents are getting too much
money, the three stockholders said.
Gilbert Leads Movement.
The stockholders are Lewis D.
Gilbert, John J. Gilbert and John
Campbell Henry, all of New York.
The leader is Lewis D. Gilbert, who
has been trying since 1940 to cut
the amount paid to officers and
directors. For more than a decade
Mr. Gilbert has represented himself
as a champion of minority stock
holders in various corporations and
has had frequent clashes with offi
cers at annual meetings.
Mr. Gilbert tried unsuccessfully to
compel the late George Washington
Hill, president, to attend American
Tobacco meetings. Mr. Hill always
refused. This year, however, Vin
cent Rigglo, who became president
in 1946, headed the list of officials
attending. It was Mr. Rigglo’s first
meeting. He Joined American in
1907.
The money question was proposed
in two resolutions. The lint read:
"Resolved, That • • * the by-laws
shall be amended so as to read *• • •
To the president and the senior
vice presidents who shall not ex
ceed five in number.' ” The second
read: “• * * The amount to be paid
to the president of the corporation
shall in no event exceed an aggre
gate total amount of $200,000 and
that of the vice presidents shall
not be in excess of $150,000 each.’’
Advertising Director Quit.
The meeting was held against a
background of dispute brought to
light with the resignation March 17
of George Washington Hill, jr.,
youthful son of the late president,
as vice president and director in
charge of advertising.
In a sharply worded statement
Mr. Hill said his advertising* opera
tions “have been hampered by ex
ecutive decisions with which I am in
fundamental disagreement, and in
the making of which I have had
progressively diminishing voice or
influence.”
American Tobacco was famed for
its Lucky Strike cigarette advertis
ing with a noisy, repetitious and
musical selling approach. ,
