Also prospecting, developing and operation of mines and mining lands and the operation of all forms and kinds of machinery, appliances and apparatus necessary for or convenient in the operation of mines and in the smelting, concen tration, refining or reduction of min erals,. ores, metals or other sub stances and doing all things inci dental to or necessary in conducting such operation. Also, construction, leasing and op eration for mining and smelting pur poses of railroads, tram-ways, turn pikes, or canals as may load from the mines and works of the company, to smelters, or treatment plan’s ■ r to some existing railroad, turn-pike, or public highway. ' Also to acquire, construct, own and operate for mining arid smelting pur poses telegraph or telephone lines as may be necessary or convenient in the transaction of the business or the Company, also to ficquir?, own, lease and hold water rights, operate and sell the same and to use and to sell or supply to others water by pipes, conduits or other means for power or for mining, refining or any other purposes. Also to acquire, own, hold and sell the stocks, bonds or securities of other corporations, as well as prom issory notes, warrants or other ne gotiable instruments and also pat ents granted by the U. S. or foreign countries for inventions, improvemeixjts or processes. Also to conduct a general merchan dise business and to buy anl soil goods and wares, and general’y to conduct any lawful business not in consistent with the constitution of the laws of the U. S. or the State of Arizona. Also, for the purpose of its busi ness to make, execute and deliver such bills, notes, bonds, mortgages, or other obligations as may be pre pared and lawful in the conduct of its business and to make execute and deliver such Contracts, deeds or other instruments of writing as may be necessary and proper in any of the said purposes of the corpora tion. Also, to own, hold and operate mining dredges, mill sites and mills and other works and properties real or personal whatsoever, necessary, suitable or proper or in any manner available for, or in connection with any of the mining, reducing, dredg ing, or other business of the corpor ation. To acquire from time to time, by purchase' or otherwise, either abso lutely or conditionally, and either solely or jointly with others, con cessions, grants, freeholds, leases, rights, claims, authorities and other interests in and over lands or other properties of every description and in terests therein and shares in the cap ital stock of any corporation owning or operating - the same in any part of the world, including mines, works, steamships, sailing vessels, railways, tram-ways, telegraph and telephone lines, lands, wharves, docks, canals, water rights and ways, water works, electric light and power plants, dredges, quarries, forests, pits, mills, buildings, machinery, mining, milling, concentrating, smelting, refining and manufacturing plants, upon such terms and in such manner as may be deemed advisable, and to deal in, sell or otherwise dispose of the same. To manufacture, refine and other wise prepare, and to buy or other wise acquire, hold, sell or otherwise LEGAL NOTICES dispose of, import and export, or otherwise to deal and traffic in, and with coal, coke, iron, steel, ferro manganese, manganese, copper and all other kinds of ores, minerals, metallic compounds and chemicals, coal coke, limestone, wood, lumber, charcoal, natural gas, oil and any and all other fuels and fluxes, and also any and all products and or by products of the manufacture production or refin ing of ores, minerals, metals, metallic compounds, oils, chemicals or fuels and other merchandise in the manu facture, production, preparation or re fining of which any of the said articles may be a factor or an in gredient or of wihich any of the sapie may be a component part. To purchase, hold, lease, mortgage, occupy, sell, use, acquire, dispose of, or deal in and with, any lands con taining coal, or iron, ferro-manga nese, manganese, copper, stone and all other ores or metals, or oil, gas and or other fuels and any woodlands, or other lands, for any purpose of the corporation, (and to mine, or otherwise to extract or remove coal, iron, ferro-manganese, manganese and copper ores, stone or any and all other minerals or metals, natural gas and or oil, and to take or remove such minerals from any lands own ed, acquire, leased or occupied by the corporation or from any other lands. To build, construct, erect, own, manage, control and operate a roll ing mill, with proper and sufficient 1 real estate, buildings, blasts, stacks, ovens, furnaces and with the neces sary, suitable and proper engines, boilers, mills, machinery, tools, im plements arid appliances in connec tion therewith, and properly and prof itably to run, operate, manage and control the same, for the purpose of smelting, smelting and reducing and treating iron, residues, iron ores and iron as mined, and for the purposes of extricating and taking iron from such ore and reducing the same to ingots and iron bars and all other forms as may be needed, used or re quired, and to make and produce from such Iron and other proper and ne cessary materials and or metals steel plates, steel ingots, bars, rails and castings of any and all kinds for any and all purposes ordinarily and commercially used, and to do and perform all and separately the acts and things Jiecessary;, proper and profitable in, and to, the management, control and operation of a well-equip ped rolling mill. To deal in, purchase, sell and dis pose of ores, minerals, g'oods and merchandise and generally to carry on the business of a dredging, min ing, smelting, refining and trading company in all its branches, in any part of the world. To construct, build, establish, main tain and operate railroads, together with all necessary cars, engines and buildings and other equipment, to construct, maintain and operate rail roads without the State of Delaware, to be worked by steam, electricity or any other motive power. To construct and operate mills, fac tories, smelters, dredges,, machine shops and industrial plants of all descriptions; to manufacture, purchase or otherwise acquire goods, merchan dise and personal property of every class, and to hold, own, use, lease, mortgage, sell or otherwise dispose j of, trade in and deal with the same. To buy and sell merchandise by wholesale or retail, and conduct a general mercantile business; and alsb to buy and sell real estate, lay out town sites and sell lots, and also to construct and otherwise acquire and to maintain and conduct a hotel or hotels in connection with the said business or any of it; also to manage in any business connected with the health, comfort and welfare of its employes, and to supply by manufac ture or otherwise materials for its or their use. To engage in any other manufac turing, mining, logging,' lumbering, construction o* transportation busi ness of any kind whatsoever, and to that end to acquire, hold, own and dispose of any and all property, as sets, stock bonds and rights of any and every kind. To subscribe or cause to be sub scribed for, and to purchase and otherwise acquire, hold, sell, assign, ! transfer, mortgage, pledge, exchange, distribute and otherwise dispose of the whole or any part of the shares of the capital stock bonds, coupons mortgages, deeds of trust, debentures, securities, obligations, evidences of indebtedness, notes, good will, rights, assets and property of any and every kind or any part thereof any other corporation or corporations, associa i tion or associations now or hereafter | existing and whether created by the j laws of the State of Delaware, or of | any other State, Territory or Coun j try, and to operate, manage and con trql such properties or any of them, either in the name of such other cor poration or corporations, or in the name of this corporation and while owners of any of said shares of cap itaUstock to exercise all the rights, powers and privileges of ownership of every kind and description, includ ing the right to vote thereon, with power to designate some person for that purpose from time to time to the same extent as natural persons might or could do. To manufacture, purchase or other wise acquire, to hold, own, mortgage, pledge, sell, assign and transfer, or otherwise dispose of, to invest, trade, deal in and deal with goods, wares and merchandise, and real and per sonal property of every class and description; and in particular lands, buildings, business concerns, and un dertakings, mortgages, . shares, stocks, I debentures, securities, concessions, | produce policies book debts and claims, and any interest in real or f personal property, and any claims J against such property, or against j any person or company and to carry 'on any business, concern or under taking so acquired. | To acquire the good will, rights and property, and to undertake the whole or any part of the assets and liabilities, of any person, 'firm, as sociation or corporation, and to pay for the same in cash, stock or bonds of this corporation or otherwise. To draw, make, accept, endorse, discount, ex ecute and (issue promissory notes, bills of exchange, warrants and other negotiable or transferable Instruments. To issue bonds, debentures or obli gations of this corporation from time to time, for any of the objects or purposes of the corporation, and to secure the same by mortgage, pledge deed of trust or otherwise. To purchase, hold and re-issue the shares of its capital stock. To have one or more offices, to carry on all or any of its operations and business and without restriction or limit as to amount, to purchase or otherwise acquire, to hold, own, to mortgage, sell, convey or otherwise dispose, of real and personal property of every class and description in any of the States, Districts, Territories or Colonies of the United States, and in any and all foreign countries, sub ject to the laws of such State, Dis trict, Territory, Colony or Country. The foregoing clauses shall be con strued both as objects and powers; and it is hereby expressly provided that the foregoing enumeration of specific powers shall not be held to limit or restrict in any manner the powers of this corporation. In general, to carry on any other business in connection with tl- ' fore going, whether manufacturing or otherwise, and to have and to ex ercise all the powers' conferred by the laws of Delaware upon corpora tions formed under the act hereinafter referred to. FOURTH. The total authorized cap ital stock of this c | -poration is two hundred and fifty thousand dollars ($250,000.00) divided into two hundred and fifty thousand (250,000) shares of one dollar ($1.00) each. The amount of capital stock with which this corporation will commence business is the sum of two thousand dollars ($2,000.00) being two thou sand (2,000) shares of 'one dftllar ($1.00) each. FIFTH. The signers of the Cer tificate of Incorporation, being all the Incorporators, shall have the di rection of the affairs and of the or ganization of the corporation, and may hold meeting or meetings in person or by proxy, and at such meeting or meetings elect directors and take such steps as are proper to obtain the necessary subscriptions to the stock and to perfect the organization, of the corporation. In furtherance, and not in limita tion of the powers conferred iby statute, the Board of Directors arc expressly authorized; To make, alter, amend and re scind the By-Laws of this corpora tion, to fix the amount to be -rer served as working capital, to auth orize and cause to be executed mort gages and liens upon the real and personal property of this corpora tion. From £lme to time to determine whether and to what extent, and at what time and places and under | what conditions and regulations, the accounts and books of this corpora tion, (other than the stock ledger) or any of them, shall be open to the inspection of the stockholders; a,nd tno stockholder shall have any right of inspecting any account or hook or document of this corporation ex cept as conferred by statute or auth orized by the Directors, or by a resolution of the stockholders. If the By-Laws so provide, and by a vote of a majority of the whole board, to designate tiwo or more of their number to constitute an Execu tive Committee, which Committee shall for the time being, as provided in said resolution or in the By-Laws of this corporation, have and exer cise any or all of the powers of the Board of Directors in the manage ment of the business and affairs of this corporation, and have power to authorize arid seal of this corpora tion to be affixed to all paper* which may require it.
