Articles, of Incorporation OF THE Temple Bar Mining Company. Kniw all men by these presents: -That we the undersigned, a majority of whom are citi zens and residents of the State of California, have this day voluntarily associated ourselves together for tbi purpose of forming a corpora tion under the L.ws of the Territory of Arizona, and we hereby certify, First: That the .name of said corporation shall be Temple Bar Mining Company. Second: That the purposes for which it is formed are to mine the following placer claims: Trail Rapids, Climax, Spot Cash, Good Luck, Clydia, Orofino, Gold Leaf, all situated on Temple Bar, on the Colorado river in .Lincoln County, Nevada. Third: That the place where the principal business of said corporation is to be transacted is San Diego, California, San Francisco California and Temple Bar, Nevada. Fourth: That the term for which said cor poration is to exist is (50) fifty years from and after the date of its incorporation. Fifth: That the number of directors or trustees of said corporation shall be (5) five and, that the names and residences of the directors or trustees, who are appointed for the first year and to serve until the election and qualification of such officers are aa fol lows, towit: Col. TT. Oiis, E. L. Kifenburg, W. G. Rifenburg, C. J. Downes, of San Diego California and A. L. McKesson of White Hills, Arizona. Sixth: That the amount of capital stock of said corporation is (5500,100)' live hundred thousand dollars, and the number of shares into which it is divided is five hundred thou sand of the par value of (?1) one dollar each. - Seventh: That the amount of said capital stock which has been actually subscribed is five hundred thousand dollars and the follow ing are the names of the persons by whom She same has been subscribed and the amount subscribed by each of them towit: W. G Rifenburg, 100,000;- Col. E. Otis, 100,000; E. L. Rifenburg. 100,000; C. J. Downes, 100,000; A. L. McKesson, 103,000. At a meeting of the board of directors of the Temple Bar Mining Comoany held in King man, Ariaona, June 10th, 1S95, the following amendments to the articles of incorporation were adopted and ordered recorded with the secretary of the corporation, and the same be published in the same manner as the articles of incorporation and filed with the recorder of Mohave County and with the secretary of the Territory of Arizona. AMENDMENTS. 1. That the stock of the Temple Bar Mining Company shill be non-assessable. 2. Thjtths principal place of business shall be Kingman, Mohave County, Aiizoua. 3. That the highest amount of indebtedness or liability which the corporation shall subject itself at any time shall not exceed Three Thousand ($:1 000) dollars. 4. That all private property of the stock holders, incorporators or officers of thi said incorporation is hereby exempt from the cor porate debts of the said company or corpora tion. ELMER OTIS,- C. J.
