3 AMENDMENT TO THE Articles of Incorporation OF The Rio Verde Canal Company. At a regular annual meeting of the stock holders of The Rio Verde Canal Company, duly called and legally held at the office of the cor poration, In the City of Phoenix, Arizona Ter ritory, on the 14th day of May, 1894, at the hour of 10 o'clock, a. m., the articles of incor poration of The Eio Verde Canal Company were by resolution unanimously adopted, amended so as to read as follows, to-wit: ART1CLE3 OF INCORPORATION OF THE RIO VERDE CANAL COMPANY. Know all men by these presents: That we, the undersigned incorporators, desiring to form a corporation under the revised statutes of the Territory of Arizona relating to corpora tions, approved March 8th, A. D. 1887, do here by associate ourselves for that purpose, and sign, adopt and acknowledge the following articles of incorporation, to-wit: ARTICLE I. The names of the persons so hereby associat ing themselves for the purpose aforesaid are Frank L. Stetson, Martin Ring, Charles F. Baker, William H. J. Pearce, Morenus J. Gal pin, Charles P. Sillowiy and Charles A. Bicknell. ARTICLE II. The name of the corporation shall be "The Rio Verde Canal Company." ARTICLE III. The principal place for transacting its busi ness shall be in the City of Phoenix, in the County of Maricopa, in the Territory of Arizona, ARTICLE IV. The objects for which this company is organ izedare: A To carry on the business of a canal com pany, water power company, water supply company for irrigation, public, private, muni cipal, domestic or other uses in the Territory of Arizona; . B To build, erect, construct, excavate, maintain canals, dams, flumes, reservoirs, tanks, hydrants, plugs, acequias, ditches, aque ducts, sewers, or any other hydraulic applian ces, telephone ind telegraph lines; C To lay pipes or other water conduits or appliances for the storage, supply, delivery and distribution of water; D To control, obstruct, divert, conduct, lead, turn, regulate the flow, supply, service and use of water; E To buy, sell,,lease, rent, own, acquire, ap- propriate, enjoy, use, water, water rights and rights to the use of water for power, mining, manufacturing or agricultural purposes, re- clamation of land, domestic, piscatorial, angUng and all lawful uses; pXo own and operate canal or canals, -water power, telephone lines and telegraph lines; G. To reclaim land by the use of water; H. To enter into any agreement or arrange ment with any authorises, supreme, state, ter ritorial, municipal, local or otherwise, or to ob- - tain from the aforesaid authorities, or any of them, any rights, privileges, concessions or franchises, which may seem conducive to the objects of the company, and to exercise, cirry out and comply with any such agreement or ar rangement, or the terms and conditions of such rights, privileges, concessions or franchises; I To fix, establish and alter prices, assess ments, rates, charges and tolls; and to enforce and collect payments of the same either in coin, currency, services performed or any prop eity taken in exchange therefor; J To buy, own, hold, lease, rent, sell, ac quire, appropriite any and all lands, houses, tenements, hereditaments, easements, sites, lo cations, reservoirs and rights of way necessary or convenient for the carrying on of the com panj's business, or taken in exchange for debts due, property conveyed, services rendered or benefits conterred; K. And generally to undertake and carry on any business, undertaking, transaction or oper ation commonly carried on or undertaken by irrigation canal companies, water supply com panies, or water power companies, and any other business which may seem to the company capable of being conveniently carried on in connection with the above or calculated either directly or indirectly to enhance the value of or render profitable any of the company's prop erty or rights; L. To enter into contracts with any other company or companies, or person or persons for the foregoing purposes; M. To do all or any of the aforesaid as prin cipal, agent, contractor, trustee or otherwise, and that by or through trustees, agents or other wise, and either alone or in conjunction with o there; N. To amalgamate or unite with any other company altogether or in part similar in its ob jects or purposes to thiB company; O. To borrow or raise money by mortgage or on bonds, debentures, acceptances, promissory notes or other securi'ies, or property of the company or any part thereof; P. To do all such things as are incidental or . conducive to the attainment of the aboveobjects. ARTICLE V. This corporation shall further have power and authority to issue and sell its bonds for the aforesaid purposes, to the limit fixed by law; and it shall have power and authority to create a sinking fund from the avails of the sales of its water rights or from any other Eource of assets for the purpose of providing for the payment of its bonds at maturity, or for the payment oi in terest thereon. The capital stock of this corporation Bhall be three million six hundrea tnousana aoiiars ($3,600,000), divided into thirty-six thousand (36.000) shares ot tne value oi one mmuicu mi iom, itimi oRph. with Dower to increase, snbdi- iA nr rIri lira tne canital for the time being by the amendment ot these articles, and to raise the whole or auy part thereof, or any increased if.,i ot a i,rminm. or with any preference, guarantee, privilege or other advantage or The times when and the conditions upon which the said capital stock is to oe paia m are as follows, to-wit: Four thousand (1,000) shares thereof shall be and are hereby set aside as treasury stock, and oh treasure stock shall be sold and issued utiaii snhanri ntiuns therefor, at such rimes and upon such conditions and for such price as may be determined by the affirmative voie oi vue holders of at least two-thirds of the capital stock then issued: and the remainder of such capital stock shall be subscribed for, sold, is sued, and the price thereof paid in at such times and for such prices and upon such conditions as the board of directors may from time to time by resolution direct; provided, however, that the purchase pric3 of all stock shall be fully paid before the certificates therefor shall be issued. ARTICLE VII. The government of this corporation and the management and control of its affairs and busi ness shall be vested in a loard of seven direct ors, who shall be elected yearly at the regular annual meeting of the stockholders. ARTICLE VIII. The officers of this corporation shall be a president, vice-president, secretary, treasurer and such other officers and agents as the board of directors may deem necessary for the proper transaction of its business. The president and vice-president of this corporation shall be members of the board of directors, and all members of the board of directors shall be stockholders of the corporation.' ARTICLE IX. Regular meetings of the stockholders of the corporation shall be held annually on the first luesday of December in each year, and at each annual meeting the stockholders shall elect a board of directors, who shall organize by select ing the officers aforesaid. The board of direct ors shall fill all vacancies in the board and in the offices of the corporation. A majority of the board of directors shall constitute a quorum. ARTICLE X. The board of directors shall have power and authority with or without the consent of the stockholders to borrow money and on behalf of the corporation to make and create a bonded indebtedness, and from time to time to issue and sell its bonds, debentures or acceptances, and for the purpose of securing such borrowed money or bonded indebtedness to pledge, mort gage, hypothecate or convey in trust any and all of the propel ty and assets and rights in the nature of property of the corporation, of every kind and nature, real, personal or mixed, with the tolls, charges, inoome, revenues, rates, is sues and profits thereof; and the board of di rectors are authorized and empowered hereby, solely by the action of the board, to create, es tablish and maintain the sinking fund herein before authorized. ARTICLE XI. The board of directors shall have power to es tablish by-laws and to amend or repeal the same. ARTICLE XII. The highest anount of indebtedness or lia bility direct or contingent to which the corpor ation shall or can at any time be subject shall be two million four hundred thousand dollars ($2,400 000), the same being limited by statute to two-thirds of the company's capital stock. ARTICLE XIII. The private property of the stockholders of the corporation shall not in any event be liable for the debts of the corporation. ARTICLE XIV. The time of the commencement of the cor poration shall be the day on which these arti cles shall be filed in the office of the county re corder of the County of Maricopa, Arizona Ter ritory, to-wit, the eighteenth day of December, A. D. 1891, and the corporation shall continue for the time and term of fifty (50) years there after. ARTICLE XV. These articles of incorporation may be altered and amended at any regular meeting of the stockholders, or at any special meeting ex pressly called for that purpose, by the affirma tive vote of the holders of at least two-thirds of the corporation's capital stock tnen issued. Sheldon, President of The Rio Verde Canal Company (a corporation), known to me to be the person whose name is subscribed to the foregoing instrument of writ ing, and acknowledged to me that he executed the same as the free act and deed of said corpora tion, and for the purpose and consideration therein expressed; and after being duly sworn stated on oath that he, the said Augnstus C. Sheldon is, and for more than one year last past has been , the President of said corporation , and that as such President, he signed the name of said corporation and his own name, as the President thereof, to said instrument, by order of said corporation.
