Evans Loan and Investment Co.
We, J. W . Evans, Thomas Armstrong, Jr. , and
J. C. Adams, desiring to incorporate ourselves
under the provisions of the laws of the Terri
tory of Arizona, and especially an act of the
Legislative Assembly thereof, entitled, "An
Act Concerning Corporations, " approved March
8, 1837, tor the purpose of engaging in the law
ful enterprises, business pursuit and occupa
tion hereinafter specified, do make, subscribe
and acknowledge according to law, these Arti
cles of Incorporation and declare:
The name assumed by this corporation, and
by which it shall be known, is The Evans Loan
and Investment Company," and its principal
place of transacting business is the City of
Phoenix, County of Maricopa, Territory of Ariz
ona, and the time of the commencement of
this corporation shall be the day of the filing
of these Articles, In the office of the County
Recorder of tne County of Maricopa, Territory
of Arizona, and the termination thereof shall
be twenty-n ve (25) years thereafter.
II.
The et.terpri'e, pursuit, business and occu
pation in which this corporation proposes to
engage is that of acquiring by purchase and
any other lawful manner, real estate, lands
and all other kinds of property, real, personal
and mixed; borrowing and loaning money, as
principal ana as agent tor otners, ana doing a
general real estate and money brokerage busi
ness, and transacting any and all kinds of busi
ness incident thereto; leasing, buying and sell
ing, discounting, holding and dealing in all
kinds of negotiable paper, including promis
sory notes, mortgages, real and personal prop
erty, stocks, bonds, City, School, County and
Territorial bonds and warrants, bills of ex
change and all other evidences of debt and
bankable paper, and loaning money on such
terms and conditions as the managing officer

The stockholders in this corporation, and

The affairs of this corporation are and they
thall be, condu ted by a Board of Directors
consisting of three (3) persons, who shall be

powers as they may deem expedient.
The following named persons, who are sua
scribers to the capital stock of this corpor tion,
shall constitute the Board of Directors of this
corporation until November 9. 1807. or until
their successors duly quilified, shall be elected,
to wit: J W. Evans, Thomas Armstrong. Jr.,
and J. C. A -lams. Any person ceasing to be a
stockholder shall ceate to be a director.
Vacancies in the Board of Directors shall be
filled by the remaining mem) ere of the board.
Immediately, or as soon as prwticxble after
the nline of these articles in the office of the
County Recor er of the Coanty of Maricopa,
Territory of Arizona, the peisons named here
in as inrectors to serve until wovemoer v, isvi,
or nntil their successor or successors, duly
qualified, shall be elected, shall meet and
organize as a Board of Directors adopt By-Laws,
ai d presenbe in said By-Laws the method of
calling meetings of the Board of Directors and
stockholders. A. majority or said Directors
snail be a quorum, and any meeting of said
Board at which a quorum is present shall be
deemed a reeu ar meeting and have
the same authority as a full Board, whether
notice of the meeting to the absent members of
the Board shall have been given or sot.
IX.
The Board of Directors of this corporation
shall have the power to establish By-Laws and
make all rules and regulations deemed expe
dient for the management of the affairs of this
corporation and the officers thereof, not mcon
sistentwuh the constitution and taws of the
united State and tne laws of this Territory.
