The home of Charles Taylor is the happier for the arrival of a big baby; it is a boy. . W. A. McGrew left yesterday with extra heavy loaded freight wagons for the Silver King country. - ! MESA. ?Mr. J. F. and D. S. Lewis started for the hills yesterday to hunt water and food for their cattle. I'nless rain and water comes soon others will have to follow suit. The Knights of Pythias held a moot ing last night in Bennett hall, and in itiated R. W. Westmore in the rank of page. Quite a number from Tempe and Phoenix were in attendance. Not long ago a stranger in Washing ton who had fv ard much about Senator Carter said to an employe of the sen ate: "I heard Carter tell Tsis famous 'hold-up' story, at my hotel last nizht. I didn't think much of it." "Are you sure it was Carter?" asked the employe, somewhat dubiously. "Certain. He looked as if he had stepp.d cut of a political cartoon. You couldn't mistake him and I know the story by heart." "What did the crowd do?" ARTICLES OF INCORPORATION of the FEARLESS OIL AND WATER COM PANY. Know All Men by These Presents: That we, the undersigned, have this day voluntarily associated ourselves together for the purpose of forming, and do hereby form, a corporation un der the laws of the Territory of Ari zona. United States of America, and we do hereby certify and declare: First. That the name of this cor poration shall be and is "Fearless Oil and Water Company " and the name of the corporators are: W. S. Peters, H. K. Snow, Charles H. Fish, B. S. Hubbard, George Burbeck, R. M. An-' thony. D. P. Hocking; and the princi pal place of business of this corpora tion shall be and is Phoenix, Arizona, with a main branch office at Oakland, Alameda county, California, at which last mentioned place any businessof the corporation may, with the consent of a majority of the directors of this cor poration, be done. Second. The general nature of the business to be d ne by this corporation and the purposes for which . it is formed, are: To explore for. acquire, exchange, develop and deal in oil and gas and oil and gas lands, minerals and metals; to acquire, build, maintain, operate and dispose of ditches and pipe lines for conveying and conducting oil, gas, water and fluids of every descrip tion; to acquire, hold, enjoy and dis pose of rights cf way for the purpose thereof, and for other purposes; to pur chase, sell, lease, deal in. exchange, convey and accept conveyances of real and personal property, and to mort gage and hypothecate the same; to im prove, develop and cultivate lands whether mineral or agricultural, or fit ted for anj use whatever; to refine, manufacture, buy, sell and deal in oil and mineral products of every description: to buy, sell, deal in agricultural products and personal property of every de scription; to borrow and loan money and to purchase, sell and deal in sure ties, bonds and stocks of every de scription; and generally to acquire, hold, manage, Improve and dispose of real and personal property, and to dd such other things as may be necessary and proper for the full and complete ex ecution of the purposes set forth above and for the exercise of the powers and the transaction of the business of the corporation, including mining, manu facturing, road building; for which we have hereby associated ourselves. Third. That the amount of the cap ital stock is and shall be Five Hund red thousand dollars ($500,000), and the number of shares into which it Is di vided is and shall be five hundred thousand (500,000), of the par value of one dollar ($1.00) each, sixty per cent of which shall be taken, by said cor porators, their assigns or associates, within sixty days of the organization of this corporation, and forty per cent of which shall remain in the treasury of said corporation, to be disposed of oy the directors of this corporation in the interests or and for the benefit of this corporation, and the capital of this corporation shall consist of the proceeds of said stock and the real and personal property that may be ac quired with the proceeds of the sale of stock, and which may be acquired in the conducting of the business and lines of business for which it Is or ganized. Fourth. That the term for which this corporation is to exist Is twenty live years, commencing with the next following the filing of the so articles of incorporation. Fifth. That the affairs of this cor poration are and will be conducted and managed by a board of seven directors, who shall be elected by the stockhold ers on the second Monday in August of each y :r, the corporators hereinbe fore mentioned to be and constitute the board of directors until the election of their su-cessors by the stockholders and by the other offleers of this cor poration, to-wit: A president, vice president, a secretary and a treasurer. Sixth. That the highest amount of indebtedness or liability that this cor poration is at any time to subject it self is fifteen thousand dollars ($15,000.) Seventh. That the private property of stockholilers is and shall be exempt, from execution on claims against this corporation and that demands against this corporation shall not constltuto claims against the stockholders pro tanto or otherwise. Eighth. That the amount of capital stock that has been subscribed is Three Hundred Thousand Dollars ($300,0000.) In Witness Whereof, we have here unto set our hands and seals this 24th day of July. Know All Men by These Presents: That we, the undersigned, being desir ous of associating ourselves together for the purpose of becoming incorpo rated, do hlreby under the provision of Title 12 of the revised statutes' of the Territory of Arizona, so associate our selves, and for such purpose by hereby adopting the following articles of in corporation, to-wit: Article 1. Third To construct roads pipelines for water, oil or gas, or other works that may be necessary for the purpose of carrying on such business as the cor poration may desire to become engaged In. Fourth To purchase, use, sell or oth erwise deal in oil, gas or other min erals, or stock of oil companies, or ma chinery Incidental to the use of any of the purposes herein indicated. Fifth To do any and all lawful acts that may be necessary, convenient or desirable in order to carry out the gen eral purpose herein indicated. The remainder of the stock shall be disposed of within twenty years from the date of organi zation in the manner and for the con sideration placed upon the same by th board of directors of sai-d corporation, and whenever receipt or acknowledg ment of the corporation shall be given or made of the full payment upon any stock, the same shall thereafter be deemed fully paid and forever noD assessable. Article 4. The time of commence ment of the corporation shall be when these articles are filed with the county recorder of the County of Maricopa, TerrHory of Arizona, and the termina tion of the corporation shall be Twenty-five (25) years thereafter. Article 5. The corporate powers of the corporation shall be vested In a board of five (5) directors, who shall be stockholders, holding at least ten (10) shares of stock, each, in their own name on the books of the company. and the time when they shall be elected shall be at the hour of 10 o'clock a. m. on the first Tuesday of June, of each and every year at the office of the com pany in San Francisco, California. Article 6. The highest amount of in debtedness or liability to which the corporation is at any time to subject Itlf shall be the sum of Ten Thou sand ($10,000) Dollars. Article 7. Private property shall be exempt from any and all corporate debts. Article 8. These articles of Incor poration may be amended at any time by vote of the stockholders duly as sembled in any regular or special meet ing called In accordance with the by laws which shall be hereafter adopted by filing with the county recorder of the said County of Maricopa, Territory of Arizona, a certificate thereof, and by publication of said certificate in the same manner required by law in the case of original articles of incorpora tion.
