THE PHOENIX CHARTER.
iThe principal event of the day In the
house was the pasragc of the Phoenix
chaiter, whlcn had ben made a special
order. Mr. Bernard, who had tried In
vain to compass Its defeat, now sought
to amend It beyond lecognltion. The
first amendment was to make the of
fices of comptroller and cljcf of pollen
elective instead of appointive. Mr.
Bernard, aided by Mr. Ivy. appealed to
the house In behalf of the amendment
which, they said, was pure democracy.
That caught the house and the adop
tion vas overvhelmmg.

tended to lesser the restraint upon ob
jectionable occupations were adopted
and Mr. Bernard proposed another to

towns having a taxable wealth of
$8,000,000. There a"e no such towns In

terward agreed upon. At length Mr.
Bernard made a thrust at the charter
which would have been fatnl If It had

was only another nim: for the present
law under which Phf.enlx Is operating
for purposes of growth When It was
stricken out there was nothing In the
charter In conflict with the exfstlng
law. which Is theiefjie not hereby re
pealed. "Attlcle IX" remains Intact,
but in another place.
The charter wws passed and sent to
the council which on the motion of
Dr. Ford did not concur and commit
tees were appointed.
A concurrent resolution was adopted
In the house thnt no bill should be in
troduced after next Saturday except by
unanimous .consent.

I. That the name of the corporation
shall be the "United Grocery Compa
ny," nnd Its principal place of transact
ing Its business shall be at the city of
Phoenix, county of Maricopa, Territory
of Arizona, with branch offices In the
city of New York, the county of New
York nnd the state of New York.
II. That the general nature of the
buIness proposed to be transacted by

food products, with powr to purchase

thousand (50,000) of the par value of

paid next after the six per cent

red stock, and before any dividends are
paid on the common stock. After two
per cent (2 per cent) has been paid on
comrnsn stock, then said second pre
ferred stock shall share and share alike
with said common stock, until both
said second preferred and said common
stock shall receive eight per cent (S
per rent) dividends per annum. Includ

thousand dollars ($100,000) of common
stock. Said common stock shall be en

ratlon on and after the amount paid on
first and second preferred stock ns
hereinbefore 'mentioned. Neither the
first nor second preferred stock shall be
entitled to vote or have any control
over the management of said company,
at any of Its meetings, until there nre

first preferred stock. Then, in case said
cpmpany Is In arrears for five (3) vears
of accumulative dividends on first pre
ferred stock, said first nnd second pre
ferred' stock shall vote with common

VIII. Tho time of the commencement
of said corporation shall be on the fif
teenth day of February, 1901, and the
time of Its termination shall be on the
fifteenth day of February, 1925.
IX. That the officers of said corpor
ation to conduct Its affairs shall be a
board of five (3) directors, who (shall
be elected nt the annual meeting of
stockholders entitled to vote, on the
first Tuesday after the fitst Monday In
each year.
X. That the hlghet amount of In
debtedness or liability to which the
said company Is at any time to subject
Itself Is four bundled thousand dollars

each officer and stockholder of Bald
company Is to be exempt from all com
