KNOW ALL MEN BY THESE PRESENTS: That we, the under signed, have this day voluntarily asso ciated ourselves together for the pur pose of forming a Corporation under the laws of the Territory of Arizona, and do hereby certify as follows, to wit: ARTICLE L The mime of said Corporation shall he Sonora Mining and Development Company, and its principal place of transacting business shall be at Phoe nix. Among the powers of this body corp orate shall be: To have perpetual suc cession: to sue and be sued by its cor porate name: to have a common seal and alter the same at pleasure: to Vrescribe the mode of making trans fers of stock or interests of its stock holders; to make contracts: to ac quire and transfer property of every kind and description, both real and personal, and to possess the same pow ers in such respects as private indi viduals now enjoy: to establish by laws and make all rules and regula tions deemed expedient for the man agement of Its affairs, not Inconsist ent with the laws and Constitution of the United States and the laws of the Territory of Arizona. ARTICLE IV. The amount of the capital stock of the Corporation shall be One Million Dollars (Jl.OOO.OOO.OO). divided into one million (1.000.000) shares, of the par value of One Dollar ($1.00) each, fully paid up and forever non-assessable. ARTICLE V. The time of the commencement of this Corporation shall be the date of the filing of these Articles of Incorpo ration in the office of the Secretary of Arizona, and the termination thereof shall be twenty- five years thereafter. ARTICLE VI. The affairs of this Corporation shall be conducted by a Board of seven Di rectors, who shall be elected annually by the Stockholders of the Corpora tion. ARTICLE VII.
