ALL MEN BY THESE PRESENTS: That we, the undersign ed, J. Letton Martin, J. Cray lartin, Charles Edward Hoxrocks and George W. Bryan, of Ashland, Boyd County, Kentucky, and Otto Von Kanel, of New York City, New York, have this day as sociated ourselves together for the pur pose of forming a corporation under the laws of the Territory of Arizona. And we do hereby certify: I. That the name of the corporation shall be THE UNITED STATES AND GUERRERRO EXPLORATION COM PANY, and its principal place of trans acting business shall be Ashland. Boyd County, Kentucky, and the principal place of transacting business in Arizona shall be Phoenix, Maricopa County, Arizona, and it may hereafter establish and have one or more branch offices in Cincinnati. Ohio, or New York City, as may determined by the By-Laws of the 3ald Company. II. That the general natura of the busi ness proposed to be transacted, and the objects and purposes for which, and for any of which, this corporation Is form ed are, to do any or all of the thing herein set forth to the same extent as. a natural person might or could do, viz: To conduct business in any of the States, Territories, Colonies, or Depen dencies of the United States, in Mexico, and In any and all foreign countries; to have one or more offices therein, and to hold, purchase, mortgage and convey real and personal property without lim it aa to amount thereof; to acquire, purchase, own and lease real estate, mines and minerals and rights, and to sell, lease, rent or operate the same; to excavate for mine and remove gold, sil ver, copper and all other minerals and mineral substances; to transport and dispose of the same and their products; to purchase, acquire, build, own and lease houses, roads, tramways, inollnes and wharf landings; to purchase, lease or construct buildings and boats, and to sell lease, rent, or use the sam; to develop and improve lands and rahies, to buy, sell and otherwise deal In, gen eral merchandise, to construct, main tain and operate oil and gas wells, and pipe lines and lines conveying, tranj porting and delivering oil or gas, or toth oil and gas, to bore, prospect and operate for petroleum, natural gas, fcalt water and any and all other oils and gases; to transport and dispose of the same and the products thereof; to construct, maintain and operate ma chinery and plants and appliances for the generation, distribution and use of electric light and power; to acquire rights and properties, and to undertake the- whole, or any part of, the assets and liabilities of any person, firm, as roclation or corporation, and to pay for the same in cash, stocks or bonds vt this corporation, or otherwise, to take out patents and acquire those taken out by others; to aequire or grant li censes in respect of patents or works, or do whatever else to them may . be thought fit; to draw, make, accept, en dorse, discount, execute and issue pro missory notes, bills of exchange, war rants, bonds, debentures and other ne gotiable or transferable Instruments; to borrow or raise money without limit as to amount not exceeding $500,000 by the issue of, or upon, bonds, debentures or debenture stock, or in such other manner as the corporation shall think fit, to have one or more offices to carry on all, or any, of its operations and business; to purchase, or otherwise ac quire, to hold, own, mortgage, sell, con vey, or otherwise dispose of real apd personal property of every class and description in any of the United States, Districts,- Territories, Dependencies, Colonies thereof, and in Mexico and in any and all foreign countries or places, and in general to carry on any other business in connection with the fore going, whether of manufacture or oth erwise, and to have and to exercise all powers conferred by tne laws of Ari zona upon corporations formed under the laws of the Territory of Arizona: and it is expressly provided that the foregoing clause shall be construed both as objects and powers being here by expressly provided that the forego ing enumeration of specific power3 Bhall not be held to limit or restrict In any manner, the powers of this cor poration. III. That the amount of capital stock authorized is one million (1,000,000) dol lars, and the number of shares Into which it is divided is one million shares, of the par value of One dollar each, which amount is to be paid in at the times and upon the conditions follow ing, viz. Twenty-five thousand (25,000) dollars in cash, with which amount this cor poration will commence business, nnd the remaining number of share to be paid for in discharge of subscription therefor already made, and upon con veyance to this corporation of certain properties situated in the District of "La Union," State of Guerrero, Mexi co, and consisting of about sixty-two (C2) pertenencias (148 acres) to be re ceived as consideration for Issuance of said remaining shares, fully paid ind non-assessable. IV. The time of the commencement of said corporation Is the 10th day of June. One Thousand Nine Hundred and Two, and the time of its termination, the 10th day of June, One Thousand 'fine Hundred and Twenty-Seven. V. The officers of said corporation to conduct its affairs, shall consist of a Board of Directors consisting of four members, as follows: J. Letton Martin, Ashland, F.oyd County, Kentucky; Charles Edward Horrocks, Ashland, Boyd County, Kentucky; J. Cray Mar tin, Ashland, Boyd County, Kentucky; and Otto Von Kanel, New York City, New York, who are to be elected on June 10. 1902, and shall hold their offices until their successors shall have been duly elected. The annual meeting of the stockhold ers for the purpose of electing Directors and the transaction of such other busi ness as may come before that body, shall be held in the City of Ashland, Boyd County, Kentucky, on th second Tuesday of June, In each year. The Board of Directors rhi (I elect from their body a President, Vice President, Secretary and Treasu rer, the latter two of which offices may lie filled by the same person, and may appoint such other agents as by them are, or may be, deemed necessary in the man agement of the corporate affairs. The annual meeting of the Board of Directors for the election of officers, and for the transaction of such other business as may come before the board, shall be held at the office of the Com pany in the City of Ashland, Boyd County, Kentucky, at such time as shall be fixed by the By-Laws. VI. The highest amount of Indebtedness or liability, to which the corporation may at any time subject itself Is five hundred thousand ($500,000) dollars. VII. The private property of each officer and stockholder os said corporation Is to be exempt from all corporate debts. VIII. The Board of Directors hjay adopt By-Laws for the government of this corporation, may authorize the Presi dent to have in charge the general management of the affairs thereof; to enter into contracts, execute and acept deeds, leases, or other conveyance::, and do any and all other acts for and in 'h'.' name of this corporation that he nay deem necessary in carrying out the purposes for which this corporation is formed. ARTICLES OF INCORPORATION OF THE "ALASKA GOLD MINERS' DEVEL OPMENT AND GUARANTEE COMPANY. KNOW ALL MEN BY THESE PRESENTS: That we, whose hands are hereunto affixed, do hereby asso ciate ourselves together for the pur pose of forming, a corporation under the laws of the Territory of Arizona, and to that end make the following statement: First: The names of the corporators are: William F. Matlock, Clarence L. Andrews, William W. Boughton, Benja min K. Hall and Henry C. Diers, and the name of the corporation shall be, "Alaska Gold Miners' Development and Guarantee Company." The principal place In which the business of said cor poration within the Territory of Ari zona is to be transacted is Phcenix, Maricopa County, Arizona, and the principal place of business or said cor poration outside the Territory of Ari zona shall be the City of Skagway in the District of -Alaska, at which meet ings of the Board of Directors may be held, ana the corporation may have such branch offices either within or without the Territory of Arizona as may be established by the Board of Di rectors. To promote, acquire, construct, equip, maintain, improve, work, man age and control, or aid in or subscribe towards the promotion, acquisition, construction, eouinment. malntainence. improvement, working, management or j ontrol of works, undertakings and op erations of all kinds, and in particular road3, tramways, railways, telegraphs, telephones, ships, lighters, piers, docks. quays, wharves, warehouses, bridges, viaducts, acqueducts reservoirs, em bankments, water-works, water-cours es, canals, flumes, irrigations, drainage, saw-mills, crushing-mills, smelting works. Iron, steel, engineering and im plement work, hydraulic works, gas and electric lighting, electrical works, power supply, quarries, collieries, coke over.?, foundries, turnaces, factories, carrying undertakings by land and wa ter, markets, exchanges, hotels, resi dences, stores, shops and places of amusement, recreatloti or Instruction, whether for the purpose of the Com pany or for sale or hire, to or in return for any consideration from any other company or persons. e. To transact and carry on all kinds of Agency and commission business, and in particular to collect monies, roy alties, revenue. Interests, rents, debts, to negotiate loans, to find investments. and to issue and place shares, stocks, tonds, debentures, debenture stock or securities. f. To subscribe for, purchase, or oth erwise acquire, hold, sell, exchange, dispose of and deal in shares, stocks. bonds, debentures, debenture stock, or obligations of any company, domestic or foreign, or of any authority, su preme, municipal, local or otherwise. g. To guarantee the payment of money, secured by or payable under or in respect of bonds, debentures, deben tures stock, contracts, mortgage", charges, obligations and securities of any company, whether domestic or for eign, or of any authority supreme, mu nicipal, local or otherwise, or of any persons whomsoever whether corporate or unincorporate. h. To receive moneys, securities anil valuables of all kinds on deposit at in terest or otherwise, or for safe custody and gene-rally to carry on the business of a safe deposit company. 1. To lend money to such parties and on such terms, with or without securi ty, as may seem expedient, and particu larly to customers or any persons hav ing dealings with the Company, and to guarantee the performance of contracts by members of or companies having dealing with the company, and to draw, accept endorse, discount, issue, buy, sell arrd deal in bills of exchange, promis sory notes, drafts, bill of lading, coup ons, warrants and other negotiable or transferable instruments, and buy, sell and deal in bullion, specie and coin. To borrow or raise or secure the payment of money for the purpose of the company in such manner and upon such terms as may seem expedient and to secure the re-payment or payment thereof by bonds, debentures or deben ture stock the same to be made payable to bearer or otherwise, and issuable or payable either at p4r or at a premium or discount or by mortgages, scrip cer tificates, bills of exchange or promissory notes, or by any other instrument or in such manner as may be determined, and for any such purposes to charge all or any part of the property of the com pany, both, present and future, includ ing its uncalled capital, and to allot the shares of the company credited as fully or partly paid up, or bonds, debentures, debenture stocks issued by the company as the whole or part of the purchase price for and property purchased by the company, or for any valuable con sideration. k. To give the call of shares and to confer any preferential or special right to the allotment of shares on such terms and in such manner as may seem expedient. 1. To do all such other things as are Incidental or may be thought conducive to the attainment of the above objects, or any of them. Third: . The authorized amount of capital stock of this corporation shall be Ten Thousand dollars ($10,000.00) di vided into ten thousand shares of the par value of One Dollar ($1.00) each. At such time as the Board of Directors may by resolution direct, said capital stock shall b2 paid Into this corporation either in cash or by the salj and trans fer to it of real or personal property for the uses and purposes of said corpora tion. In payment for which shares of the capital stock of the said corpora tion may be issued, and the capital stock so issued shall thereupon and thereby become and be fully pail up and ron-assesable, and In the absence of actual fraud in the transaction the judgment of the directors as tJ the value of the property purchased shall be conclusive. THIRD: The authorized amount of capital stock of this corporation shall be One Million dollars ($1,000,000.00), di vided into One Million (1,000.000) shares of the par value of One Dollar ($1.00) each. At such time as the Board of Di rectors nicy by resolution direct, said capital stock rhall be paid into this corporr.t'on eithr in cash or by the sale and transfer-to it of real or per sonal property for the uses and pur poses of said corporation, in payment for which shares of the capital stock of said corporation may be issued and the capital stock so issued shall thereupon and thereby become and be fully-paid up and non-assessable, and in the ab sence of r.ctual fraud in the tiansaction the judgment of the directors as to the value cf the property purchased shall be conclusive. FOURTH: The time of the com mencement of this corporation shall be the date of the filing of these Articles of Incorporation in the office of the Secretary of Arizona, and the termina tion thereof shall be twenty-five years thereafter. FIFTH: The affairs of this corpora tion shall be conducted by a Board of Five (5) Directors and the following named shall constitute the Board of Di rectors until their successors are elect ed: Paul Gaston, Edward Bowes, D. C. Mitchell, D. P. Hocking and A. M. McDonald. Thereafter the Board of Directors shall be elected from among the stockholders as the By-Laws of the corporation may provide. The officers of said corporation until their success ors are elected shall be Edward Bowes, president; Paul Gaston, vice-president, and D. C. Mitchell, secretary; D. C. Mitchell, treasurer. SIXTH: The highest amount of in debtedness or liability, direct or con tingent, to which this corporation is at any time subject shall be One Hundred Thousand dollars ($100,000.00). which amount does not exceed two-thirds the amount of the capital stock.
